We refer to the Framework Financing Agreement dated 29 August 2009 between Georgia and the Asian Dev€lopment Bank (AOB) for Road Comdor lnveslment Program (the FFA). 2. ln response to the Ministry of Finance letter te{. flO7-02187705 dated 18 Augusl 2015, ADB has approved extension of the availability period for the referenced multitranche financing tacility (MFF). To reflect these changes, we propose to amend the FFA as sel forth below: A ln Section "Availability Period" on page 3 of FFA, the dates of "December 2016" and "December 2013" shall be deleted and replaced with the dat€s of "29 September 2019' and "31 December 2016", rospectavely. 3. lt is noled that the FFA had been initially signed and undergone Georgia's governmenl approval procoss with lhe tiile of'Subregional Road Corndors Developmenl Program", following which the MFF was approved by ADB with a streamlined title name of "Road Corndor lnvestmenl Program" under which this MFF, FFA and tranches lhereunder are known since. While certain prior approval documents relaling to MFF 3nd/or FFA refer to the previous title' it is understood and acknowledg€d that all such prior apprcvals, endorsements, deq€€s and ratifications issued or adopt€d by Georgia's governmenlal bodies with relerence to this MFF and/or its FFA under the title of "Subregional Road Co.ridors Oevelopmenl Program' apply to MFF and FFA for the Road Co.ridor lnveslmont Program. 4. 5. Save and except to the extent set out abovg, the FFA remains unchanged. Pursuanl to ADB'5 Public Communications Policy on disclosure and exchange of informalion (PCP), the amendmeni to the FFA will be posted on AOB'S websate within 2 weoks from the date that the amendmenls become effective, after removtng any anformalion thal lalls within the PCP exceptions. 6. Please indicate the Georgia's concunence to the amEndments set out in paragraph 2 of lhis lsttsr agrs€ment and to tho terms of this letter agreemenl by counlersigning each of tha two originals of this lettor agreement in lhe spac€ indicated belovir. ADB will review the PFRS and, if found setisfactory, Prepare the related loan agrcements. The projects lor which financing is requested under the PFR will be subject to the selection critena set out in Schedule 4 herelo satialactory due daligence, ano preparation ot relevant saleguards and fiduciary framevoks and other documenls.
