M:L:TARY F:NANCIAL C00PERATiON AGREEMENT BETWEEN THE GOVERNMENT OF GEORG:A THE GOVERNMENT OF THE REPUBL:C OF TURKEY MIL!TARY FINANCIAL COOPERAT:ON AGREEMENT BE口 EEN THE COVERNMENT OF GEORGIA AND THE COVERNMENT OF THE REPUBLIC OF TuRKEY PREAI,IBLE The Govemmenl of Georgia and the Government of the Republic of Turkey (hereinafter shall be refened to as 'Party' solely and "Parties' conjoinfly) with a view to further stEnglhen lhe military cooperation withan the scope of long standing friendly relations and to contibute to restructuring of the Armed Forcrs of Georgia, have agreed on the foltowing lssues: ARTICLE.I PURPOSE The purpose of this Agreemeni is to dellne the basis of the allocation of the military financial cooperation to the Govemment of Georgia summing up to U.S.Doltars equi\ralent to 1.500.000 TL (onemillionfivehundredTurkishuras) of whi€h U.S.Dollars equivalent to 1.200.000 TL (onemilliontwohundredthousandTurkishLiras) shall be made available for purciasing necassary goods and services from local companies operaung in Turkey, prlmarlly the Turkish Derense lndustry companies for mllitary purposes and of which U.S.Dolla6 €quivalent to 300.000 TL (threehundredthousandTurkishLiras) shall be expended for the modemization of G€orgia,iMa.neuli Airport within lhe context of the Loglstic lmplementation Protocol to bo signed separately between the authorities of two Parties refened to this Agreement. ARTICLE{I SCOPE With this Agreement, the tlnancial resource summing up to U.S.Dollars equlvalenl to 1.200.000 TL (onemilliontwohundredthousandTurkishLiras) shall be rEde available to the Govemment ol Georgia in the form of llnancial contribution to th€ cost of goods and seMes to be purciased for military purposes fiom local companies in Turkey, primarily the Turkish Defense lndustry companies and according to the relevant legislation of the Govemment of the Republic of Turkey. The amount of the allocated resour@ summing up to U.S.DollarE equi!"alent to 300.000 TL (threehundredlhousandTurkishLiras) shall be used tor the modemlzation of Georgia/Mamguli Airport according to the Pinciples of Logistic lmplemeniallon Protocol which shall be signed separately between the authorities of two Padies referBd to thls Agresm€nt. ARNCLE{II COMPETENT AUTHORMES AND POINTS OF CONTACT Ihis AgEement shall be implemented by the Minisfy ol National Defense of the Republic of Turtey on behaf of the Govemment of the Republic of Tu*ey and by by lhe Ministry of Defense oI Georgia on behalf of the Govemmenl of Georgia. The points of contact for this Agreement are lhe OIfice of the Military Attache of Georgia in Ankara/the Republic ot Turkey and the Ofiice of the Mllitary Attache of lhe Republic oI Turkey in Tbilisi/Georgia. ARNCLE.IV IMPLEIiIENTATION PRINCIPLES 1. ln case of purchasing of goods and services for military purposes lrom local companies in Turkgy, primarily the Turkish Defense lndustry companles wilh the financial resourc€ summing up to U.S.Dollars €quivalenl to 1.200.000 TL (onemilliont^/ohundredthousandTurkishLlras); ‐2‐ a. lf the purchased goods and servi@s amount to U.S.Dollars equivatent to '1.200.000 TL (onemilliontwohundredthousandlurkishLiras) and more than that amount, then 100% of U.S.Dollars equivalent to 1.200.000 TL (onemiltiontwohundredthousandTurkishLiras), b. lf the purchased goods and servic€s is less than U.S.Dollars equivalent to 1.2OO.OOO TL (onemilliontwohundredihousandTurkishLiras), then 10oo/o of the amount of the value of the purchased goods and servlces, shall be made available in cash upon lhe order to be given by the Ministry of National Defense of the Republic of Turkey to the Central Bank pursuanl lo the principles of Agreement, by being transfened 1o the bank account of the company from which procurement is mado and to b; ma*ed out by the Govemmenl of Georgia. 2. The resource allocaled to the Govemment of ceorgia sha be used pursuant to Article X of lhis Agreement. Unexpended appropdation in assigned period is relurned to the Turkish Republic Treasury. 3. The Govemment of Georgia shall send the list of requirements determined according to the allocated r€source (covering the priorities as well) to the Ministry of Natonal DEfense ol tho Republic of Turk6y, before coming to Turkey for procurement. Under the coordinationship of Ministry o, Nationa! Oefense of lhe Republic ot Turk€y; the rele\€nt companies shall be determined and the Govemmenl ol Georgia shall slart the purchasing process from local companies in Turkey, primarily the Tuftish Defense lndustry companies. 4. Paynents shall be made by the Ministry of National Defense of the Republic of Turkey to the bank accounl of the company trom vrhich procurem€nt is made and ma*ed out by the Govemment of Georgia after lulfillmenl of following conditions: a. Signing and fumllment of the contract betw€en the Govemment of GeoEia and the company, b. Declaration with diplomatic note that the goods and seMces purchased by thg Govemn€nt of Georgia have been received. 5. ln case the Govemment of Georgia makes a purchase which exceeds the allocated financial resource, the Govemment of Georgia shall hansfer additional regource to the allocated ,inanclal resource. The Govemment of lhe Republic of Turkey shall not make any payment higher than the amount slated in ihe Agreement. The exlra amount will be pald by the Govemment of Georgia. 6. Expensos which are directly related with lhe allocation of the financlal resouroe such as freight, shipplng. transportation, mounting, packing, haining, travel allowance and daily vrage, insurancc, taxes, bank charges, levies and exchange difierences shall be stated ln lhe sales contract to be concluded between the Govemment of Georgia and lhe company. 7. Visits conceming proafement process shall be commencad upon he entry into force of this Agreement pursuant to Article lX the.eof. Expenses of the Govemment of Gsorgia officials related to this process shall be bome by the Govemment of Georgla. Durlng the implementauon of procurement transactions the reguhtory prcvisions whlci are valid in the Republic of Turkey will b€ applied; after material or s€Nice supplied delivered to Georgla the measurss ot GeoEia will be applied. ARTICLE‐ V USAGE RIGHTS FOR THE GOODS AND SERVICES '1. With this Agreem€nt, the Govemment of Georgia agrees to pay the income eamed by excluding the goods and services fiom inventory procured with the financiai Gsource to be transfened by the Governmenl ol lhe Republic of Turkey, to the bank account whlch shall be ma*ed by the Ggvemmenl of the Republic of Tu*ey. -3- 2. The Govemment of Georgia agrees on not transfening the qoods and services or their usage rights to another country or a third Party without receiving the prior witten consenl of the Govemment ol the Republic of Turkey. 3. The provisions oI this Agreement shall hot affect the commitments arising trom other intemational treaties to which both sides are Parlies and shall not be employed against the rights, seqJrity and tenitorial integrity of other states. ARTICLE VI SECURITY OF CI..ASSI FIED INFORIIIATION The Parties shall not dasclose the conlenl and implementation of the Agreement or the classified informalion which shall be exchanged between the Parties to a thkd party's govemment, company ff person without written consent of the other Pady. This principle ol confidentiality shall continue to prevail even after termination of the Agreement. ARTICLE.VIII REVISION AND AMENOMEMf 1. Each Party may propose revision or amendment ol this Agreement. ln this case, the P8rties wlll stad discussions within 30 Ghirty) days al the latest of rec€ipt of written notilication thoreol. 2. Amendments agreed upon by the Parties in witing shall enter into force in accordanca with the proc€dure prgscribed in Article lx.
