ADB agrees lo lend to the Borrower from ADB'S Special

SCHEOULE 3
Withdrawal ot Loan Proceods
1.
Except as ADB may olherwise agree, the Loan proceeds shall be withdrawn
from the Loan Accounl in accordance with the Loan Disbursemehl Handbook (excluding the
requirement that the Bo.rcwer submil a certificate lo ADB confirming compliance wilh the
formula sel out in Section '11.14) and the following provisions of this Schedule.

An applicatron for withdrawal from lhe Loan Account shall be submitted to
ADB by the Eorower and shall be in a form satisfactory lo ADB.

(a)
Prior lo submitting lhe first applicalion lo A0B for withdrawal hom the
Loan Account. the Borower shall nominate a sub-accounl of the Slate Treasury FX acco!nl
(the Deposit Account) al NBG into which all withdrawals from the Loan Accounl shall be
deposited. The Deposit Account shall be eslablished, managed and liquidated in accordance
with lerms and conditions satisfactory to ADB.
(b)
Separate accounts and records in respecl of lhe Deposit Account shall
be mainlained in accordance wilh accounting pinciples acceptable to ADB. Upon AD8's
requesl, the Borrower shall have the financial statemeots lor lhe Deposit Accounl audiled by
independenl audilors, whose qualilications. expenence and lerms ol relerence are
acceplable lo ADB. in accordance wilh inlemaiional standards lor audrting or the national
equivalent acceptable lo ADB. Promptly atter their prepalation but in any event not later lhan
6 months afrer the date of ADB s request. copies of such audited llnancial stalements and
the opinion of the audilors on lhe financial stalemenls, in lhe English language, shall be
furnished to ADB.

No Loan prcceeds shall be withdrawn to linance any item speoied in
Attachment 1 to this Schedule
5.
