Additionar ierms used in this Loan Agreement have the following meanings: (a) "Component,neans each of Components 1,2 and 3 of the prolect as further described in paragraph 2 of Schedule 1 to this Loan Agreement; (b) "consurting Guiderines" means the Guiderines on the use of consultants by Asian Development Bank and ils Borrowers (2010, as amended fromlime to time): (c) "consurting services' means rhe services to be financed out of the proceeds of the Loan as described in subparagraphs 2(b) to 2(d) of schedule 1 to this Loan Agreement; (d) 'EARF' means the Environmental Assessment and Review Framework for the lnvestment program, as agreed between the Borrower ndg, amended from time to time; "nJ ,, (e) "EMp" means the Environmental Management plan for the proiect prepared in accordance with the EARF, incorporated in the IEE; (0 'FAM' means-the Facility Administration Manual for the Facility, as agreed between the Bonower and ADB, as amended from time to time; (g) "GNEWSfiC" means the Georgia National Energy and Water Supply Regulatory Commission of the Borrower or any succeisor thereto; (h) 'coods" means equipment and materials to be financed out of the proceeds of the Loan, including related services such as transportation, insurance, installation, commissioning, training, and initial maintenance, but excluding consulting Services; (i) "lEE" means the lnitiat Environmental Examination for the project prepared in accordance with the EARF; 0) 'Loan Disbursement Handbook, means ADB,s Loan Disbursement Handbook (2007, as amended from time to time); (k) successor thereto; "MA" means the Ministry of Agriculture of the Borrower or any (l) "MEPNR" means the Ministry of Environmental Protection and National Resources of lhe Borrower or any sucressor thereio: (m) "PFR' means the periodic financing request submitted or to be submitted by the Borrower, for the purposes of each loan under the Facility, and for the purpose of this Loan Agreement means the periodic financing request dated 2 March 201 1; (n) "Procurement Guidefines" means ADB,s procurement Guidelines (2010, as amended from time to time); (o) 'Procurement plan,' means the procurement plan for the project dated 24 F ebruary 201 1 and agreed belween lhe Borrower and ADB, as updated from time to time In accordance with the Procurement Guidelines. the consulting Guidelines. and other anangements agreed with ADB; (p) "Proiect Executing Agency,, means MRDI, which is responsibte for carrying out the Project; (q) 'RF" means the Resefllement Framework for the lnvestment program, as agreed between the Borrower and ADB, as amended from time to time; (0 'RP" means the Reset ement plan for the project prepared in accordance with the RF: (s) E "Subsidiary Loan Agreement, means lhe agreement between the Bonower, MRDI and uwscc referred to in section 3.01(a) of this LoIn Agreement; (t) means the United Water Supply Company of Georoia Limited Liabitity co shed under the laws and regulations of the Boirowerwiitlis registered address olitkovskaia Street, Tbilisi 0i96, Georgia; (u) 'Works" means conslruction or civil works to be financed out of the proceeds of the Loan, including services such as drilling or mapping, and project related services that are provided as part of a single responsibility or turniey contract, but excluding Consulting Services; and (v) "WSS'' means water suppty and sanitation. ARTICLE II The Loan 2.01. Section ADB agrees to lend to the Borrower from ADB,s Special Funds resources an amount in various currencies equivalent to fifty-one million three hundred and forty{hree thousand Speciat Drawing Rights (SDRS1,343,OdO). 2.02. (a) Section The Bonower shall pay to ADB an interest charge at the rate of 1% per annum during the grace period, ano t.sort per annum lhereafter, on the amount of the Loan withdrawn from the Loan Account and outstanding from time to time.
