"Category" means acategory set forth in the table in Section ill.Aof Schedule 2 to this Agreement. 3 "COVAX Facility" means the COVID-19 Vaccine Global Access Facility, a mechanism through which demand and resources are pooled to support the availability of, and equitable access to, COVlD-19 vaccines for all economies, and which is coordinated by Gavi, the Vaccine Alliance, the Coalition for Epidemic Preparedness Innovations (CEPl). and the WHO. 4. "COVlD-19" means the coronavirus disease caused by the 2019 novel coronavirus (SARS-CoV-2). 5 "Environmental and Social Commitment Plan" or "ESCP" ^ environmental and social commitment plan for the Project, dated May 21, 2021, as the same may be amended from time to time in accordance with the Provisions thereof which sets out the material measures and actions that the Borrower shall carry out or cause to be carried out to address the potential environmental and 6. social risks and impacts ofthe Project, including the timeframes ofthe actions and measures, institutional, staffing, training, monitoring and reporting arrangements, and any environmental and social instruments to be prepared thereunder. "Law of Georgia on Personal Data Protection" means the law of Georgia on 10 "MoILHSA" means the Borrower's Ministry of Internally Displaced Persons from the Occupied Territories, Labor, Health, and Social Affairs, or any successor thereto. "MPA Program" means the multiphase programmatic approach program designed Personal Data protection dated December 28, 2011. 11 to prevent, detect and respond to the threat posed by COVID-19 and strengthen national systems for public health preparedness. 12 "National Center for Disease Control and Public Health" means the Legal Entity of Public Law National Center for Disease Control and Public Health estabhshed by the Law ofGeorgia on the Legal Entity ofthe Public Law and Resolution Xa 122 of the Government of Georgia of February 6, 2014, or any successor thereto. 13 "Operating Costs" means the reasonable incremental expenses incuired by the PIU on account of Project implementation, including costs related to office equipmen and supplies, vehicle operation and maintenance, shippmg costs, office rentals, communication and insurance costs, office administration costs, bank charges utilities, transport costs, travel, per diem and supervision costs, and salar including reasonable hazard/indemnity pay to health employees. 14. '-Original Loan Agreement" means the Loan Agreement for the COVID-19 Response Project between the Borrower and (Loan No. 9113-GE), dated May 1, 2020, as amended as ofthe Signature Date. 15. "Original Project" means the Project described in Schedule 1to the Ongmal Loan 16 "Personal Data" means any information relating to an identified or idsntmable individual. An identifiable individual is one who can be identined by reasonable means, directly or indirectly, by reference to an attribute or combination of attributes within the data or combination of the ®J! information. Attributes that can be used to identify an identifiable individual Agreement. - 12- include, but are not limited to, name, identification number, loca ion data, onime identir.er, metadata, and factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of an individual. 17. '•Sienature Date" means the later ofthe two dates on which the Borrower and the Bank signed this Agreement, and such definition applies to all references to the date ofthe Loan Agreement" in the General Conditions. 22. 23. "Stringent Regulatory Authority" means a National Regutoo^ Authority ("NRA") that is classified by WHO as aStringent Regulatory u o ty. "Training" means the reasonable costs associated with training under the Project anrattritatable to study tours, training courses, seminars, workshop ,and othe S LTvities, not included under service providers' contracts, inc uding costs of tralLg materials, space and equipment rental, travel, accommodation and per dim cosH trainees and trainers, trainers' fees, and other training-related miscellaneous costs. - 13- 24. "Vaccine Approval Criteria" means that the Project received regular or emergency licensure or authorization from at least one of the Strineent Regulatory Authorities identified by WHO for vaccines procured and/o supplied under the COVAX Facility, as may be amended from time to time by WHO- (b) has received the WHO Prequaliflcation or WHO Emergency Use Listing; or (c) has met such other criteria as may be agreed mwriting between e Borrower and the Bank. 25 "Vaccine Delivery and Distribution Manual" means the Borrowe|^s manual which forms apart of the Project Operations Manual, referred to m Agreement, as the same may be amended from Ume to time with the Bank sprior written approval, and which includes the following. fat rules and procedures for prioritizing intra-country vaccine allocation following principles established in the WHO Fair Allocation Framework including an action plan setting out the timeline and steps fo implementing such rules; ih) rules and procedures establishing minimum standards for vaccine communications and outreach plan, cold chain infrastructure, and ot ^^ management and monitoring, including medical and technical criteria, related logistics infrastructure; fc) rules and procedures for processing and collection of Personal Data in accordance with Law of Georgia on Personal Data Protection and good international practice; and (d) vaccine distribution plan, including action plan setting out timeline and Steps for immunization. 26. "WHO" means the World Health Organization. 27 "WHO Emergency Use Listing' means arisk-based procedure for listing by WHO ofunlicensed vaccines, therapeutics, and in vitro diagnostics with the aim of expediting the availability of these products to people affected by declared public health emergency. 28. "WHO Fair Allocation Framework" means the rules which ofvaccines to participants in the COVAX Facility, as developed by WHO, subject to periodic review by the COVAX Facility. 29. "WHO Prequaliflcation" means aservice provided by WHO to assess the quali^, saZ and effily ofmedical products for priority diseases, and which are intended for United Nations and international procurement to developing countries.
