წინამდებარე ანგარიში წარმოადგენს სსიპ საქართველოს საპენსიო ფონდის (შემდგომში ფონდი) მიერ 2025 წლის 1 იანვრიდან 2025 წლის 31 დეკემბრის ჩათვლით (შემდგომში საანგარიშო პერიოდი) გაწეული საქმიანობისა და განხორციელებული ღონისძიებების
ანგარიშს, რომელიც ასევე მოიცავს დაგროვებით საპენსიო სქემასთან (შემდგომში - საპენსიო
სქემა) დაკავშირებულ მნიშვნელოვან ძირითად სტატისტიკურ მონაცემებს.

ინსტიტუციური
გარდაქმნისა და მდგრადი ზრდის წელი იყო. „დაგროვებითი პენსიის შესახებ“ საქართველოს
კანონში (შემდგომში - კანონი) 2024 წლის ივლისში განხორციელებული ცვლილებების
(საკანონმდებლო მაცნე, გამოქვეყნების თარიღი: 12.07.2024, სარეგისტრაციო კოდი:
280060000.05.001.102317) (შემდგომში- საკანონმდებლო ცვლილებები) საფუძველზე, 2025
წლის 1 მაისიდან შეიცვალა საპენსიო ფონდის მმართველობითი სტრუქტურა და საქმიანობის
მარეგულირებელი ნორმები. შეიცვალა სსიპ საპენსიო სააგენტოს სახელწოდება და
ორგანიზაცია ჩამოყალიბდა სსიპ საქართველოს საპენსიო ფონდის სახელწოდებით, ფონდის
უმაღლეს ხელმძღვანელ ორგანოდ განისაზღვრა სსიპ საქართველოს საპენსიო ფონდის
მმართველობითი საბჭო, ხოლო საპენსიო ფონდის აღმასრულებელ ორგანოდ განისაზღვრნენ
აღმასრულებელი დირექტორები: გენერალური დირექტორი,
ოფიცერი, მთავარი რისკის ოფიცერი და შიდა აუდიტის უფროსი.

საკანონმდებლო ცვლილებების საფუძველზე, საქართველოს ეროვნული ბანკის პრეზიდენტის
2025 წლის 28 თებერვლის №51/04 ბრძანებით (საკანონმდებლო მაცნე, გამოქვეყნების თარიღი:
28.02.2025, სარეგისტრაციო კოდი: 220090000.18.011.016909) დამტკიცდა „სსიპ საქართველოს
საპენსიო ფონდის მარეგულირებელი წესი“ (შემდგომში - წესი), რომელიც სხვა საკითხებთან
ერთად განსაზღვრავს და აზუსტებს შესაბამის მოთხოვნებს საინვესტიციო, საოპერაციო,
ადმინისტრაციული და რისკების მართვის მიმართულებით.
მმართველობითმა საბჭომ, კანონით მინიჭებულ უფლებამოსილების ფარგლებში, საქმიანობა

კომიტეტები,

საინვესტიციო პოლიტიკის დოკუმენტის შემუშავებას, საინვესტიციო პროცესების
ზედამხედველობას, საინვესტიციო ფუნქციის კოორდინაციას და მოქმედი კანონმდებლობით
გათვალისწინებული
სხვა
ფუნქციების
შესრულებას;
რისკის
კომიტეტი,
რომელიც
შეიმუშავებს რისკის მართვის ჩარჩოს და მისი განხორციელების პროცედურებს; და აუდიტის
კომიტეტი, რომელიც განიხილავს და ზედამხედველობს საპენსიო ფონდის ფინანსურ
ანგარიშგებასთან, რისკების მართვასთან, შიდა კონტროლის სისტემასთან, შიდა აუდიტის
საქმიანობასა
და
აუდიტორულ
მომსახურებასთან
დაკავშირებულ
საკითხებს.

საქართველოს საპენსიო ფონდი
მმართველობით საბჭოს, საკანონმდებლო ცვლილებების გათვალისწინებით, ასევე მიენიჭა
უფლებამოსილება საჭიროების შემთხვევაში კანონით განსაზღვრული კომიტეტების გარდა
შექმნას სხვა კომიტეტებიც. აღსანიშნავია, რომ ამ უფლებამოსილების ფარგლებში, საპენსიო
ფონდის დებულების გათვალისწინებით, მმართველობითი საბჭოს მიერ შეიქმნა
ანაზღაურებისა და ნომინირების კომიტეტი.
2025 წლის ბოლოსთვის საპენსიო ფონდის აქტივების წმინდა ღირებულებამ 8.2 მილიარდ
ლარს გადააჭარბა, რაც წინა წელთან შედარებით 2.2 მილიარდი ლარით მეტია. აქტივების
ზრდა განპირობებული იყო როგორც მონაწილეთა გაზრდილი საპენსიო შენატანებით, ასევე
მაღალი საინვესტიციო შედეგებით. საანგარიშო პერიოდში ინვესტიციებიდან მიღებულმა
მოგებამ ისტორიულ მაქსიმუმს — 792 მილიონ ლარს მიაღწია, ხოლო ფონდის დაარსებიდან
დღემდე დაგენერირებულმა საინვესტიციო ამონაგებმა 2.2 მილიარდ ლარს გადააჭარბა.
საპენსიო სქემის მასშტაბი კვლავ მნიშვნელოვნად გაიზარდა. 2025 წლის განმავლობაში
სისტემაში გაწევრიანდა 125 ათასზე მეტი ახალი მონაწილე, ხოლო წლის ბოლოსთვის 2019
წლიდან რეგისტრირებულ მონაწილეთა საერთო რაოდენობამ 1.7 მილიონს გადააჭარბა. ამავე
პერიოდში საპენსიო შენატანების ჯამურმა მოცულობამ 1.44 მილიარდი ლარი შეადგინა.
ფონდი აგრძელებდა პენსიებისა და საპენსიო აქტივების გაცემას კანონით განსაზღვრულ
შემთხვევებში და 2025 წელს 11,367 პირზე გაცემული პენსიებისა და საპენსიო აქტივების
მოცულობამ 62.8 მილიონი ლარი შეადგინა.
საინვესტიციო საქმიანობის კუთხით 2025 წელი ერთ-ერთი ყველაზე წარმატებული აღმოჩნდა.
ფონდის ნომინალურმა წლიურმა ამონაგებმა 11.8%, ხოლო რეალურმა ამონაგებმა 7.6%
შეადგინა. ფონდმა მნიშვნელოვანი როლი შეასრულა საქართველოს კაპიტალის ბაზრის
განვითარებაში.

მიერ
ადგილობრივ
კორპორაციულ
ობლიგაციებში განხორციელებულმა ინვესტიციებმა 100 მილიონ ლარს გადააჭარბა, რაც წლის
განმავლობაში განხორციელებული ადგილობრივი ემისიების დაახლოებით მეხუთედს
შეადგენდა. გაგრძელდა აქტიური მონაწილეობა საქართველოს სახელმწიფო ფასიანი
ქაღალდების პირველადი აუქციონებში და გაღრმავდა თანამშრომლობა საერთაშორისო
საფინანსო ინსტიტუტებთან. მაღალი შედეგები დაფიქსირდა საერთაშორისო აქციების
პორტფელში, რომელმაც 20%-ზე მეტი ამონაგები გამოიმუშავა.
საანგარიშო პერიოდში მნიშვნელოვანი პროგრესი იქნა მიღწეული ოპერაციული პროცესების,
რისკების მართვისა და ტექნოლოგიური ინფრასტრუქტურის განვითარების მიმართულებით.
განხორციელდა საინვესტიციო საქმიანობისთვის ახალი პროგრამული უზრუნველყოფის
დანერგვის ძირითადი ეტაპები, გაფართოვდა ელექტრონული სერვისები, დაინერგა
დამატებითი კიბერუსაფრთხოების და მონაცემთა დაცვის მექანიზმები, ხოლო ფონდმა
წარმატებით გაიარა ISO/IEC 27001:2022 სტანდარტის სასერტიფიკაციო აუდიტი.

საქართველოს საპენსიო ფონდი
2025 წელი ასევე მნიშვნელოვანი იყო მონიტორინგისა და აღსრულების სისტემის
განვითარების კუთხით. საკანონმდებლო ცვლილებების შედეგად დაინერგა საპენსიო
შენატანების ვალდებულებების ავტომატური მონიტორინგისა და სანქცირების მექანიზმები,
რამაც მნიშვნელოვნად გააძლიერა სისტემის ეფექტიანობა და მონაწილეთა ინტერესების
დაცვა.
ფონდის საქმიანობის გამჭვირვალობისა და ანგარიშვალდებულების უზრუნველსაყოფად,
2025 წელს დამოუკიდებელი აუდიტი ჩაატარა შპს „ფრაისუოთერჰაუსკუპერს საქართველომ“.
აუდიტორის მიერ მომზადებული დასკვნების შესაბამისად, ფონდისა და დაგროვებითი
საპენსიო სქემის ფინანსური ანგარიშგებები არსებითად სამართლიანად ასახავს მათ ფინანსურ
მდგომარეობას და მომზადებულია შესაბამისი საერთაშორისო სტანდარტების მოთხოვნების
შესაბამისად.
1. საინვესტიციო საქმიანობის მიმოხილვა
1.1.
საკანონმდებლო ცვლილებები და საინვესტიციო პროცესების განახლება
საანგარიშო პერიოდში ფონდის საქმიანობა განხორციელდა განახლებული საკანონმდებლო
და კანონქვემდებარე მარეგულირებელი ნორმების შესაბამისად. ამასთან, წესის საფუძველზე,
ფონდს დაევალა მისი წესების, დოკუმენტების და პროცედურების კანონთან და წესთან
შესაბამისობაში მოყვანა. აღნიშნული მოთხოვნების გათვალისწინებით, 2025 წლის
განმავლობაში საინვესტიციო კომიტეტმა დაიწყო შესაბამისი სამუშაოები, მათ შორის
საინვესტიციო პოლიტიკის დოკუმენტის გადახედვა და განახლება, რომლის პროცესებშიც
საინვესტიციო სამსახური აქტიურად იყო ჩართული.
1.2.
საინვესტიციო შედეგები და აქტივების განაწილება
2025 წელს საპენსიო აქტივების 1 ზრდის ტემპი მაღალ ნიშნულზე შენარჩუნდა და საანგარიშო
პერიოდის ბოლოსთვის აქტივების წმინდა ღირებულებამ 8,233 მილიონი ლარი შეადგინა, რაც
2024 წლის ბოლოს არსებულ მონაცემებთან შედარებით 2,169 მილიონი ლარით მეტია.
აღნიშნული ზრდის ძირითადი მიზეზი გაზრდილი კონტრიბუციები (1,373 მილიონი ლარი)
და მაღალი საინვესტიციო ამონაგები იყო. საანგარიშო პერიოდში ინვესტიციებიდან
მიღებულმა მოგებამ ისტორიულ მაქსიმუმს, 792.0 მილიონ ლარს მიაღწია, ხოლო ფონდის
დაარსებიდან
ჯამურად დაგენერირებული ამონაგების მოცულობამ 2.2 მილიარდ ლარს
გადააჭარბა.

ფონდის წმინდა ნომინალურმა წლიურმა ამონაგებმა 2025 წელს 11.8% შეადგინა, ხოლო
ინფლაციის გათვალისწინებით რეალურმა ამონაგებმა - 7.6%. აღსანიშნავია, რომ ფონდის
წლიურმა ნომინალურმა და რეალურმა ამონაგებმა ბოლო 7 წლის განმავლობაში (დაარსების
დღიდან 2025 წლის ბოლომდე) შესაბამისად 10.2% და 4.4% შეადგინა.

აქტივების 80%-ზე
მეტი ინვესტირებულია
საქართველოში,
რაც
ფონდის
მომგებიანობაზე ახდენს შესაბამის გავლენას. აღსანიშნავია, რომ საქართველოში 2025 წელს
კვლავ დაფიქსირდა მაღალი ეკონომიკური ზრდა, რამაც წინასწარი მონაცემებით 7.5%
შეადგინა. მართალია აღნიშნული ეკონომიკური ზრდა წინა წელთან შედარებით, უფრო
დაბალია (2024 წელს - 9.7% იყო), აღნიშნული უნდა განვიხილოთ, როგორც ეკონომიკური
ზრდის ნორმალიზება და გრძელვადიან პოტენციურ დონესთან დაახლოება. ამავდროულად,
გაიზარდა ინფლაციური წნეხი, რომელიც საერთაშორისო ბაზრებზე სასურსათო პროდუქციის
ფასების მატებამ განაპირობა. შედეგად, ინფლაცია 3.9%-მდე გაიზარდა და გადააჭარბა
საქართველოს ეროვნული ბანკის 3.0%-იან სამიზნე მაჩვენებელს. ინფლაციის საპასუხოდ,
ეროვნულმა ბანკმა 2025 წელს მკაცრი მონეტარული პოლიტიკა შეინარჩუნა და მონეტარული
პოლიტიკის განაკვეთი უცვლელად 8.0%-ზე დატოვა. ინფლაციის მომატებულმა დონემ
რეალური ამონაგების შემცირება გამოიწვია. ამასთან ერთად, წლის განმავლობაში ლარი
დოლართან მიმართებით 4.2%-ით გამყარდა, რაც თავის მხრივ ქვეყანაში გაზრდილი
უცხოური ვალუტის შემოდინებებს, გლობალურად სუსტ დოლარსა და ადგილობრივ
ბაზარზე დოლარზე მოთხოვნის შენელებას უკავშირდება.
საინვესტიციო სამსახურის მთავარ პრიორიტეტად კანონის შესაბამისად,
კვლავ რჩება
საპენსიო სქემის მონაწილეთათვის ინფლაციის გათვალისწინებით რეალური ამონაგების

საანგარიშო პერიოდის განმავლობაში მაღალი მომგებიანობით გამოირჩეოდა ფონდის
ძირითადი აქტივის ყველა კლასი. აღსანიშნავია საერთაშორისო აქციების პორტფელი,
რომელმაც ყველაზე მაღალი მოგება აჩვენა და წლიურად 20.7%-ით გაიზარდა. ადგილობრივ
აქტივებს შორის განსაკუთრებით აღსანიშნავია სადეპოზიტო სერთიფიკატების პორტფელი,
რომელსაც ფონდის აქტივებს შორის ყველაზე დიდი წილი უჭირავს და რომელიც
სტაბილურად მაღალი მომგებიანობით ხასიათდება.

2025 წლის 31 დეკემბრის მდგომარეობით, საპენსიო აქტივების 80.3% განთავსებული იყო
ლარში, ხოლო 19.7% - უცხოურ ვალუტაში დენომინირებულ აქტივებში. რაც შეეხება
აქტივების განაწილებას ინსტრუმენტების მიხედვით, საანგარიშო პერიოდის ბოლოსთვის
57.1% განთავსებული იყო 11 ქართულ კომერციულ ბანკში სადეპოზიტო სერთიფიკატებში,
რომელთაც ერიცხებათ ფიქსირებული სარგებელი, ხოლო 2.1% - ნომინალური მფლობელობის
სარგებლიან მიმდინარე ანგარიშებზე, რომლებსაც ერიცხება ცვლადი სარგებელი. უცხოურ
აქციებში ინვესტირებული იყო პორტფელის 19.2%, ხოლო საქართველოს სახაზინო ფასიანი
ქაღალდების წილი პორტფელის 16.3%-ს შეადგენდა. აქტივების 0.5% ევროობლიგაციებში იყო
განთავსებული, 2.8% - საერთაშორისო ფინანსური ინსტიტუტების ობლიგაციებში, 2.0% ადგილობრივ კორპორაციულ ობლიგაციაში. საკრედიტო ხარისხის მიხედვით, 2025 წლის 31
დეკემბრის მდგომარეობით, აქტივების 87.2% განთავსებული იყო მინიმუმ ქვეყნის
საკრედიტო რეიტინგზე ერთი საფეხურით ნაკლები რეიტინგის მქონე კომერციულ ბანკებსა
და ფასიან ქაღალდებში. მოქმედი კანონმდებლობის შესაბამისად, საინვესტიციო სამსახური
თანხების ინვესტირებას არ ახორციელებს საკრედიტო რეიტინგის არმქონე ბანკებსა და
ფინანსურ ინსტრუმენტებში.

ადგილობრივი კაპიტალის ბაზრის განვითარების ხელშეწყობის ერთ-ერთ ეფექტიან
მექანიზმად
საქართველოში

ინსტიტუტებთან
პარტნიორობა მიიჩნევა. აღსანიშნავია, რომ
საერთაშორისო საფინანსო ინსტიტუტები
საკვანძო როლს ასრულებენ საქართველოს ფინანსური სექტორისა და კაპიტალის ბაზრის
განვითარებაში ისინი ხელს უწყობენ ბაზრის ლიკვიდობის გაუმჯობესებას და
ეკონომიკისთვის საჭირო გრძელვადიანი კაპიტალის მიწოდებას.
საპენსიო ფონდმა საერთაშორისო საფინანსო ინსტიტუტების ობლიგაციებში ინვესტირება
პირველად 2024 წელს დაიწყო, როდესაც ევროპის რეკონსტრუქციისა და განვითარების ბანკის
ლარში განთავსებული ევროობლიგაციები შეიძინა, რომლებიც საბოლოოდ ადგილობრივი
ეკონომიკის
დაფინანსებას
მოხმარდა.

ლარში განთავსებული ობლიგაციების მოცულობამ 1.0 მილიარდ ლარს გადააჭარბა, რაც
ისტორიული მაქსიმუმია. საკმაოდ აქტიური იყო ფონდის მონაწილეობა ამ ბაზარზე - 2025
წლის განმავლობაში განხორციელებული ინვესტიციების მოცულობამ 100 მილიონ ლარს

2025 წლის 31 დეკემბრის მდგომარეობით ადგილობრივი კორპორაციული ობლიგაციების
პორტფელის ჯამურმა მოცულობამ 165 მილიონი ლარი შეადგინა, რაც აქტივების 2.0%-ია.
მიუხედავად აღნიშნული ზრდისა, კორპორაციული ობლიგაციების წილი ჯამურ აქტივებში
კვლავ შედარებით დაბალ ნიშნულზე ნარჩუნდება. აქვე აღსანიშნავია ქართული კომპანიების
აქტიურობა საერთაშორისო კაპიტალის ბაზრებზეც, სადაც საპენსიო ფონდის, როგორც
ადგილობრივი მსხვილი ინსტიტუციური ინვესტორის მონაწილეობა მნიშვნელოვანი იყო.
ფონდი მნიშვნელოვან როლს ასრულებს საქართველოს სახაზინო ობლიგაციების ბაზარზეც.
2025 წელს გაგრძელდა ფონდის აქტიური მონაწილეობა სახელმწიფოს სახაზინო ფასიანი
ქაღალდების აუქციონებში. წლის განმავლობაში ფონდმა ჯამურად 320 მილიონი ლარის
მოცულობის სახაზინო ფასიანი ქაღალდები შეიძინა 29 აუქციონის ფარგლებში, რის
შედეგადაც საპენსიო ფონდის წილმა 11.4% შეადგინა.

2025 წელს გაგრძელდა საპენსიო აქტივების დივერსიფიკაცია საერთაშორისო ბაზრებზე. წლის
განმავლობაში საერთაშორისო აქციებით ვაჭრობის ჯამურმა მოცულობამ 150 მილიონი აშშ
დოლარი შეადგინა. აღნიშნული აქტივობის შედეგად, უცხოური აქციების წილი ჯამურ
აქტივებში 2025 წლის ბოლოსთვის 19.2% შეადგინა. საერთაშორისო აქციების პორტფელი
მოიცავს წამყვანი კომპანიების აქციებს და დივერსიფიცირებულია მსოფლიოს ძირითად
ეკონომიკებში. 2025 წელი საერთაშორისო აქციებისთვის განსაკუთრებით წარმატებული
აღმოჩნდა და მაღალი ორნიშნა მომგებიანობა აჩვენა, მათ შორის აღსანიშნავია ლათინური
ამერიკის აქციების ფონდი, რომლის მოგებამაც 52.7% შეადგინა, ასევე ევროპული და
განვითარებული აზიის აქციების ფონდებიც, რომელთა მომგებიანობამ დაახლოებით 30%
შეადგინა.

ფონდი კანონით დადგენილ მკაფიოდ განსაზღვრულ საკანონმდებლო ჩარჩოს ფარგლებში
ოპერირებს, რაც სამი განსხვავებული საინვესტიციო პორტფელის მართვას გულისხმობს:
კონსერვატიული (ნაკლებრისკიანი), დაბალანსებული (საშუალორისკიანი) და დინამიკური
(მაღალრისკიანი). აღსანიშნავია რომ დაბალანსებული და დინამიკური პორტფელები 2023
წლის აგვისტოში შეიქმნა.
2025 წლის ბოლოს მდგომარეობით, კონსერვატიული პორტფელი მთლიანი აქტივების 98.8%ს (8,132.2 მილიონი ლარი) შეადგენდა, ხოლო დაბალანსებული და დინამიკური პორტფელები
შესაბამისად 0.6% (46.8 მილიონი ლარი) და 0.6%-ს (51.8 მილიონი ლარი). 2025 წელს
გაგრძელდა პორტფელებს შორის მონაწილეების რეალოკაცია მათი თავისუფალი არჩევანის
მიხედვით. აღსანიშნავია, რომ 2025 წელს აქტივების რეალოკაციის მოთხოვნების ძირითადი
ნაწილი კონსერვატიული პორტფელიდან დინამიკურ პორტფელში აქტივების გადატანას
უკავშირდებოდა და მსგავსი რეალოკაციების მოცულობამ 5.9 მილიონი ლარი შეადგინა.
მიუხედავად ამისა, პორტფელებს შორის რეალოკაციის საერთო მასშტაბი კვლავ შედარებით
დაბალ დონეზე ნარჩუნდება.

2025 წელი ფონდის საინვესტიციო პორტფელებისთვის ერთ-ერთი ყველაზე წარმატებული
წელი აღმოჩნდა. წლის განმავლობაში სამივე პორტფელმა ორნიშნა ნომინალურ ამონაგებს
მიაღწია; ყველაზე მაღალი მომგებიანობა დინამიკურმა პორტფელმა აჩვენა - 15.2%, რასაც
მოჰყვა დაბალანსებული პორტფელი 13.3%-ით და კონსერვატიული პორტფელი 11.8%-ით.
მიღებული შედეგები ასახავს როგორც საერთაშორისო ბაზრებზე არსებულ პოზიტიურ
დინამიკას, ისე ადგილობრივ ბაზარზე მაღალი შემოსავლიანობის შენარჩუნებას.

შესაბამისობაში იყო როგორც კანონით, ისე საინვესტიციო პოლიტიკის დოკუმენტით
განსაზღვრულ ლიმიტებსა და მოთხოვნებთან. ამასთან, დაცული იყო მარეგულირებელი
წესით გათვალისწინებული ყველა ლიმიტი და შეზღუდვა.
საინვესტიციო გუნდი ხელმძღვანელობს გამჭვირვალობის პრინციპით, რის შედეგადაც
ფონდის საინვესტიციო საქმიანობა და პორტფელების დინამიკა სისტემატურად და
დეტალურად არის ასახული საჯარო ანგარიშგებაში. აღნიშნული ანგარიშები მოიცავს
პორტფელების დინამიკის მიმოხილვას, მათ შორის ადგილობრივი და საერთაშორისო
აქტივების ანალიზს, ასევე პორტფელების განაწილების დეტალურ შეფასებას. გარდა ამისა,
2025 წლის მარტიდან ფონდმა დაიწყო ინტერაქტიული სტატისტიკის გამოქვეყნება, რომელიც
მომზადებულია მონაცემთა ვიზუალიზაციისა და ანალიზის პლატფორმა Power BI-ის
გამოყენებით.
1.3.
ინსტიტუციური განვითარება
2025 წელს ფონდმა გააგრძელა თანამშრომლობა მსოფლიო ბანკის რეზერვების მართვის
საკონსულტაციო და პარტნიორობის პროგრამასთან (RAMP), რომელიც მნიშვნელოვან
მხარდაჭერას უზრუნველყოფს ფონდის საინვესტიციო და რისკის მართვის ჩარჩოების
შემდგომ გაძლიერებაში. პროგრამის ფარგლებში ფონდი კვლავ იღებდა მსოფლიო ბანკის
ხაზინის ტექნიკურ მხარდაჭერას ინვესტიციების მართვის საკითხებში, მათ შორის
მმართველობით პროცესებში, პორტფელისა და რისკების მართვაში, აქტივების განთავსების
სტრატეგიის დაგეგმვასა და საინვესტიციო ოპერაციების ეფექტიან განხორციელებაში.
2025 წლის სექტემბერში, მსოფლიო ბანკის RAMP-ის პროგრამის ფარგლებში საქართველოში
სამუშაო ვიზიტით იმყოფებოდა მსოფლიო ბანკის ექსპერტთა ჯგუფი. ვიზიტის ფარგლებში
გაიმართა შეხვედრები ფონდის მმართველობით საბჭოსთან, მენეჯმენტთან და შესაბამის
სტრუქტურულ ერთეულებთან, სადაც ძირითადი ყურადღება დაეთმო ფონდის რისკების
მართვის ორგანიზაციული სტრუქტურის შემდგომ გაძლიერებას.
აღსანიშნავია ასევე, რომ საანგარიშო პერიოდის განმავლობაში საინვესტიციო სამსახურის
თანამშრომლებმა საერთაშორისო და ადგილობრივი აღიარება დაიმსახურეს, რაც კიდევ
ერთხელ ხაზს უსვამს გუნდის მაღალ პროფესიულ კომპეტენციას და ფონდის მზარდ
რეპუტაციას საერთაშორისო პროფესიულ წრეებში.
1.4.
საინვესტიციო საქმიანობის ოპერაციული მხარდაჭერა
საანგარიშო პერიოდში ფონდი აგრძელებდა შიდა საოპერაციო პროცესების განვითარებასა და
საინვესტიციო საქმიანობის ტექნოლოგიურ გაძლიერებას. ამ მიზნის ფარგლებში გაგრძელდა
ინვესტიციების მართვის პროგრამული უზრუნველყოფის დანერგვის პროექტი, რომლის

მიზანია საინვესტიციო პროცესების ავტომატიზაცია, მონაცემთა ხარისხის გაუმჯობესება და
საოპერაციო
კონტროლის
გაძლიერება.
წლის
განმავლობაში
პორტფელის
მართვის
პროგრამული უზრუნველყოფის მომწოდებელთან თანამშრომლობით შესრულდა დანერგვის
ძირითადი ეტაპები და განსაკუთრებული ყურადღება დაეთმო სისტემის ფუნქციონალს,
მონაცემთა ვალიდაციას და სამუშაო პროცესებთან შესაბამისობის გადამოწმებას.
აღსანიშნავია, რომ 2025 წელს წარმატებით განხორციელდა მომხმარებლის მიერ სისტემის
ტესტირების ყველა ფაზა. ტესტირების ფარგლებში განხორციელდა ძირითადი ბიზნესსცენარების ტესტირება და ფუნქციონალების შემოწმება, რის შედეგადაც სისტემა
ოფიციალურად მიღებულ იქნა საინვესტიციო სამსახურის მიერ და პროექტი გადავიდა
დანერგვის დასკვნით ეტაპზე. პროექტის მიმდინარე გეგმის შესაბამისად, 2026 წლის იანვარში
სისტემა სამუშაო რეჟიმში გაეშვა, რის შემდეგაც ეტაპობრივად ყოველდღიური საინვესტიციო
პროცესი სრულად გადავა ახალ პროგრამულ უზრუნველყოფაზე.
საანგარიშო პერიოდში ფონდის საინვესტიციო საქმიანობა ხორციელდებოდა გამართული და
კონტროლირებადი საოპერაციო ჩარჩოს ფარგლებში, რაც უზრუნველყოფდა საინვესტიციო
ოპერაციების სრულ ციკლს - გარიგებების აღრიცხვას, ანგარიშსწორებას, პოზიციებისა და
ფულადი ნაშთების მონიტორინგს, ასევე საოპერაციო მონაცემების დროულ და ზუსტ
დამუშავებას. აღნიშნულმა ჩარჩომ უზრუნველყო საინვესტიციო საქმიანობის შეუფერხებლად
და მაღალი ხარისხით განხორციელება და შექმნა საიმედო საფუძველი საინვესტიციო
გადაწყვეტილებების ეფექტიანი შესრულებისთვის.
ფონდის საოპერაციო შესაძლებლობები ამავე პერიოდში გაძლიერდა პროცესების
უწყვეტობის, მონაცემების სიზუსტისა და საოპერაციო რისკების ეფექტიანი მართვის
შედეგად, რაც განსაკუთრებით მნიშვნელოვანი იყო გაზრდილი მოცულობისა და სისტემური
განვითარების
პარალელურ
პირობებში.
განხორციელდა
საოპერაციო
პროცესების
სტანდარტიზაცია, გაძლიერდა სპეციალიზებულ დეპოზიტართან რეკონსილაციის და
მონიტორინგის მექანიზმები და დაინერგა ახალი საოპერაციო პრაქტიკები, რამაც ხელი
შეუწყო საოპერაციო სტაბილურობის
განვითარების მხარდაჭერას.

2.1. დაგროვებით საპენსიო სქემაში გაწევრიანების სტატისტიკა
საოპერაციო საქმიანობა საპენსიო შენატანების ადმინისტრირება და მასთან დაკავშირებული
პროცესების მართვაა.
საპენსიო ფონდის ყოველდღიური ცვლილებების საფუძველზე ხდება კომერციულ ბანკებში
და ფონდის სახაზინო ანგარიშებზე შესაბამისი ტრანზაქციების განხორციელება. შემოსული
განცხადებების საფუძველზე მიმდინარეობს პენსიის დანიშვნა/გაცემისა და გადაანგარიშების
პროცედურები, ასევე საპენსიო სქემიდან გასულებისათვის თანხების დაბრუნების პროცესი.

კანონის მე-3 მუხლის მე-2 პუნქტის თანახმად, საპენსიო სქემაში გაწევრიანება სავალდებულოა
ყველა დასაქმებულისთვის, გარდა იმ დასაქმებულისა, რომელსაც კანონის ამოქმედებამდე
(2018 წლის 6 აგვისტო) შეუსრულდა 60 წელი (მამაკაცი) ან 55 წელი (ქალი).
საანგარიშო პერიოდში საპენსიო შენატანების ადმინისტრირების ელექტრონულ სისტემაში
(შემდგომში - ელექტრონული სისტემა) დარეგისტრირდა 25,968 დამსაქმებელი და
თვითდასაქმებული და გაწევრიანდა 125.6 ათასი დასაქმებული. შედეგად, 2025 წლის 31
დეკემბრის მდგომარეობით საპენსიო სქემაში დაარსებიდან დღემდე, გაწევრიანებულ
მონაწილეთა რაოდენობამ ჯამში შეადგინა 1,7 მილიონი. 2019-2025 წლებში სქემიდან გავიდა
174 ათასი მონაწილე, პენსია დაენიშნა და საპენსიო აქტივები გაიცა 27 ათას მონაწილეზე ან/და
გარდაცვლილი მონაწილის მემკვიდრეზე და შესაბამისად 2025 წლის 31 დეკემბრის
მდგომაროებით საპენსიო სქემაში დარჩა 1,51 მილიონი მონაწილე. ამავე პერიოდის
ბოლოსთვის ფონდის სისტემაში რეგისტრირებულ დამსაქმებელთა საერთო რაოდენობამ 146
ათასი შეადგინა.

კერძო და საჯარო სექტორში შეცდომით გაწევრიანებული დასაქმებულის, მონაწილის
სტატუსი გაუქმდა 252 დასაქმებულზე, ჯამური თანხით - 367,350.59 ლარი.
საანგარიშო პერიოდის განმავლობაში მაკორექტირებელი დეკლარაციების საფუძველზე
თანხის კორექტირება მოხდა 96,199 დასაქმებულის შემთხვევაში, ჯამური თანხით 7,093,846.25
ლარი. ამავე პერიოდის განმავლობაში 540 დასაქმებულმა (რომელთა ჯამური საპენსიო
აქტივების ღირებულება შეადგენდა 389,811.46 ლარს) ისარგებლა საპენსიო სქემიდან გასვლის
უფლებით (აღნიშნული მოიცავს მხოლოდ კანონის 22-ე მუხლის შედეგად სქემიდან გასულ
დასაქმებულებს). საპენსიო სქემიდან გასული დასაქმებულებიდან საანგარიშო პერიოდში
სქემაში ხელახლა გაწევრიანდა 1,827 დასაქმებული.
საანგარიშო პერიოდში საპენსიო ფონდმა განაახლა მომსახურების ხელშეკრულება სსიპ
იუსტიციის სახლთან, რის შედეგადაც იუსტიციის სახლის ტერიტორიულ ერთეულებში

ფონდის სერვისების მიღება კვლავ შესაძლებელია. თანამშრომლობის ფარგლებში, საპენსიო
ფონდის სერვისები ხელმისაწვდომია მთელი საქართველოს მასშტაბით - იუსტიციის სახლის
126 ფილიალსა და ასევე მობილურ იუსტიციის სახლებში, რაც ბენეფიციარებს
შესაძლებლობას აძლევს სასურველი მომსახურება მეტად ხელმისაწვდომი იყოს.

2.3. დაგროვებითი საპენსიო სქემიდან გასვლა
კანონისა და ფონდის გენერალური დირექტორის 2025 წლის 7 მაისის №01 ბრძანებით
დამტკიცებული „დაგროვებითი საპენსიო სქემიდან გასვლის, საპენსიო შენატანების და ამ
შენატანებთან დაკავშირებული საინვესტიციო ან/და სხვა შემოსავლის დაბრუნებისა და
ხელახლა გაწევრიანების წესის“ (შემდგომში - გასვლის წესი) თანახმად, დასაქმებული,
რომელსაც კანონის ამოქმედებამდე (2018 წლის 6 აგვისტომდე) შეუსრულდა 40 წელი და
რომელსაც არ სურს იყოს საპენსიო სქემის მონაწილე, უფლებამოსილია, კანონის 22-ე მუხლის
შესაბამისად
გავიდეს
საპენსიო
სქემიდან,
ფონდისთვის
წერილობითი
მიმართვის
საფუძველზე, სავალდებულო წესით ავტომატურად გაწევრიანებიდან 5 თვის ვადაში, მაგრამ
არაუადრეს გაწევრიანებიდან 3 თვისა.
საანგარიშო პერიოდის განმავლობაში 540 დასაქმებულმა (რომელთა ჯამური საპენსიო
აქტივების ღირებულება შეადგენდა 389,811.46 ლარს) ისარგებლა საპენსიო სქემიდან გასვლის
უფლებით (აღნიშნული არ მოიცავს შეცდომით გაწევრიანებულ მონაწილეთა სტატუსის
გაუქმებით გაცემულ თანხებს).

3. მონიტორინგის პროცესი
მონიტორინგის პროცესი მოიცავს დამსაქმებლების მიერ „დაგროვებითი პენსიის შესახებ“
საქართველოს კანონით გათვალისწინებული ვალდებულებების შესრულების კონტროლს,
დარღვევების გამოვლენასა და შესაბამის რეაგირებას. პროცესის მიზანია სქემის მონაწილეთა
ინტერესების დაცვა, დამსაქმებელთა პასუხისმგებლიანი გარემოს ჩამოყალიბება და
დაგროვებითი საპენსიო სისტემის ეფექტიანი ფუნქციონირების ხელშეწყობა.

2025 წელს განხორციელდა 206 დამსაქმებლის მიერ 2025 წლის 1 მაისამდე წარმოშობილი
საპენსიო შენატანის განხორციელების ვალდებულების შესრულების მონიტორინგი.
მონიტორინგის ფარგლებში დამსაქმებლების მიერ განხორციელდა 3.1 მილიონი ლარის
საპენსიო შენატანი და გამოვლინდა 3.6 მილიონი ლარის განუხორციელებელი საპენსიო
შენატანი.
საანგარიშო პერიოდის განმავლობაში, დამსაქმებლების მიერ შესრულდა 2025 წლამდე
წარმოშობილი ვალდებულებათა დაფარვა, რომელთა ჯამურმა მოცულობამ შეადგინა 56.7
მილიონი ლარი.
2025 წელს ძალაში შესული საკანონმდებლო ცვლილებებიდან გამომდინარე, 2025 წლის 1
მაისის შემდეგ წარმოშობილი საპენსიო შენატანის შეუსრულებელი ვალდებულების ფაქტი
გამოვლინდება ავტომატურად, ელექტრონული სისტემის მეშვეობით, საქართველოს
საგადასახადო კოდექსით გათვალისწინებული საშემოსავლო დეკლარაციის წარდგენის
ვადის/საშემოსავლო დეკლარაციის შესწორების შემთხვევაში, აღნიშნული შესწორების
თარიღის მომდევნო კალენდარულ დღეს. შედეგად, ადმინისტრაციული პასუხისმგებლობის
– ჯარიმისა ან/და საურავის დაკისრება ხორციელდება ავტომატურად, თითოეული
საშემოსავლო დეკლარაციის მიმართ.
2025 წლის 1 მაისის შემდგომ წარმოშობილი ვალდებულების შეუსრულებლობისთვის 16,237
დამსაქმებელს დაეკისრა საქართველოს ადმინისტრაციულ სამართალდარღვევათა კოდექსით
განსაზღვრული ჯარიმა. 2025 წლის ბოლოსთვის დაკისრებული ჯარიმების ჯამურმა
ოდენობამ 27.8 მილიონ ლარი შეადგინა. გამოვლენილი საპენსიო შენატანის ვალდებულების
დარღვევების აღმოფხვრა უზრუნველყო დამსაქმებელთა 78%-მა.
2025 წლის საპენსიო შენატანის განხორციელების ვალდებულება სრულად შეასრულა
დამსაქმებელთა 92%-მა, რაც წინა წლების მაჩვენებლებთან შედარებით 43 პროცენტული
პუნქტით მეტია.
4. რისკების მართვა
რისკების კონტროლის დეპარტამენტის მიერ 2025 წლის განმავლობაში დეპარტამენტის
კომპეტენციის ფარგლებში განსაზღვრული ამოცანები და სამუშაოების ეფექტურობის
მაჩვენებლების ყველა კომპონენტი სრულად შესრულდა.
2025 წელი რისკების კონტროლის დეპარტამენტისთვის წარმოადგენდა როგორც სისტემური
განვითარების, ისე რისკების მართვისა და კონტროლის ფუნქციის ინსტიტუციური
გაძლიერების ეტაპს. აღნიშნულ პერიოდში დეპარტამენტმა საქმიანობა განახორციელა
კანონის, წესისა და ფონდის საქმიანობის სხვა მარეგულირებელი წესებისა და ნორმების
მოთხოვნების შესაბამისად.
განხორციელებული საკანონმდებლო ცვლილებები, ფონდის ახალი მმართველობითი
სტრუქტურის ჩამოყალიბება და რისკების მართვის ფუნქციის სტრატეგიულ დონეზე

ინტეგრაცია, საფუძვლად დაედო რისკებზე ორიენტირებული მმართველობის ერთიანი
სისტემის ჩამოყალიბებას.
2025 წლის განმავლობაში ჩატარდა რისკის კომიტეტის 6 სხდომა, რომელშიც აქტიურად
მონაწილეობს რისკების კონტროლის დეპარტამენტი. სხდომის ფარგლებში განხილული და
შეთანხმებული იქნა როგორც ტექნოლოგიური, ასევე საინვესტიციო და არასაინვესტიციო
რისკებთან დაკავშირებული ძირითადი საკითხები.
დეპარტამენტის მიერ მომზადებული ანგარიშები და განხორციელებული ღონისძიებები
მიმართული იყო ფონდის სტრატეგიული მიზნების მიღწევის მხარდაჭერისკენ, საოპერაციო,
შესაბამისობის, რეპუტაციული და საინვესტიციო რისკების იდენტიფიცირების, შეფასებისა
და კონტროლის პროცესების გაუმჯობესებისკენ, აგრეთვე ინფორმაციული უსაფრთხოებისა
და ბიზნეს-უწყვეტობის სისტემების გაძლიერებისკენ.
რისკების კონტროლის დეპარტამენტმა 2025 წლის განმავლობაში დროულად მოამზადა და
შესაბამის ორგანოებს წარუდგინა:
საოპერაციო, შესაბამისობისა და რეპუტაციული რისკების კვარტალური ანგარიშები;
აგრეგირებული რისკის ანგარიში;
საინვესტიციო რისკების ყოველთვიური ანგარიშები (მათ შორის 2025 წლის მაისიდან
საინვესტიციო საქმიანობის მონიტორინგისა და კონტროლის ფუნქციის დაბრუნების შემდეგ).
აღნიშნული ანგარიშები სისტემატურად გაზიარდა რისკის კომიტეტთან, მმართველობით
საბჭოსთან და საქართველოს ეროვნულ ბანკთან, რაც უზრუნველყოფდა რისკებთან
დაკავშირებული ინფორმაციის დროულ მიწოდებას და გადაწყვეტილებების მიღების
პროცესის მხარდაჭერას.
2025 წლის განმავლობაში დეპარტამენტის აქტიური ჩართულობით განხორციელდა საპენსიო
ფონდის რისკის მართვის ჩარჩოს პროექტის შემუშავება, რომელიც მომზადდა მოქმედი
კანონმდებლობისა და ეროვნული ბანკის მოთხოვნების შესაბამისად და დამტკიცების მიზნით
წარედგინა მმართველობით საბჭოს, ხოლო შემდგომ - ეროვნულ ბანკს.
რისკების უფრო ეფექტიანად მართვის, ტექნიკური კონტროლის მექანიზმების გაძლიერებისა
და ავტომატიზაციის მიზნით, რისკების კონტროლის დეპარტამენტმა შეიძინა და დანერგა
შემდეგი პროგრამული უზრუნველყოფა:
ორდონიანი აუთენტიფიკაციის (2FA) სრული ამოქმედება;
Conditional Access პოლიტიკების დანერგვა;
მონაცემთა კლასიფიკაციის და მარკირების სრული ამოქმედება;
DLP სისტემისა და მონაცემთა კლასიფიკაციისა და მარკირების სისტემების
ინტეგრაცია;

მოწყვლადობების სკანირების და მართვის პროგრამული უზრუნველყოფის დანერგვა
და გამოყენება რეალურ გარემოში.
ასევე
განახლდა
„ელექტრონული
საინფორმაციო
სისტემების
ცდომილებების
და
უსაფრთხოების ინციდენტების მართვის და მონიტორინგის“ (SIEM) პროგრამული
უზრუნველყოფისა და „მონაცემთა გაჟონვის პრევენციის“ (DLP) სისტემის მხარდაჭერა.
აღნიშნული
ღონისძიებები
მიმართული
იყო
მონაცემთა
კონფიდენციალურობის,
მთლიანობისა და ხელმისაწვდომობის უზრუნველყოფისკენ, აგრეთვე ინფორმაციული
უსაფრთხოების ინციდენტების პრევენციისა და რისკების შემცირებისკენ.
2025 წელს რისკების კონტროლის დეპარტამენტმა განსაკუთრებული ყურადღება დაუთმო
თანამშრომელთა პროფესიულ განვითარებასა და ცნობიერების ამაღლებას.
დეპარტამენტის თანამშრომლები მონაწილეობას იღებდნენ როგორც შიდა, ისე გარე სასწავლო
და სასერტიფიკატო პროგრამებში, მათ შორის ინფორმაციული უსაფრთხოების, შრომის
უსაფრთხოების, ფინანსური რისკებისა და შიდა კონტროლის მიმართულებით.
ამასთან, დეპარტამენტი სისტემატურად ატარებდა სწავლებებს ცნობიერების ამაღლების
მიზნით, ფონდის თანამშრომლებისთვის, რაც ხელს უწყობდა რისკებზე ორიენტირებული
კულტურის განმტკიცებას ორგანიზაციის მასშტაბით.
2025 წლის მეოთხე კვარტალში საპენსიო ფონდში ჩატარდა „ფიზიკური და შრომის
უსაფრთხოების ტრენინგი“, რომელსაც უძღვებოდნენ რისკების კონტროლის დეპარტამენტის,
შრომის უსაფრთხოების სერტიფიცირებული თანამშრომლები.
რისკების კონტროლის დეპარტამენტმა 2025 წელს ფონდის ინფორმაციული უსაფრთხოების
მიმართულებით განახორციელა შემდეგი სამუშაოები:
2025 წლის განმავლობაში რისკების კონტროლის დეპარტამენტის ინიციატივით ჩატარდა
საპენსიო ფონდის ინფორმაციული უსაფრთხოების საკონსულტაციო საბჭოს (ყოფილი
კომიტეტი) ორი სხდომა.
უფროსი ინფორმაციული უსაფრთხოების ოფიცრის მიერ გადამოწმდა საპენსიო ფონდში
არსებულ ელექტრონულ სისტემაში მომხმარებელთა წვდომები და უფლებები. ასევე,
კომიტეტის ფარგლებში მოხდა რისკების კონტროლის დეპარტამენტის მიერ გაცემული
რეკომენდაციების
შესრულების
სტატუსების
განხილვა
და
განისაზღვრა
ახალი
რეკომენდაციების შესრულების ვადები.
2025 წლის იანვარში რისკების კონტროლის დეპარტამენტის მხრიდან ჩატარდა ISO27001:2022
სტანდარტის შესაბამისობის შიდა აუდიტი.
2025 წლის მესამე კვარტალში ინფორმაციული უსაფრთხოების მიმართულებით, გარდა
ყოველდღიური მონიტორინგისა და ინფორმაციული უსაფრთხოების პროცედურების
მიხედვით სამუშაოს განხორციელებისა, რისკების კონტროლის დეპარტამენტმა წარმატებით

გაირა ISO/IEC 27001:2022 სტანდარტის სასერთიფიკაციო აუდიტი. აღნიშნული სტანდარტი
წარმოადგენს მის უახლეს და გაუმჯობესებულ ვერსიას, რომელიც ითვალისწინებს
თანამედროვე გამოწვევებსა და ტექნოლოგიურ ცვლილებებს. აღსანიშნავია, რომ
სასერთიფიკაციო აუდიტის ფარგლებში არ დაფიქსირდა ISO 27001 სტანდარტთან არცერთი
ძირითადი ან/და მცირე შეუსაბამობა.

2025 წლის განმავლობაში განხორციელდა:
ბიზნეს-უწყვეტობის გეგმებისა და პროცედურების გადახედვა და განახლება;
ბიზნეს-უწყვეტობის საკონსულტაციო საბჭოს მუშაობა;
ბიზნეს-პროცესების გავლენის (BIA) ანალიზი;
ბიზნეს-უწყვეტობის ტესტირებები და სიმულაციები.
აღსანიშნავია, რომ 2025 წლის განმავლობაში ფონდის საქმიანობაზე არსებითი გავლენის მქონე
ბიზნეს-უწყვეტობის ინციდენტები არ დაფიქსირდა, ხოლო გამოვლენილი საოპერაციო
ხარვეზები დროულად დამუშავდა შესაბამისი რეკომენდაციების გაცემის გზით.
2025 წლის განმავლობაში რისკების კონტროლის დეპარტამენტის მიერ განხორციელდა
ბიზნეს უწყვეტობის ტესტირება/სიმულაცია, მათ შორის წლის პირველ კვარტალში ჩატარდა
ბიზნეს-უწყვეტობის პროცედურით გათვალისწინებული სცენარის პრაქტიკული ტესტირება3.
გამოვლენილი შედეგების საფუძველზე განახლდა შესაბამისი პროცედურები და დამატებით
შემუშავდა ახალი სცენარები ბიზნეს-უწყვეტობის სისტემის გაძლიერების მიზნით.
2025 წელს რისკების კონტროლის დეპარტამენტის ინიციატივით გადაიხედა და განახლდა
საპენსიო ფონდის 40-მდე დოკუმენტი და მიღებულ იქნა ორი ახალი პოლიტიკა:
„ღრუბლოვანი სერვისების მართვისა და გამოყენების პოლიტიკა“
„ინფორმაციის სასიცოცხლო ციკლის მართვის პოლიტიკა“
2025 წლის განმავლობაში ფონდში მოხდა რამდენიმე ინციდენტი ბიზნეს-უწყვეტობასთან
დაკავშირებით
(კერძოდ,
სამუშაო
პროცესის
ტექნიკური
შეფერხებები,
მათ
შორის
ელექტროენერგიის მიწოდების შეწყვეტა), რომლებიც დარეგისტრირდა ფონდის შესაბამის
პროგრამაში, სადაც დეტალურად იქნა აღწერილი თითოეული შემთხვევა. აღსანიშნავია, რომ
3 ბიზნესს უწყვეტობის მართვის პროცედურის სცენარით „ცრუ განგაში“ გათვალისწინებული სიმულაცია.

აღნიშნულ ინციდენტებს არ მოჰყოლია რაიმე სახის მატერიალური, ფინანსური ან/და
რეპუტაციული ზიანი.
5. შიდა აუდიტი
საანგარიშო პერიოდში შიდა აუდიტის სამსახური საქმიანობას ახორციელებს დამტკიცებული
წლიური აუდიტის გეგმის შესაბამისად. ასევე, მმართველობითი საბჭოს მოთხოვნით
განხორციელდა დამატებითი არაგეგმიური აუდიტები. წლის განმავლობაში შიდა აუდიტმა
ჩაატარა
ოთხი
არაგეგმიური
აუდიტი,
რომლებიც
მიზნად
ისახავდა
საოპერაციო,
შესაბამისობისა და მმართველობითი რისკების იდენტიფიცირებას და შესაბამისი დიზაინის
შემუშავებას.
ყველა აუდიტის ფარგლებში განხორციელდა შედარებითი ანალიზი კანონმდებლობასთან,
პრაქტიკასთან და შიდა რეგულაციების შესაბამისობის დასადგენად. შემოწმების შედეგად
გამოვლენილი
ნაკლოვანებების
გამოსწორების
მიზნით
შემუშავდა
შესაბამისი
რეკომენდაციები. მიმდინარე პროცესების ოპტიმიზაციისა და გაციფრულების მიზნით
განხორციელდა კონკრეტული აქტივობები და შემუშავდა მნიშვნელოვანი პოლიტიკები.
შიდა აუდიტის სამსახური ასევე მონაწილეობდა გარე აუდიტორის შერჩევის პროცესში, მათ
შორის შესაბამისი ტექნიკური დოკუმენტაციის მომზადებაში.
ადამიანური რესურსის განვითარების კუთხით შიდა აუდიტის სამსახური განსაკუთრებულ
ყურადღებას უთმობს პროფესიული კვალიფიკაციის ამაღლებას. შიდა აუდიტის სამსახური
აგრძელებს ურთიერთობას საქართველოს ფინანსთა სამინისტროს სახელმწიფო შიდა
კონტროლის დეპარტამენტთან (ჰარმონიზაციის ცენტრი) ინსტიტუციური გაძლიერების
მიმართულებით.
2025 წელს ჰარმონიზაციის ცენტრის კოორდინირებით და PEMPALIS-ის მეშვეობით გაიმართა
შიდა
აუდიტორთა
შეხვედრა
ახალი
გლობალური
სტანდარტების
დანერგვასთან
დაკავშირებით.
საანგარიშო პერიოდში შიდა აუდიტის სამსახურის უფროსის მოადგილემ წარმატებით
ჩააბარა გლობალურად აღიარებული შიდა აუდიტის სერტიფიკაციის — CIA (Certified Internal
Auditor) — პირველი ნაწილი და ამჟამად წარმოადგენს მეორე და მესამე დონის კანდიდატს,
რაც კიდევ უფრო აძლიერებს სამსახურის პროფესიულ პოტენციალს.

6. საინფორმაციო ტექნოლოგიები
ფონდში არსებული მოწყობილობების, მონიტორინგის და ოპერაციული სისტემების
დანერგვა, განახლება და ოპტიმიზაცია.

რისკების კონტროლის დეპარტამენტის რეკომენდაციის საფუძველზე გამოირთო Microsoft
Store, რაც უზრუნველყოფს უსაფრთხოების გაძლიერებას, IT-კონტროლის გაუმჯობესებას და
საოპერაციო პროცესების გამარტივებას. აღნიშნული ღონისძიება წარმოადგენს დამატებით
გარანტიას იმისა, რომ ორგანიზაციაში გამოყენებული პროგრამული უზრუნველყოფა იქნება
მხოლოდ სანდო და დამტკიცებული წყაროებიდან.

მითითებულ ელფოსტაზე პირველადი ავტორიზაციის პარამეტრების გადაგზავნას.
შემოსავლების სამსახურთან (RS) ინტეგრაცია - პროექტის ფარგლებში განხორციელდა
შემდეგი სამუშაოები:

სამოქალაქო დოკუმენტების ნუსხის იმპლემენტაცია;
•
RS-დან მიღებული დეკლარაციების ადმინისტრირება;
•
ახალი
ორგანიზაციების
ავტომატური
რეგისტრაცია
და
მათთვის
RS-ით
ავტორიზაციის ფუნქციონალის მიბმა;
•
ახალ
დეკლარაციების
შედეგად
სრულად
განახლდა
საპენსიო
შენატანის
განხორციელებისა და ადმინისტრირების პროცესი;
•
შემუშავდა წინასწარ განსაზღვრული სცენარების შესაბამისად საურავის/ჯარიმის
ავტომატური დარიცხვისა და ელექტრონული ოქმის გენერაციის ფუნქციონალი;
•
შენატანების სტატუსების შემოღება და სტანდარტიზაცია - განხორციელდა ფონდში
შემოსულ ყველა ტიპის თანხებზე სტატუსების შემოღება , რომლებიც აღწერს მათ
სასიცოცხლო ციკლს (Life Cycle).
აღნიშნული ამარტივებს დეკლარაციებთან ან/და შენატანებთან მუშაობას ისეთ პროცესებში,
როგორებიცაა მაკორექტირებელი დეკლარაციის (შემცირების მიზნით) ადმინისტრირება,
წლიური ხელფასის დათვლა (მათ შორის მაშინ, როდესაც მონაწილეს ფონდში რამდენჯერმე
შემოსვლა-გასვლა აქვს) და ა.შ.
7. ფონდის და საპენსიო სქემის ფინანსური ანგარიშგებების

„ფრაისუოთერჰაუსკუპერს საქართველო“. მათ მიერ 2026 წლის 22 მაისს დასრულდა საპენსიო
ფონდის 2025 წლის ფინანსური ანგარიშგების აუდიტის პროცესი და მომზადდა შესაბამისი
აუდიტის დასკვნები. ფონდის ფინანსური ანგარიშგებები მომზადდა IPSAS-ის და IFRS-ის
სტანდარტების შესაბამისად, ხოლო ანგარიშგების აუდიტი განხორციელდა - ISA-ს
სტანდარტით. აღნიშნული აუდირებული ფინანსური ანგარიშგებები განთავსებულია
ფონდის ოფიციალურ ვებ-გვერდზე.
IFRS-ით მომზადებული საპენსიო სქემის ფინანსური მდგომარეობისა და საპენსიო
სარგებლისთვის განკუთვნილი წმინდა აქტივების ცვლილებების ანგარიშგებები თან ერთვის
წინამდებარე ანგარიშს დანართი №1-ის სახით.

IPSAS-ით მომზადებული საპენსიო ფონდის ფინანსური შედეგების, წმინდა აქტივების
ცვლილებებისა და ფულადი სახსრების მოძრაობის ანგარიშგებები თან ერთვის წინამდებარე
ანგარიშს დანართი №2-ის სახით.
8. 2025 წლის ბიუჯეტი
კანონის მე-17 მუხლის შესაბამისად, საპენსიო ფონდის საქმიანობის დაფინანსების წყაროა
მონაწილეთა საპენსიო აქტივები, საპენსიო აქტივების წლიური მომსახურების საფასურის
სახით, რომელიც გამოიხატება საპენსიო აქტივების პროცენტული მოცულობით. 2025 წლის
დამტკიცებულმა ბიუჯეტმა შეადგინა 17 მილიონი ლარი. დამტკიცებული ბიუჯეტის 59%
განკუთვნილი
იყო
საპენსიო
ფონდის
მმართველობითი
და
ადმინისტრაციული
საქმიანობისთვის, ხოლო 41% - საინვესტიციო საქმიანობისთვის. საანგარიშო პერიოდში
ბიუჯეტის შესრულების მაჩვენებელმა 97% შეადგინა.
2025 წელს სპეციალიზებული დეპოზიტარის მომსახურების საკომისიომ შეადგინა 1,959,244
ლარი, ხოლო სხვა მომსახურებისა და ფინანსური გარიგების ჯამურმა ოდენობამ 5,411,917
ლარი.

გადახდილმა ფიქსირებულმა და ცვლადმა ჯამურმა ანაზღაურებამ საშუალოდ 108 ადამიანზე
შეადგინა 9,028,994 ლარი (მათ შორის ცვლადმა ანაზღაურებამ შეადგინა 1,475,593 ლარი),
რომლის დაანგარიშება ხდება დარიცხვის მეთოდით.
9. საზოგადოებასთან ურთიერთობა
საზოგადოებისთვის ინფორმაციის პროაქტიული მიწოდება და მაქსიმალური გამჭვირვალობა
ფონდისთვის ერთ-ერთ მნიშვნელოვან პრიორიტეტს წარმოადგენს. შესაბამისად, 2025 წლის
განმავლობაში გამოქვეყნდა 989 სატელევიზიო, რადიო, ონლაინ და ბეჭდური მასალა.
აუდიტორიის ჯამურმა მოცვამ, აღნიშნული პერიოდის განმავლობაში 20 მილიონს
გადააჭარბა (20,786,244 ადამიანი). ასევე, მონაწილეებისთვის ინფორმაციის მიწოდება
ხორციელდებოდა ფონდის სოციალური ქსელების, ვებგვერდისა და ბლოგის მეშვეობით. 2025
წლის 31 მარტს ფონდმა ტრადიციულად გასული წლის საინვესტიციო შედეგების
შემაჯამებელი პრეზენტაცია გამართა და წლიური საინვესტიციო ანგარიში წარადგინა.
მომზადდა ვიდეომასალა და განთავსდა შესაბამისი ინფორმაცია საინფორმაციო სივრცეში.
საკანონმდებლო ცვლილებებთან დაკავშირებით გატარდა მთელი რიგი საინფორმაციო
ღონისძიებები: ინფორმირებისთვის, წინასწარ მომზადდა საინფორმაციო ბარათები და ვიდეო
მასალა. გაიმართა უწყებათაშორისი შეხვედრა საქართველოს ბიზნეს ასოციაციაში (BAG),
ბუღალტერთა ჯგუფების ჩართულობით ჩატარდა 5 შეხვედრა ხელმძღვანელ პირებთან და 10
შეხვედრა ონლაინ პლატფორმებზე, რომლებშიც 1,200-ზე მეტი ბუღალტერი მონაწილეობდა.
ასევე ჩატარდა მთელი რიგი შეხვედრები შემოსავლების სამსახურის აქტიური ჩართულობით,
მათ შორის განხორციელდა ერთობლივი სატელევიზიო ეთერები. მიმდინარე კამპანიის
ფარგლებში განახლდა ვებგვერდისა და სოციალური ქსელების ვიზუალური მხარე, კანონში
შეტანილი ცვლილების გათვალისწინებით. მონაწილეთა პირად გვერდებზე გაიგზავნა

საინფორმაციო შეტყობინებები. გაშუქდა ISO/IEC 27001:2022 სტანდარტის სასერტიფიკაციო
აუდიტის შეხვედრა და საქართველოს საპენსიო ფონდის მმართველობითი საბჭოს შეხვედრა
მსოფლიო ბანკის რეზერვების
წარმომადგენლებთან.

2025 წლის განმავლობაში ფონდს სოციალური ქსელის, ფეისბუქის საშუალებით, მოგვმართა
4,279-მა, ხოლო ელექტრონული ფოსტის მეშვეობით - 5,448-მა მოქალაქემ. საინვესტიციო
პოლიტიკის დოკუმენტის შესაბამისად, ვებგვერდსა და სოციალურ ქსელებში გრძელდება
საინვესტიციო
შედეგების
ყოველთვიური
ანგარიშის
გამოქვეყნება,
ასევე
პროაქტიულად ქვეყნდება ყოველთვიური სტატისტიკური მონაცემები.

საკანონმდებლო ცვლილებების გათვალისწინებით და მარეგულირებელ ნორმებთან
შესაბამისობის უზრუნველყოფის მიზნით, საანგარიშო პერიოდში მმართველობითი საბჭოს
და გენერალური დირექტორის მოვალეობის შემსრულებლის მიერ გადაიხედა და ახალი

ნორმატიული აქტები:

მმართველობითი საბჭოს თავმჯდომარის 2025 წლის 1 მაისის №01 დადგენილებით
დამტკიცდა ფონდის დებულება, რომელიც ადგენს ფონდის მოწყობისა და საქმიანობის
ძირითად პრინციპებს. აღნიშნული დებულება ძალადაკარგულად იქნა ცნობილი
მმართველობითი საბჭოს თავმჯდომარის 2026 წლის 26 მარტის №003 დადგენილებით
და დამტკიცდა ახალი დებულება.

გენერალური დირექტორის 2025 წლის 7 მაისის №01 ბრძანებით დამტკიცდა

საპენსიო აქტივების დაბრუნებისა და გადახდის, დაინტერესებული პირებისთვის
ცნობების გაცემის, ასევე ხელახლა ან/და ნებაყოფლობით გაწევრიანების საკითხებს;

გენერალური დირექტორის 2025 წლის 7 მაისის №02 ბრძანებით დამტკიცდა „პენსიის
და საპენსიო აქტივების დანიშვნა-გაცემის შესახებ ინსტრუქცია“, რომელიც კანონის

შესახებ ინსტრუქცია“, რომელიც კანონის შესაბამისად აწესებს მონაწილის/პენსიის

პორტფელებში საპენსიო აქტივების ავტომატურად გადანაწილების წესს;

გენერალური დირექტორის და სსიპ შემოსავლების სამსახურის 2025 წლის 8 მაისის
№06/01 ერთობლივი ბრძანებით დამტკიცდა „საპენსიო შენატანების განხორციელების
უზრუნველყოფის შესახებ წესი“, რომლითაც დადგინდა 2025 წლის 1 მაისიდან
მიღებულ ხელფასთან ან/და თვითდასაქმებულის შემოსავალთან დაკავშირებული
საპენსიო შენატანის განხორციელების წესები.
საანგარიშო პერიოდში, დამატებით ცვლილებები განხორციელდა კანონში. კერძოდ,

Our opinion
In our opinion, the financial statements present fairly, in all material respects, the financial position of
Pension Scheme defined by the Law of Georgia on Funded Pensions (the “Pension Scheme”)
administrated by LEPL Pension Fund of Georgia as at 31 December 2025, and changes in the Pension
Scheme’s net assets available for benefits for the year then ended in accordance with International
Financial Reporting Standards - International Accounting Standard 26 - Accounting and reporting by
Retirement Benefit Plans.
What we have audited
The Pension Scheme’s financial statements comprise:
•
the statement of financial position as at 31 December 2025;
•
the statement of changes in net assets available for benefits for the year then ended;
•
the notes to the financial statements, comprising material accounting policy information and other
explanatory information.
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (ISAs). Our
responsibilities under those standards are further described in the Auditor’s responsibilities for the audit
of the financial statements section of our report.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for
our opinion.
Independence
We are independent of the Pension Scheme in accordance with the ethical requirements of the Law of
Georgia on Accounting, Reporting and Auditing that are relevant to audits of financial statements in
Georgia and the International Code of Ethics for Professional Accountants (including International
Independence Standards) issued by the International Ethics Standards Board for Accountants (IESBA
Code). We have also fulfilled our other ethical responsibilities in accordance with the ethical
requirements of the Law of Georgia on Accounting, Reporting and Auditing and the IESBA Code.

Responsibilities of management and those charged with governance for the
financial statements
Management is responsible for the preparation and fair presentation of the financial statements in
accordance with International Financial Reporting Standards - International Accounting Standard 26 Accounting and reporting by Retirement Benefit Plans and for such internal control as management
determines is necessary to enable the preparation of financial statements that are free from material
misstatement, whether due to fraud or error.
In preparing the financial statements, management is responsible for assessing the Pension Scheme’s
ability to continue as a going concern, disclosing, as applicable, matters related to going concern and
using the going concern basis of accounting unless management either intends to liquidate the Pension
Scheme or to cease operations, or has no realistic alternative but to do so.
Those charged with governance are responsible for overseeing the Pension Scheme’s financial reporting
process.
Auditor’s responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole
are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that
includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an
audit conducted in accordance with ISAs will always detect a material misstatement when it exists.
Misstatements can arise from fraud or error and are considered material if, individually or in the
aggregate, they could reasonably be expected to influence the economic decisions of users taken on the
basis of these financial statements.
As part of an audit in accordance with ISAs, we exercise professional judgement and maintain
professional scepticism throughout the audit. We also:

Identify and assess the risks of material misstatement of the financial statements, whether due to
fraud or error, design and perform audit procedures responsive to those risks, and obtain audit
evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting
a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may
involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal
control.

Obtain an understanding of internal control relevant to the audit in order to design audit procedures
that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the
effectiveness of the Pension Scheme’s internal control.

Evaluate the appropriateness of accounting policies used and the reasonableness of accounting
estimates and related disclosures made by management.

Conclude on the appropriateness of management’s use of the going concern basis of accounting
and, based on the audit evidence obtained, whether a material uncertainty exists related to events or
conditions that may cast significant doubt on the Pension Scheme’s ability to continue as a going
concern. If we conclude that a material uncertainty exists, we are required to draw attention in our
auditor’s report to the related disclosures in the financial statements or, if such disclosures are
inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to
the date of our auditor’s report. However, future events or conditions may cause the Pension
Scheme to cease to continue as a going concern.

Evaluate the overall presentation, structure and content of the financial statements, including the
disclosures, and whether the financial statements represent the underlying transactions and events
in a manner that achieves fair presentation.

1. Background
Description of the Pension Scheme
These financial statements are prepared for the ension Scheme , as defined by the Law of Georgia on Funded
Pensions (the Law ), dated 6 August 2018. The Law also regulates key terms and conditions for the
management and administration of the Pension Scheme by LEPL Pension Fund of Georgia (the Fund ).
The Fund was established as a legal entity of public law in accordance with the Law and the Decree N421 dated
Pension
effective till 1 May 2025). Taking into account the amendments to the Law that came into
effect on 1 May 2025, the new charter of the Pension Fund, setting out the fundamental principles governing
the organization and activities of the Fund, was approved by the Governing Board. In connection with these
amendment, on 1 May 2025, the legal name of the LEPL Pension Agency changed to the LEPL Pension Fund
of Georgia.
The Fund is established for the purposes of management and administration of the Pension Scheme in the frame
of which the Fund manages Pension Assets (as defined by the Law) owned by the participants of the Pension
Scheme in the best interests of participants, pension beneficiaries and their heirs. All Pension Assets jointly
represent the Pension Scheme. The governing bodies of the Fund are: the Governing Board and the Executive
Directors of the Pension Fund, which consist of the General Director, the Chief Investment Officer, the Chief
Risk Officer and the Head of Internal Audit. The functions of the Governing Board include, but are not limited
to: (i) developing and approving the charter and organizational structure of the Fund; (ii) selecting and
appointing the Executive Directors of the Fund through an open competition and prior consent of the the
National Bank of Georgia (NBG); (iii) establishing committees in accordance with the Law; (iv) reviewing and
approving policy documents related to special functions, including the investment policy document; (v)
reviewing and approval of the annual budget and staff list of the Pension Fund submitted by the General Director
of the Fund (vi) establishing procedures and criteria for the selection of the asset management company and the
specialized depository; (vii) Appointment of an external audit firm.
The functions of the General Director include, but are not limited to, the following: (i) representing the Fund in
relations with third parties and exercising the powers granted to the Fund by law and the Fund Charter, including
concluding agreements and transactions, unless otherwise provided for by law; (ii) appointing and dismissing
the Pension Fund employees; (iii) executing the decisions of the Governing Board; (iv) preparing the annual
budget and staff list of the Pension Fund and submits them to the Governing Board for approval; (v) managing
the activities of the Pension Fund in accordance with the Law and the Pension Fund Charter; (vi) issuing
individual administrative-legal acts against persons violating the obligation to make pension contributions, in
accordance with this Law and the rules established by the Pension Fund, including imposing fines, and penalties;
and, on the basis of such individual administrative-legal acts, issuing enforcement orders to ensure compulsory
execution of the decisions; vii) preparing an annual report on the activities of the Pension Fund for submission
to the National Bank of Georgia, the Government of Georgia and the Parliament of Georgia; (viii) issuing
individual administrative legal acts, and after agreement with the Governing Board, normative administrativelegal acts-orders, including a joint normative act together with the LEPL Revenue Service - to exercise the
authorities granted by Law.
The Chief Investment Officer implements the investment policy in accordance with the law, the Pension Fund
Charter and the Investment Policy Document. The Chief Investment Officer is authorized to make and execute
investment decisions, as well as to represent the Pension Fund in relations with third parties and enter into
relevant agreements within the framework of the authorities granted by the Pension Fund Charter. The
Investment Policy Document establishes the rules and procedures for the Chief Investment Officer to coordinate
investment decisions with the Investment Committee.

The Chief Risk Officer (CRO), in accordance with the Law, t
authority
delegated by the Risk Committee, oversees the risk management of the Pension Fund and performs related
functions. The CRO is authorized, for the purpose of performing risk management functions, to access any
information held by the Fund. and is also authorized to obtain information from the asset management company,
the specialized depository, and any other service provider of the Fund regarding transactions concluded on behalf
of the Fund.
The Head of Internal Audit, together with the Audit Committee, manages internal audit activity in accordance
with the Law, the Audit Committee Charter and the Pension Fund Charter. Such activities shall be carried out
independently of all other functions. The Head of Internal Audit shall have access to all documents and records,
including information regarding the activities of Pension Fund's employees and executive directors, as well as
members of the Governing Board.
Taking into account the amendments to the Law effective from 1 May 2025, supervision and regulation of the
the National Bank of Georgia (NBG).
Regulation and supervision of the activities of the Pension Fund by the National Bank shall include but not
limited as follows: (a) verification of compliance of the Investment Policy Document (IPD) with the
requirements established by the Law and with the requirements established by the National Bank of Georgia
under legislation; (b) the review of the methodology for developing the asset allocation strategy, investment
decisions and the procedure for selecting asset management company by the Fund as defined under Article 28 1
of the Law for compliance with the minimum requirements established by the National Bank of Georgia; (c)
determination of compliance of the investment activities of the Fund with the limits specified in the Investment
Policy Document; (d) determination of the suitability criteria for the executive directors of the Pension Fund; (e)
determination of the rules related to the operational activities of the Fund, as well as other rules stipulated by the
Law; (f) establishing the rules for the transfer of pension assets provided for by Law; (g) determining the
methodologies for calculating the value of pension assets, the value of a portfolio unit, the value of an individual
pension account and the principles and standards for maintaining an individual pension account; (h) establishing
requirements for the protection of participants' rights, the accounting of pension contributions, payments and
fees made to individual pension accounts and the requirements for programmatic withdrawal of pensions; (i)
establishing minimum requirements for the mechanism for reviewing and resolving complaints; (j) approving
the risk management framework and establishing any other requirements related to risk management.
The Pension Scheme is a defined contribution pension scheme and comprises of the pension contributions made
by the Employers (as defined by the Law), Employees (as defined by the Law) and the State of Georgia, as well
as any and all investment returns, benefits and/or losses accruing to the Pension Assets.
Participation in the Pension Scheme is mandatory for all employed citizens of Georgia, as well as, employees
who hold permanent residence permits, except for: male employees aged 60 or above by the time the Law was
enacted (6 August 2018) or female employees aged 55 or above by the time the Law was enacted. Besides,
Employees aged 40 or above by the time the Law was enacted are entitled to opt out from the Pension Scheme,
with the right of re-enrolment, in line with the procedure envisaged by the Law. In addition, all other natural
persons and self-employed individuals (as this is defined by the Law) are entitled to participate in the Pension
Scheme on a voluntary basis. Taking into account the amendments to the Law, from 1 May 2025, an employee
or self-employed person is authorized to voluntarily enroll in the Pension Scheme and apply to the Fund under
the procedure established by the Fund. As a result of above amendments, the definition of the self-employed has
also changed. Pension contributions made on behalf of and/or for the benefit of participants of the Pension
Scheme, as well as any and all benefits/investment returns and/or losses accrued to the Pension Assets are
reflected and maintained on the individual pension accounts, which are opened and operated by the Fund. The
individual pension accounts may be accessed through the electronic system of administration of pension
contributions of the Fund

The principal activities of the Fund are implementation, management and administration of the Pension Scheme.
Key operations of the Fund are described in Note 3.
The Pension Scheme became effective on 1 January 2019 and as of 31 December 2025 enrolled 1,511 thousand
participants (2024: 1,395 thousand).
The Pension Scheme keeps track of all its participants
units system. Units of the investment
portfolio are assets purchased and owned by participants of the Pension Scheme at the time of making
contributions. Number of units of the investment portfolio owned by the participants of the Pension Scheme is
reflected in their individual pension accounts. At any point in time, a unit of the investment portfolio has a price
denominated in GEL, and any time a contribution is made to the Pension Scheme, the investment portfolio units
upon commencement of operations of the Pension Scheme was set to GEL 10, which means that first participants
enrolled in the Pension Scheme on the first day of its operation purchased the units for GEL10 each. Since that
day, at the end of each business day, unit price of the investment portfolio is recalculated as:
Unit Price = Net Asset Value / Total Number of Units of the investment portfolio (owned by all
participants of the Pension Scheme).
Purchase of the investment portfolio units (new contributions) does not affect unit price of the investment
portfolio, as they proportionally change the nominator and the denominator of the above formula. Only changes
in Net Asset Value that are not due to new contributions (or payments) affect the unit price of the investment
portfolio. This is a revaluation of the portfolio that results in a gain (or a loss) without changing the underlying
ce.

2. Basis of preparation
(a)
Statement of compliance
The accompanying financial statements are prepared in accordance with International Financial Reporting
Standards (IFRS): International Accounting Standard 26 Accounting and Reporting by Retirement Benefit
Plans.
(b)
Basis of measurement
The financial statements have been prepared on a historical cost basis, except for financial assets, which are
remeasured at fair value through the statement of changes in net assets available for benefits.
The accounts have been prepared on an accruals basis except where otherwise stated.
The Pension Scheme is a defined contribution scheme. Actuarial valuation is not required as the pension
obligation equals the net assets available for benefits.
(c)
Functional and presentation currency
These financial statements are presented in Georgian Lari (GEL), which is also the Pension
functional
currency, as being the national currency of Georgia, it reflects the economic substance of the majority of
underlying events and circumstances relevant to them. All amounts have been rounded to the nearest thousands,
except when otherwise indicated.

3. Key operations and material accounting policy information
(a)
Making Pension Contributions and Investments of the Pension Assets
(i)
Investment of the Pension Assets
The Pension Assets may only be invested in accordance with requirements, restrictions and limitations envisaged
by the Law, Investment Policy Document, in the interests of the participants and their beneficiaries considering
the following principles of prudent investments:
(a) maximization of real returns (considering inflation) over the long-term through the investment of Pension
Assets;
(b) diversification of investments;
(c) security of Pension Assets over long-term investment period;
(d) maintenance of adequate liquidity.
As per the Law, within the first 5 years following the enforcement of the Law, the Pension Assets were invested
only in conservative (low-risk) investment portfolio. After the expiration of the above-mentioned 5-year period,
on 7 August 2023, the Pension Assets were allocated among the following three investment portfolios:
Conservative (low -risk), Balanced (medium-risk) and Dynamic (higher risk) portfolios in accordance with the
Law. Specifically: (a) the Pension Assets of the participants who were under the age of 40 at the time of
enrolment in the Pension Scheme were allocated to the high-risk investment portfolio; (b) the Pension Assets of
the participants who were aged from 40 to 50 at the time of enrollment were allocated to the medium-risk
investment portfolio; (c) the Pension Assets of the participants who were aged 50 or over at the time of
enrollment were allocated to the low-risk investment portfolio. Besides, prior to such allocation, the participants
were given a 30-day period to make a choice and select the investment portfolio for their Pension Assets - in
such cases, the above-referred default allocation did not apply.
In November 2023, amendments to the Law, altered the default allocation rule, reversing the changes made in
August 2023. Namely, participants
, who have not expressed a
preference for a specific investment portfolio, will be automatically allocated to the Conservative portfolio.
Pension Assets accumulated after 1 January 2028 will be allocated based on age as follows: (a) the Pension
Assets of the participants under the age of 40 will be allocated to the Dynamic (high-risk) investment portfolio;
(b) the Pension Assets of the participants aged 40 to 50 will be allocated to the Balanced (medium-risk)
investment portfolio; (c) the Pension Assets of the participants aged 50 or older will be allocated to the
Conservative (low-risk) investment portfolio. Notably, all participants have the authority to change their
preferred portfolio once every 12 months.
This amendment was enacted on 3 January 2024. The Fund carried out asset reallocation and as a result, by 4
January 2024, the Conservative portfolio made up 99% of total Pension Assets.
(ii)
Pension contributions
According to the amendments to the Law (which entered into force on 1 May 2025) and the relevant
normative act adopted by the Fund (entered into force in May 2025), employers shall make pension
contributions no later than the day of submission of the income tax declaration in accordance with the
procedure established by the legislation of Georgia in the following form:
- The employer at its own expense and for the benefit of employee shall, no later than the day of
submission of the income tax declaration , transfer to the relevant bank account of the Fund a pension
contribution in the amount of 2 percent of the taxable salary paid to the employee during the reporting
period, in accordance with the procedure established by the Pension Fund, and on the basis of the
relevant income tax declaration;

- the employer, on behalf of and at the expense of the employee, no later than the day of submission of
the income tax declaration, transfer to the relevant account of the Fund a pension contributions in the
amount of 2 percent of the taxable salary paid to the employee during the reporting period, and shall
make the pension contribution on the basis of the relevant income tax declaration.
- the state employees, under the service of the State Treasury, shall make pension contributions in the
amount determined by the paragraphs referred to above, with the technical support of the Treasury
Service, a state subordinate - agency of the Ministry of Finance of Georgia, in accordance with the
procedure established by the Pension Fund.
- on the day of submission of the selftax declaration in accordance with the
procedure established by the legislation of Georgia, a self-employed person shall transfer, the pension
contribution amount to the relevant account of the Pension Fund in the amount of 4 Percent of the selfreceived during the reporting period, and shall make the pension contribution
on the basis of the relevant income tax declaration in accordance with the procedure determined by the
Pension Fund.
The state makes the following pension contributions for the benefit of employed and self-employed
participants:
-
2% of the
taxable salary and/or the self-employed person s income - if the annual salary
and/or annual income does not exceed GEL 24,000 for a specific year.
-
1% of the
taxable salary and/or the selfincome - if the annual salary
and/or annual income received during the year exceeds GEL 24,000, but does not exceed GEL
60,000.
-
The state does
salary and/or the selfyear.
As per the amendments to the Law, effective on 1 May 2025, the Revenue Service shall, in accordance
with the procedure established by the joint normative act of the Revenue Service and the Pension Fund,
provide the Fund with the relevant information. The Fund, by comparing the information available in
the electronic system with the information received from the Revenue Service and/or taking into account
paragraph 12 of Article 6 of the Law, identifies the cases of violation of the obligation to make pension
contributions (failure to fulfill such obligation and/or fulfillment in breach of the deadline for making
pension contributions established by the legislation of Georgia), as well as detect the cases of excessive
pension contributions. In the event of a violation of the obligation to make pension contributions, the
employer shall be subject to a fine provided for by the Code of Administrative Offenses of Georgia and
to a penalty interest on the amount of the pension contribution that was not made or was made in
violation of the relevant deadline, calculated from the day following the deadline for making the pension
contribution, for each day of delay, in the amount of monetary policy rate established by the National
Bank plus 5%.
The penalty interest shall be accrued from the day following the deadline for making pension
contributions and shall continue until the employer fully makes such pension contribution. The employer
shall be subject to a penalty interest independently of any fine provided for under the Code of
Administrative Offenses of Georgia, in the cases and in accordance with the established procedure
determined by the Pension Fund. It should be noted that the imposition of a fine and/or penalty interest
on an employer shall not release the employer from the obligation to make the pension contributions in
accordance with the Law. Accordingly, the employer is obliged to make the relevant pension
contribution at its own expense (without deducting it from the employee's salary).

The interest provided under the Legislation the pension contribution and the fine shall be subject to
compulsory enforcement based on the individual administrative-legal act of the Pension Fund that has
entered into force and the enforcement notice issued in accordance with it.
Pension contributions made by the Pension Scheme participants are recorded using the accrual method.
Contributions made are recorded when the employer submits the relevant personal income tax
declaration (before May 2025, pensions declaration) to the Fund.
(b)
Payment of pensions and opt-out payments
Participants of the Pension Scheme are entitled to request the appointment of a pension or the transfer of the
Pension Assets in the following events:
-
The participant of the Pension Scheme reaches the retirement age, which is 65 for male participants and 60
for female participants;
-
The participant of the Pension Scheme permanently leaves Georgia and submits a document confirming
that his/her Georgian citizenship has been terminated or he/she no longer holds permanent residence permit.
If a participant, who has left the Pension Scheme on the above-referred grounds and later obtains Georgian
citizenship or a permanent residence permit, he/she shall be re-enrolled in the Pension Scheme on a
mandatory basis. It needs to be highlighted that as per the Law, in case the participant left the Pension
Scheme on the basis described above the participant is entitled to receive all pension assets accumulated on
his/her individual pension account.
-
The participants of the Pension Scheme have the right to receive a pension at any age due to disability,
provided that they are granted the appropriate status in accordance with the legislation of Georgia. The
participant who left the Pension Scheme on the basis of the status of disability is entitled to re-enrol on a
voluntary basis. In addition, he/she will no longer have the right to request the appointment and payment of
a pension on the basis of disability in accordance with the procedure established by this Law.
- The heirs of the participant of the Pension Scheme are entitled to request the pension assets of the deceased
participant.
Employees aged 40 or above by the time the Law was enacted (6 August 2018) and who
ant to
participate, are entitled to opt out from the Pension Scheme, with the right of re-enrolment. The participant may
opt out from the scheme within a period of 5 months from the date of automatic enrolment, but no later than 3
months after enrolment in the Pension Scheme, by submitting respective application to the Fund. If the
participant is entitled to opt-out from the Pension Scheme, the Fund shall return to the respective Employer,
Employee and the State the pension contributions made by them and any and all benefits (if any) accrued to such
contributions in accordance with rules and procedures envisaged by respective normative act of the Fund.
Pensions may be paid to the participants of the Pension Scheme in one of the following forms at the discretion
of the participant:
-
Lump-sum payment, when all pension assets accumulated in the individual pension account of the
participant are transferred to the participant as a single, lump-sum payment. This form may be selected by
the participant only in specific cases defined by the Law and respective normative act of the Fund;
-
Programmed withdrawal, when Pension Assets are paid on a monthly basis in portions, which is calculated
as per the formula envisaged by respective normative act of the Fund. This option does not apply to the heirs
of the deceased participants of the Pension Scheme or to recipients of pension assets on the basis of
permanent departure from the country.
-
Purchase of an insurance-based annuity product for the purpose of receiving a pension. This option is not
applicable in case of leaving Georgia on a permanent basis;

Transfer of Pension Assets to the individual pension accounts of heirs of the deceased participants.
The payment of pensions to the participants of the Pension Scheme and/or transfer of pension assets to the heirs
of deceased participants are accounted for in the period in which the redemption of respective units of the
investment portfolio occurs.
The pension contributions returned to the participants of the Pension Scheme in the course of the opt-out
procedures are accounted for in the period when the respective amount is withdrawn from the Pension Scheme.
(c)
Investment activities
The Fund is responsible for carrying out investment activities in accordance with the Law and the Investment
Policy Document. During 2025, Pension Assets were invested in Certificates of Deposits ( CDs ) and
Marketable Securities see Note 6 and Note 7.
(d)
Interest income
The interest income comprises interest income on cash and cash equivalents and investments in bank deposits
and is recognised using the effective interest method.

Cash and cash equivalents comprise bank balances with original maturities of three months or less and are subject

Investments in bank deposits comprise certificates of deposits with original maturities of 3 months to 5 years.
Investments in bank deposits are measured at fair value.

Investments in marketable securities
Investments in marketable securities comprise Georgian Treasury Notes, Georgian Treasury Bills, Georgian
Corporate Bonds, Eurobonds, USA Treasury Bills, International Financial Institution Bonds and Global Equities.
Investments in marketable securities are measured at fair value.
(h)
Source of financing of the Fund
During the 3 years from the date of adoption of the Law, the only source of financing of the Fund and its activities
was the state budget of Georgia. After the expiration of the above-referred 3-year term, the source of financing
of the
activities is the service fee receivable from the Pension Scheme. The Pension Fund shall be funded
from the pension assets of the participants in the form of an annual service fee. This fee shall be calculated as a
not exceed 0.50 percent of the total pension assets. The
procedure for calculating, deducting, and transferring this fee is determined by the rules and regulations
established by the Fund. During 2025 the Fund received an annual service fee from the Pensions Scheme in the
amount of GEL 17 million (2024: 14.7 million).
The service fee received by the Pension Fund from the pension assets of the participants for the purposes of
financing the activities of the Pension Fund shall not be pledged, encumbered, transferred in ownership to a third
party, or otherwise disposed of to satisfy or secure any claim against the Fund.

Such fee shall not be subject to enforcement and shall not be included in the bankruptcy assets of the Pension
Fund. The amendment to the Law envisaged different regulation regarding enforcement over the service fee. The
enforcement proceedings (if any) related to the service fee shall be carried out step by step so as not to impede
the
activities defined by the Law.
(i)
Unallocated amounts and allocated amounts, awaiting of involving in liabilities to scheme
members
The unallocated amounts represents cash contribution made to the pension fund pending to the formal
declaration. Such contribution are transferred to the nominal bank accounts of Pension fund and are not used for
investments (refer to Note 5). The unallocated amounts are accounted for as such and are reflected on the
balances of the accounts of respective Employers.
The unallocated amounts shall become part of the investment pool as soon as a formal declaration is submitted
or latest on the day when 10 years pass from receiving the sum. After such transfer, the person who made the
payment shall have no right to request return or to present any claim against the Fund, including claims for
compensation.
The Fund is entitled to accrue interest income on the funds held in the nominal ownership account for the
accumulation of pension contributions. Such interest shall, in accordance with the procedure and frequency
determined by the Pension Fund, become part of the pension assets of the current participants and pension
beneficiaries.
Upon submission of pensions declarations (as stated under the applicable legislation), the balance amounts of
the respective employers shall become pension assets of the employees/participants, and are used for the
investment purposes.
Due to timing differences between estimation of changes in value of underlying net assets as at the last day of
the reporting period and recording of its impact on individual pension accounts (although determined for
allocation), certain amounts are not yet included in liabilities to scheme members. Such amounts are presented
4. Use of estimates and judgements
The preparation of
financial statements in accordance with applicable accounting standards requires
management to make judgements, estimates and assumptions that affect the application of accounting policies
and the reported amounts of assets, liabilities, income and expenses. Actual results may differ from those
estimates.
Accounting the estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting
estimates are recognized in the period in which the estimates are revised and in any future periods affected.
Measurement of fair values
A number of the accounting policies discussed in Note 3 and disclosures require the measurement of fair values.
Fair value is the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction
between market participants at the measurement date. The best evidence of fair value is the price in an active
market. An active market is one in which transactions for the asset or liability take place with sufficient frequency
and volume to provide pricing information on an ongoing basis.

When measuring the fair value of an asset or a liability, management uses market observable data as far as
possible. Fair values are categorized into different levels in a fair value hierarchy based on the inputs used in the
valuation techniques as follows.
Level 1: quoted prices (unadjusted) in active markets for identical assets or liabilities.
Level 2: inputs other than quoted prices included in Level 1 that are observable for the asset or liability, either
directly (i.e. as prices) or indirectly (i.e. derived from prices).
Level 3: inputs for the asset or liability that are not based on observable market data (unobservable inputs).
If the inputs used to measure the fair value of an asset or a liability might be categorized in different levels of
the fair value hierarchy, then the fair value measurement is categorized in its entirety in the same level of the fair
value hierarchy as the lowest level input that is significant to the entire measurement.
Transfers between levels of the fair value hierarchy are recognized at the end of the reporting period during
which the change has occurred.
Cash and cash equivalents and investments in bank deposits are classified as Level 1 fair value instruments,
while the remaining assets (investments in marketable securities) are classified as Level 2 fair value instruments.

10. Payments and opt-out payments
For the year ended 31 December 2025, 792 participants (2024: 842) exercised opt-out rights and the total
pensions contributions returned to the employers, employees and the State of Georgia amounted to GEL 757
thousand (2024: GEL 556 thousand).
During 2025, the Fund made lump-sum payments of pensions in the amount of GEL 62,852 thousand (2024:
GEL 39,554 thousand) to 11,367 participants (2024: 8,363 participants).
11. Contingencies
Litigation
In the ordinary course of business, the Fund is subject to legal actions, litigations and complaints. Management
believes that the ultimate liability, if any, arising from such actions or complaints will not have a material adverse
effect on the financial position or the results of future operations.
Compliance with laws and regulations
The Pension Scheme prioritizes strict adherence to all relevant laws and regulations governing its operations and
activities.
investment activities are principally regulated by the Law and the Investment Policy Document
(IPD), which was prepared by the Investment Committee and approved by the Governing Board, in agreement
with the National Bank of Georgia. The Law and IPD define specific limitations and constraints on the Pension
asset investments.
As of 31 December 2025, the Conservative (low-risk), Balanced (medium risk) and Dynamic (high risk)
portfolios were in full compliance with all legal and IPD limits.
12. Related party transactions
Management of the Fund is the one involved in operations of the Pension Scheme. Key management of the Fund
is considered to be members of Governing Board, Chief Investment Officer, Chief Investment Risk Officer,
Chief Risk Officer and General Director (Acting General). In 2025 total remuneration paid by the Fund to the
key management was GEL 1,865 thousand (2024: GEL 1,542 thousand), which is presented in the financial
statements of the Fund prepared separately from these financial statements and available for public use.

Liquidity risk is the risk of being unable to generate sufficient cash or its equivalent in a timely and cost-effective
manner to meet pensions and benefit payments and investment liabilities as they come due. Prudent liquidity
risk management implies regularly monitoring short and long-term cash flows.
As of the reporting date, the Fund is cash-flow positive as daily contributions significantly exceed withdrawals.
Average monthly incoming contributions for the year ended 31 December 2025 amounted to GEL 119,315
thousand (2024: GEL 98,269 thousand), which significantly exceeds monthly redemptions.

The average monthly redemptions from Pension Scheme through payment of pensions or return of pension
contributions in the course of opt-out and lump-sum procedures for the year ended 31 December 2025 amounted
to GEL 5,301 thousand (2024: GEL 3,343 thousand).
Furthermore, as of the reporting date the majority of the Pension Scheme participants are under 45 years old,
lowering the liquidity needs in the medium term.

Market risk
Market risk (including equity risk, interest rate risk and currency risk) is the risk that the fair value of an
investment will fluctuate because of the changes in the market prices and rates.

Equity price risk
Equity price risk is the risk that the fair value or future cash flows of financial instruments will fluctuate due to
changes in equity prices. The Fund is exposed to changes in the price of equities listed on international stock
exchanges, as 16.15% of Pension Assets by the reporting date were invested in global equities. Equity price risk
is managed through diversification between asset classes and geographies.

14. Specialized depository
A financial institution is entitled to provide the Specialized depository services only if it is duly licensed and
authorized by the National Bank of Georgia or by the relevant regulator of another country. As per the Law, the
Specialized Depository is a legal entity with duty of trust, that safekeeps the securities that comprise the pension
assets, keeps records of any and all transactions regarding the pension assets, maintains registry of all pension
assets, ensures that the calculation of the net asset value is carried out in accordance with the Law and applicable
policies, monitors the investment portfolio compliance with the Law and the Investment Policy Document,
provides other services envisaged by the respective agreement.
During the reporting period, JSC Bank of Georgia served as the Specialized Depository of the Fund in the frame
of the Specialized Depository agreement dated on 15 February 2024, which expires on 15 February 2029. The

Our opinion
In our opinion, the financial statements present fairly, in all material respects, the financial position of
LEPL Pension Fund of Georgia (the “Fund”) as at 31 December 2025, and the Fund’s financial
performance, changes in net assets, cash flows and comparison of budget and actual amounts for the
year then ended in accordance with International Public Sector Accounting Standards.
What we have audited
The Fund’s financial statements comprise:

Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (ISAs). Our
responsibilities under those standards are further described in the Auditor’s responsibilities for the audit
of the financial statements section of our report.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for
our opinion.
Independence
We are independent of the Fund in accordance with the ethical requirements of the Law of Georgia on
Accounting, Reporting and Auditing that are relevant to audits of financial statements in Georgia and the
International Code of Ethics for Professional Accountants (including International Independence
Standards) issued by the International Ethics Standards Board for Accountants (IESBA Code). We have
also fulfilled our other ethical responsibilities in accordance with the ethical requirements of the Law of
Georgia on Accounting, Reporting and Auditing and the IESBA Code.

Responsibilities of management and those charged with governance for the
financial statements
Management is responsible for the preparation and fair presentation of the financial statements in
accordance with International Public Sector Accounting Standards and for such internal control as
management determines is necessary to enable the preparation of financial statements that are free
from material misstatement, whether due to fraud or error.
In preparing the financial statements, management is responsible for assessing the Fund’s ability to
continue as a going concern, disclosing, as applicable, matters related to going concern and using the
going concern basis of accounting unless management either intends to liquidate the Fund or to cease
operations, or has no realistic alternative but to do so.
Those charged with governance are responsible for overseeing the Fund’s financial reporting process.
Auditor’s responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole
are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that
includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an
audit conducted in accordance with ISAs will always detect a material misstatement when it exists.
Misstatements can arise from fraud or error and are considered material if, individually or in the
aggregate, they could reasonably be expected to influence the economic decisions of users taken on the
basis of these financial statements.
As part of an audit in accordance with ISAs, we exercise professional judgement and maintain
professional scepticism throughout the audit. We also:

Identify and assess the risks of material misstatement of the financial statements, whether due to
fraud or error, design and perform audit procedures responsive to those risks, and obtain audit
evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting
a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may
involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal
control.

Obtain an understanding of internal control relevant to the audit in order to design audit procedures
that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the
effectiveness of the Fund’s internal control.

Evaluate the appropriateness of accounting policies used and the reasonableness of accounting
estimates and related disclosures made by management.

Conclude on the appropriateness of management’s use of the going concern basis of accounting
and, based on the audit evidence obtained, whether a material uncertainty exists related to events or
conditions that may cast significant doubt on the Fund’s ability to continue as a going concern. If we
conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report
to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify
our opinion. Our conclusions are based on the audit evidence obtained up to the date of our
auditor’s report. However, future events or conditions may cause the Fund to cease to continue as a
going concern.

Evaluate the overall presentation, structure and content of the financial statements, including the
disclosures, and whether the financial statements represent the underlying transactions and events
in a manner that achieves fair presentation.

1.
Reporting entity
LEPL Pension Fund of Georgia (hereafter the “Fund”) was established as a legal entity of public law in
accordance with the Law of Georgia on Funded Pensions (the “Law”) adopted on 6 August 2018 and the Decree
of the Government of Georgia #421 dated 15 August 2018 “On the approval of the charter of the Legal Entity
of Public Law – Pension Agency”. The Fund is an independent legal entity of public law. On 1 May 2025 legal
name of LEPL “Pension Agency” changed to LEPL “Pension Fund of Georgia”.
These financial statements are prepared solely for the Fund, established for the purposes of management and
administration of the funded pensions scheme (the “Pension Scheme”) as defined by the Law. Financial
statements for the Pension Scheme, which is managed by the Fund, are prepared separately from these financial
statements.
The governing bodies of the Fund are: Governing Board, General Director, Chief Investment officer, Chief Risk
Officer and Head of Internal Audit. The General Director is responsible for uninterrupted operations of the Fund
(except for the operations required for the investment activities of the Fund), which include, but are not limited
to management of the process of collection of pensions’ contributions from the participants of the Pension
Scheme.
The Fund’s registered legal address is 14, A.Politkovskaia str., Tbilisi, Georgia.
2.
Basis of preparation
(a)
Statement of compliance
The accompanying financial statements are prepared in accordance with International Public Sector
Accounting Standards (IPSAS).
(b)
Basis of measurement
The accounts have been prepared on an accruals basis, under the historical cost convention.
(c)
Functional and presentation currency
These financial statements are presented in Georgian Lari (GEL), which is also the Fund’s functional currency,
as being the national currency of Georgia, it reflects the economic substance of the majority of underlying events
and circumstances relevant to them. All amounts has been presented in GEL, except when otherwise indicated.

Summary of material accounting policies
(a)
Revenue from non-exchange transactions
Revenue from non-exchange transactions comprise service fees transferred from the Pensions Scheme.
Funding is initially determined based on the annual budget approved by the Governing Board and is
subsequently adjusted at the end of the reporting period based on actual utilization. Service fee is determined
with reference to the actual funding approved for the reporting period and represents the definitive
consideration for services rendered.
Transfers from Pension Scheme are recognised as revenue from service fees when it is probable that future
economic benefits or service potential associated with the transfer will flow to the Fund and the amount of
the transfer can be measured reliably.
Where transfers from Pension Scheme are not subject to any specific conditions or stipulations that would
give rise to a present obligation, the Fund recognises revenue from service fees on the date the transfer is
received. In such cases, no liability is recognised.
However, where transfers include enforceable conditions that require the Fund to return the resources or to
fulfil specified performance obligations, a liability is recognised on initial receipt of the funds and revenue
from service fees is recognised subsequently as, and when, those conditions are satisfied.
(b)
Property and equipment
Property and equipment are carried at cost, excluding costs of day-to-day servicing, less accumulated
depreciation and any accumulated impairment.
The carrying values of property and equipment are reviewed for impairment when events or changes in
circumstances indicate that the carrying value may not be recoverable.
Depreciation on items of property and equipment is calculated using the straight-line method to allocate
their cost to their residual values over their estimated useful lives:

Costs related to repairs and renewals are charged when incurred and recognised in the statement of financial
performance, unless they qualify for capitalization.

(c)
Intangible assets
Intangible assets acquired are measured on initial recognition at cost. Following initial recognition,
intangible assets are carried at cost less any accumulated amortisation and any accumulated impairment
losses. Intangible assets are amortised over the useful lives of 2-10 years and assessed for impairment
whenever there is an indication that the intangible asset may be impaired.
(d)
Leases
Leases in which a significant portion of the risks and rewards of ownership are retained by the lessor are
classified as operating leases. Payments made under operating leases (net of any incentives received from
the lessor) are charged to the statement of financial performance on a straight-line basis over the period of
the lease.
(e)
Cash and cash equivalents
Cash and cash equivalents represent highly liquid assets which are subject to insignificant risk of changes
in value.
(f)
Inventory
Inventories are measured at the lower of cost and net realizable value. The cost of inventories is based on
the weighted average cost principle, and includes expenditure incurred in acquiring the inventories,
production or conversion costs and other costs incurred in bringing them to their existing location and
condition.
Net realizable value is the estimated selling price in the ordinary course of business, less the estimated costs
of completion and selling expenses.
(g)
Taxation
The legal type of Fund is LEPL, which does not perform any economic activities, hence according to the
Tax Code of Georgia, the Fund’s activities are exempt from income, property and value-added taxes.

(h)
Budget information
The annual budget of the Fund is prepared on the cash basis and approved by the Chairman of Governing
Board with prior approval of the Governing Board of the Fund, which is then reflected in the State Budget
Law (subject to limited amendments in the final approved budget, which is agreed with Ministry of Finance
of Georgia) in accordance with established rules and procedures.
As the financial statements and the annual budget of the Fund are prepared on different basis, there are
presentation differences that require reconciliation between amounts as presented in the statement of cash
flows, statement of comparison of budget and actual amounts and statements of financial performance.
Presentation differences concern differences in the format and classification in the statement of cash flows,
statement of comparison of budget and actual amounts and statements of financial performance. See Note
8.
(i)
Financing of Pension Scheme
During the 3 years from the date of adoption of the Law, the only source of financing of the Fund and its
activities was the state budget of Georgia. After the expiration of the above-referred 3-year term, the source
of financing of the Fund’s activities is the service fee receivable from the Pension Scheme. The Pension
Fund shall be funded from the pension assets of the participants in the form of an annual service fee. This
fee shall be calculated as a percentage of the participant’s pension assets and shall not exceed 0.50 percent
of the total pension assets.

Cash and cash equivalents
The Pension Fund of Georgia has a unified account in the Treasury Service of the Ministry of Finance of
Georgia and in the commercial bank. In 2025, the Fund almost fully utilised the 2025 annual service fee
received from the Pension Scheme and the cash balance carried forward from the period. The Fund’s
balance of cash and cash equivalent at the end of 2025 amounted to GEL 445,284, which represents the
fines received during the period and annual service fee.
In 2024, the Fund almost fully utilised the 2024 annual service fee received from the Pension Scheme and
the cash balance carried forward from the period. The Fund’s balance of cash and cash equivalent at the
end of 2024 amounted to GEL 48,952, which represents the fines received during the period and annual
service fee.

markets, driven by the growth in net asset value during the year.
(b) Training costs include GEL 686,918 incurred in 2025 in relation to Technical Advisory Services

Contingencies
Litigation
In the ordinary course of business, the Fund is subject to legal actions, litigations and complaints. Management
believes that the ultimate liability, if any, arising from such actions or complaints will not have a material adverse
effect on the financial position or the results of future operations.
The Fund had only one significant legal claim as of 31 December 2025 and 2024. The Claimant requests the
following: a) to annul the decision adopted by the Investment Board with Minutes N10, dated 11 September
2020; b) to reimburse the alleged damages/losses. Under the decision of Tbilisi City Court, dated 1 November
2023, the claim was not satisfied,which was appealed by the plaintiff to the Court of Appeal on 5 March 2024.
The Fund’s legal counsel’s opinion is that it is possible, but not probable, that the court ruling may be in favour
of the claimant. Accordingly, no provision for any claims has been made in these financial statements. The
possible outflow which could result from this litigation, based on the current status of the legal proceedings, is
estimated to be GEL 1,034,562 (2024: GEL 1,020,462), while the timing of the outflow is uncertain.

Related parties
The Fund regards a related party as a person or an entity with the ability to exert control individually or jointly,
or to exercise significant influence on the Fund.
During 2025 and 2024, the Fund received funding from the Pension Scheme in the form of annual service fee.
Details of the funding together with the the use of funds have been disclosed in the Statement of Comparison of
Budget and Actual Amounts.
Key management of the Fund is considered to be members of the Governing Board, members of Investment
Board, (Acting General) Director of the Fund, Chief Investment Officer, Chief Risk Officer and Chief
Investment Risk Officer. In 2025, total remuneration paid by the Fund to the key management was GEL
1,865 thousand (2024: GEL 1,542 thousand). The Governing Board members of the Fund receive
remuneration in exchange for their membership, except Ex Officio Member of the Governing Board.
