AMENDMENT NUMBER THREE to the Assistance Agreement between the Llnited
States of America, acting through the United States Agency for Internarional
Development ('USAlD") and Ceorgia. acting through the Ministry of Finance of Ceorgia
(hereinafter referred lo as the "Grantee") for Energy Infrastructure Expansion, dated as
of February 25,2010.
WHEREAS. on February 25, 2010, the Grantee and USAID enrered inro thc Assisrancc
Agreement to accclerate the expansion ofenergy infrastructurc as described in Annex I
(the "Amplificd Description") to said Assistance Agreemenr (referrcd to herein as the
"Agreement"); and
WHEREAS. USAID and the Granrec desirc to amend (he Agreemenr in order to 1a)
increasc thc total amount obligated by USAID from $128,012.670 to S 128.412.670: (b) ro
update the financial plan accordingly; (c) to update rhe authorized Ceographic Code to
include all eligible countries; and (d) to extend the completion date to Seprember 30.
2014.
NOW, THEREFORE. the Parties to the Agreement hereby agree that the Agreenrent shall
be further amended as follows:

The first sentence of Section 3. I(a) ot the Agrecment enritled "(,SAID Conrribution"
is deleted in its entirety and the follorving is substituted therefore:
"(a) The Crant. To help achieve the Objective set forth in this Agrccmcnt.
IJSAID, pursuant to the Foreign Assistance Act of 1961, as amended. hereby
grants to the Grantee under the terms of rhe Agreement an amount n()t to exceed
one-hundred twenty-eight rnillion four hundred twelve thousand six-hundred and
seventv United States ("U.S.") Dollars (S 128,4 12,670) (thc "Grant").''
Article 4(a). the date "luarch 3 I, 201 3" is delered in its entirety and replaced with
"September 30,20I4."

WHEREAS, on Febnrary 25, 2010, the Granree and USAID cntered inro rhe Assisrance
Agrcanent to accclerue thc exparsion ofthc energy infrastructue as describcd in
furnex I (thc "Amplificd Descriprion") to said Assisrance AgreemeDt (refened ro herein
as the 'Agreement") and
WHEREAS, USAID and the Grantce desire to amcnd thc Agrecmcnr in order ro (a)
incre€,se thc total amount obligated by USAID from $120,000,000 to $123,260,000; (b)
increase thc Govemment of Georgia contribution from $39,600,000 to a total of
541,086,6651 (c) add tbc "Clean Energy Initiuive" and the "Supporr Costs" ro lhe
Amplified Description aad Financial Plan; and (d) increase the USAID Total Esrimared
Conribution by rhe amount of$2260,000 to provide for these ruo new activiries.
NOW, THEREFORE, the Parties to the Agreement hercby agree that rhe Agreement shall
be fiuther ameadcd as follows:
l. The first s€ntEnc€ of Section 3.1(a) of thc Agrccmeut cntitlcd "USAID Contribution"
is deleted in its entirety and the follo*ing is substiued thercfore;
'(a) Thc Grant. To help achieve the Objective set fonh in this Ageemenr,
USAID, punuant to the Foreign Assisunce Act of 1961, as amurded, hereby
gfants to the Grantce undcr thc tcrms of thc Agccmenr an amount not lo exceed
oDc hun&rd twenty tluce million two hundr€d sixty thousurd United Srates
("U.S.") Dollan ($123,260,000) (thc "Crant")."
2. Section 3.2(b), linc threc, the dolla a$ount '$39,600,000" is deleted and replaced
with "$41,086,666".
3. The following provisions shall bc added aflcr subsection (c) of Arurex l, Section V,
entitled "ActivitieJActivity Selection":
'(d) Georgia Clcan Energy Initiative ($1.5 million). This activily will provide GoG
with an effcctivc framework for private sector solutions to the provision of clean,
affordable energy to off-grid villages, thereby using renewable encrgy to close the
rural clecrrification gap. Providing energy services to the 29 olf-grid communities
will promote a nrmrber of imporant development benefits, including imprr-rvement in
rural economic gro*th combating disease (thmugh refrigeration, lighting.
sterilization, etc); education (th,rough increased lighting, heating, computer and
iDtemet servic.cs, etc); ag culnue (enablhg irrigation. storage, process.ing, elc). The
delivery ofenergy services and the associated prospects for improved economic
groMh will pmvide oppom:nities for micro enrepreneurs"
