(a) Tlle Grantee, in conjunclion rvilh the appropriatc Covernrnent ofCeorgia Ministries and offices, hercby covenants and agrees to issue, renew and/or ertend free ofcharge and in a timely manner all oflicial permits, visas, exenrptions and any other pernrissions (including all approvals as may be required frorn lime to lime to ensure full access lo information, project sites and relevant offices) lor the Applicable Persons (as defined below) carrying out activities financed by USAID under this Agreement (collectively, the "Required Documents"). For purposes of this provisions, Applicable Persons is defined as: ( l) employees and consultants ofany contractors, grantees and other organizations carrying out activities financed by USAID under this Agreement and (b) members ofsuch employees' and consultants' households. Any renewals or extensions of such Required Documents that are required, or become required, in order for such employees, consultants and dependent family members to legally reside in Ceorgia and undertake the activities contemplated by and financed under this Ageement shall also be issued free ofchargc. (b) Subcommitting subobligating and disbursing [unds. with respect to disbursements made under this Agreement, lhe Crantee agrees that after salisfaction ofthe Conditions Precedent set fonh in Section 5. l, USAID may subcommit, subobligate and disburs€ Crant funds available under Section 3.1(a) through such contracts and grants with cntities selected by USAID, so long as such aciions and disburscmenls ar€ consist€nt with the terms and conditions ofAnnex I (Amplified Description) hereof without any further approval or concutrence. (c) USAID shall periodically inform the Granlee ofall disbursements directly made by USAID under this Agreement, providing the Crantee with the amount(s) and purpose(s) ofsuch disbursement(s). Prior approval ofthe Crantee, however, shall be required, forall disbursements of Crant funds made directly to the Grantee. (d) The Parties agrec thot USAID shall ParticiPate in the Municipal Development Fund (MDF) "supervisory Board" for IDP Housing and Municipal Infrastructure activities funded under this Agreement to the extent such activities are implemenled by the MDF. Assistance rvill be provided to local governments, enterprises and individuals to create economic opporlunities and raise incomes rvhile addressing lhe needs ofpoor arrd vulnerable groups and individuals in seven municipalities to be mutually agreed by the Parties. Following broad approaches, the project will address challenges faced by the rural poor, including disadvantaged, food insecure, vulnerable and or internally displaced persons (lDPs). ln pannership wilh municipal Bovernrnenls and communities, assistance will support the developmenl ofdevelopment planning tools, and community and municipality specific plans. Such plans will include social safety nets for the most vulnerable and rapid-response livelihood recovery stralegics to assist comnlunilies lo recover from natural disasters or other localized economic shocks. To ensure sustainability, the project will develop the capacity ofappropriate government personnel and community leaders to maintain planning tools, generate plans and measure results. Prior to the completion ofthis Agreement, rhe Crantee shall transfer full title for all lDp housing supponed under this Agreement to lDPs. V The Grantee shall include a sustainability plan in each project design for municipal infrastructure and inig,ation, including, as appropriate, fees and collection methodologies, management responsibilities, management capacity, maintenance and funding. Wherever appropriate Craniee should undertake responsibility to provide needed yearly lunding for rehabilitated municipal/community infrastruciure maintenance ro the respective local administrations. The Crantee shall maintain Agreement books and records in accordance wirh generally accePted accounting principles prevailing in the United States, or at the Granlee's option, with approval by USAID, other accounting principles, such as those ( I ) prescribed by lhe lnternational Accounting Standards Comminee (an afliliate of lhe Inlernalional Federation of Accountants) or (2) prevailing in the country of the Grantee. Agreement books and records shall be maintained for at least three years after the date oI lasl disbursement by USAID or for such longer period, if arry. required to resolve ary litigation, claims or audit findings. For the avoidance ofdoubt, this Section 8.5(b) applies solely to Crant funds expended directly by the Grdntee. Crantee Audit. Any indemnification received by the Crantee under such insurance will be used to replace or repair any malerial damage or any loss ofthe goods insured or will be used lo reimburse the Grantee flor the replacement or repair of such goods. Any such replacemenl will be ofsource and origin ofcountries listed in USAID Geographic Code 935 as in effect at the time ofreplacement and, excePt as the Parlies rnay agree in writing, will be otherwise subject to the provisions of the Agreement. C.8. Section U.S. Covemment-Owned Excess Property. The Crantee agrecs that wherever practicable United Stat€s Covernment-o\pned cxcess personal property, in lieu ofnew ilems financed under the Agreemenl, should be utilized. Funds under the Agre€ment may be used to finance lhe costs ofobtaining such property. Arlicle D: Disbursements. Disbursements will be made through such means as the Parties agree to in writing or as set forlh in Anncx l. . Seclion D, I Rate of Exchange. lf funds provided under the Agreement are introduced into Georgia by USAID or any public or privale agency for purposes of carrying out obligations of USAID hereunder, the Grantee will make such anangements as may be necessary so that such funds may be converted into local currency at the highest lawful rate available to the Nationsl Bank ofCeorgia on the date ofthe conversion. Assistance rvill be provided to local governments, enterprises and individuals to create economic opporlunities and raise incomes rvhile addressing lhe needs ofpoor arrd vulnerable groups and individuals in seven municipalities to be mutually agreed by the Parties. Following broad approaches, the project will address challenges faced by the rural poor, including disadvantaged, food insecure, vulnerable and or internally displaced persons (lDPs). ln pannership wilh municipal Bovernrnenls and communities, assistance will support the developmenl ofdevelopment planning tools, and community and municipality specific plans. Such plans will include social safety nets for the most vulnerable and rapid-response livelihood recovery stralegics to assist comnlunilies lo recover from natural disasters or other localized economic shocks. To ensure sustainability, the project will develop the capacity ofappropriate government personnel and community leaders to maintain planning tools, generate plans and measure results. The project will support linkages with the establishment and implementation of Regional Developmenl Plans and lhe State Strategy for Regional Development. ln line with such development plans, the assistance will: . o . o Contribute to designing and funding small infrastructure projects (e.g. inigation channel cleaning farm to market roads). For the avoidance ofdoubt, this Section 8.5(b) applies solely to Crant funds expended directly by the Grdntee. Crantee Audit. If $300,000 or more of USAID funds are expended directly by the Crantee in its fiscal year under the Agreem€n], the Crantee shall have financial audits made ofthe expenditures in accordance with the following terms, except as the Parties may othcrwise agree in writing: (l) (2) With USAID approval, the Crantee shall use its Supreme Audit lnstitution or select an independent auditor in accordance with the "Cuidelincs for Financial Audits Contracted by Foreign Recipients" issued by the USAID Inspector General ("Cuidelines'), and the audiis shall be performed in accordance with the "Guidelines"; and The audit shalldetermine whether the receipt and expenditure of the funds provided under the Agrcement are presented in accordance with generally accepted accounting principles agreed to in subsection (b) above and whether the Crantee has complied \.vith the terms ofthe Agreement. The Crantee shall fiurnish or cause to be furnished to USAID an audit repon for each audit ananged for by the Granlee in accordance with this Section within 30 days after completion oflhe audit and no later ihan nine months after the end ofthe period under audit. Transportation (a) In addition to the requircments in Sectioo C.l(a), costs ofocean or air transportation and relaled delivery services may not be financed under the Agreement, if the costs are for transportation undcr an occan vessel or air charter which has lot received prior USAID approval. (b) Unless USAID determines that privately owned Unired States-flag commercial ocean vessels are not available at fair and reasonable rates for such vessels, or otherwise agrees in writing: (I ) at least fi fty percent (50%) of the gross ton nage of all goods (computed separately for dry bulk caniers, dry cargo liners and tankers) financed by USAID which may be transponed on ocean vessels will be rransponed on privately owned United States-flag commercial vessels; and (2) ar least fifty percent (50%) ofihe gross freight revenue generated by all shipments financed by USAID and transported to the tenitory ofthe Crantee on dry cargo liners shall be paid to or for the benefit ofprivately owned United Slates-flag commercial vessels. Compliance wirh the requirements of(l) and (2) of this subsection must be achieved with respect to both any cargo transported from U.S. ports and any cargo transported from non-U.S. ports, iomputed separately. (b) Except as USAID may otherwise agree in writing, the Crante€ will insure, or cause to be insured, goods financed under the Agreement imponed for the Agreernent againsl risks incidcnt to their transit to the point oftheir use under the ABreement; such insurance will be issued on terms and condilions consistent with sound commercial practice and will insure the full value of the goods. Any indemnification received by the Crantee under such insurance will be used to replace or repair any malerial damage or any loss ofthe goods insured or will be used lo reimburse the Grantee flor the replacement or repair of such goods. Any such replacemenl will be ofsource and origin ofcountries listed in USAID Geographic Code 935 as in effect at the time ofreplacement and, excePt as the Parlies rnay agree in writing, will be otherwise subject to the provisions of the Agreement. C.8. Section U.S. Covemment-Owned Excess Property. The Crantee agrecs that wherever practicable United Stat€s Covernment-o\pned cxcess personal property, in lieu ofnew ilems financed under the Agreemenl, should be utilized. Funds under the Agre€ment may be used to finance lhe costs ofobtaining such property. Arlicle D: Disbursements. Disbursements will be made through such means as the Parties agree to in writing or as set forlh in Anncx l. . Seclion D, I Rate of Exchange. lf funds provided under the Agreement are introduced into Georgia by USAID or any public or privale agency for purposes of carrying out obligations of USAID hereunder, the Grantee will make such anangements as may be necessary so that such funds may be converted into local currency at the highest lawful rate available to the Nationsl Bank ofCeorgia on the date ofthe conversion. Article E: Section (a) E.l. Terminalion; Remedies. Suspension and Termination. Eilher Party may terminate this Agreement in its entirety by giving the other parry thirty (30) days written nolice. USAID also may terminale this Agreement in pan by giving the Grantee thirty (30) days written notice, and suspend this Agreement in whote or in part upon giving the Crantee writlen notice.
