Georgia and the Republic of Turkey (herein referred to rnd vldually as the party,,
and collecttvely as "the Parties' or "Georgia,,and,Republic of Turke\,,, where
appropriate)
DESIROUS of strengthening the social, economicat and technical
cooperatron
between the Parties and sustainable development in the regron,
DECLARING their readiness to take measures to encourage and increase
cross_
border trade in elechicity and promote investment by lheir public and private
entittes in the field of electflcity generation, transmission and implementation
of
the cross-border Electricity Trade on equaland non_discriminatory terms
RECOGNISING the importance of smooth and uninterrupted cross_border
Electricity Trade via the existrng and prospective interconneciion ltnes
TAKING INTO CONSIDERATION the 13 September 2007 tvtemorandum
of
Understanding on lnterconnection between the Government of
Georgia,
represented by the Ministry of Eoergy of Georgia and the Government
of Turkey,
represented by the l\,1inistry of Energy and Natural Resources of the
Repubtic of

Further Developing the Electricity lnterconnections between Georgja
and the
Republic of Turkey, represented by the L4inistry of Energy of Georgia
and the
Minrstry of Energy and Natural Resources of the Republic

between GSE and
TEIAS
RESOLVED to enact relevant provisions aimed at the development of long{erm
cooperation in the energy field, promotion of import and export of electricity
across their borders, and encouragement and crealion of stable and favorabte
conditions for economic activrty in the regron,
HAVE AGREED rn pursuance of these objectives and the objecttves expressed
herein, to conclude the following Agreement (herein referred to as this
"Agreement")
Article 1
Definitions and lnterpretation
Defin trons
Capitalized ierms used in this Agreement, including in the preamble, have the
following meanings
"Allocated Capacity" or "ALC" means that the total amount of the capacity
allocated in terms of MW for the relevant interconnection line
"Available Transfer Capacity" or "ATC" means that part of NTC that remains
available, after each phase of allocation procedure, for further commercial
activities and rs offered for utilization by users ATC is calculated as Net Transfer
Capacity for the Akhaltsikhe Borcka lnterconnection Line minus Non_avaitable
Capaclty
"Akhaltsikhe-Borcka Interconnection Line" means the 4OO kV interconnection line
thal, pursuant to the Existing Agreements, the parties have agreed to construct
between Akhaltsikhe, Georgia and Borcka, Republic of Turkey, being a crossborder electricity transmission interface facilily and including the back{o_back
station and other facilities described in the Existing Agreements, to be constructed
in accordance wrth ENTSO-E requirements
Commercial Transmission Right Owner means that legal entity which has the righi
to use the lnterccnnection Capacity for electricity exchanges defined in terms of
"Electricity lnterconnection Agreernents" means the lnterconnection Operation
Agreement and all other relevant Agreements between GSE, ET and TEIAS
relating to the operation of, the allocation and dispatch of capacity on, the
Akhaltsikhe,Borcka lnterconnection L ne
'Electricity Trade" means purchase and/or sale of electncity generated either in
Georgia or in the Republic of Turkey and transported trom the Territory of one to the
other via the Akhaltsrkhe-Borcka lnterconhection Line.
"ENTSO-E' means the European Network of Transmission System Operators for
Electricrty
"ET' means Energotrans LLC, which owns and controls part of the Transmission
System in the Territory of Georgra, rncluding lhe Akhaltsikhe-Borcka lnterconneotion
Line that will connect Georgian and the Turktsh power systems
"Existing Agreements" means the agreements described in the Preamble
"Force i,lajeure" has the meaning set forth in Article
I2
"GSE" means Georgian State Eleckosystem LLC which is the System Operator of
the Georgian Transmission System, owns and controls paft of the Transmrssron
System and carries out the operational drspatch and control of the energy system of
Georgia, includrng the part of the Akhaltsikhe-Borcka lnterconnection Line located
on the Terfltory of Georgia that will connect Georgian and the Turktsh power
systems
"lnterconnection Operatron Agreement'means the agreemenl between TEIAS, GSE
and ET descnbed rn Article I of this Agreement
"Joint Committee" means the joini committee established and governed in
accordance with Article 10
"Laws and Regulations" means the laws and regulations of each respective Party,
encompassing Presrdentral and Governmental decrees, acts, secondary legrslation
including regulations, ministerial orders, resoluhons and rules, and all such other
instruments havrng the force of law
"Letter of lntent" means the 29 July 2010 Letter of Intent for the pos hon of TEIAS
and GSE on Draft lnterconneclion Agreement (on the 400 kV Akhaltsikhe-Borcka
HV Line) and a smooth operalion of a DC "Back-to-Back'station
"Net Transfer Capacity' or "NTC' means the total electricrty exchange program (via
the Akhaltsikhe-Borcka lnterconnectron Line) between two interconnected
Transmission Systems compatible with lhe fuillllment of the secu.ity standards
established by the respective Transmission Systems, for a certain period and
direction of actve power flow
"Non-available Capacrty' or "NAC'means that part of NTC on lhe AkhaltsikheBorcka lnterconnection Line which the System Operators of both Parties iointly
agree is nol avarlable for use by Commercial Transmission Right Owners due to
specified technrcal and security problems those can not be immediately resolved
"Renewable Energy Source" means a source that captures its energy from ongoing processes that are naturally regenerative, such as flowing water
(hydropowe4, sunshine (sunpower), wind (windpower), wave power, biological
processes such as anaerobic digestion, and geothermal heat flow
"Short-term Resale and Reallocation" means reallocation of the capacity to the
other potential Commercial Transmission Right (CTR) Owner by the cancellation
of the capacity allocated to a CTR Owner rn cese of the ellocated capacity for a
certain usage period rs not used efficrently or never used
"State Authority' means a nattonal, regional or local governmental authority, a
ministry, department or regulatory, supervisory or competent authority, or political
subdivision or rnslrumentality, agency or judicial body of either Party
"State Enhty" means any entity (including a company, corporation, limited liability
company, partnership, lmited partnership, enterprise, jornt venture,
other juridical entity,
unincorporated joint venture, associatron, trust
organization or enterprise duly organized under the laws of any state or any
subdivision thereof) in which, directly or indirectly, a Party has a controlling equity
or ownership jnterest or similar economlc interest, or in respect of which that Party
directly or indirectly has the power to direct or cause the direction of its
management and policies
or
"System Operator" means an operator oI a Transmission System, includlng the
Akhaltsikhe-Borcka lntelConneclion Lrne
"TElAS" means Turkish Electricity Transmission Corporation, which is the market
operator and System Operator of the Turkish Transmission System, owns and
controls the Turkish Transmission System and carries out the operalional disPalch
control of the electricity system of the Republic of Turkey, including the part of the
Akhaltsikhe-Borcka lnterconnection Line located on the Terr(ory of the Republic
of Turkey that will connect Georgian and the Turkish power systems
"Territory" means, with respect to any Party, the land terfltory of such Party, lts
territorial sea and the air space above each of them, as well as the maritime areas
over which such Party has jurisdictron or exercises sovereign rights in accordance
with public international law
"Transmission Rights" means the legal entitlement of a Commercial Transmisslon
Right Owner to Transport electricity through all or any portion of the AkhaltsikheBorcka lnterconnection Line
"Transmission System" means a national high voltage electricity transmission
system, including all related facilities
"Transport" means the transmission of eleckicity via any legal arrangement or
entitlement
"Utilization Period" means the period of allocation of the relevant part of ALC of
the Akhaltsikhe-Borcka lnterconnectlon lrne to the Commercral Transmission
Right Owner
2 lnterpretatron
(a) The division of ihis Agreement inio articles, sections and other portions and
the insertion of headings are for convenience of reference only and shall not affect
the construction or interpretation hereof
(b) Unless otheMise indicated, references to a particular Anicle or to the
Preamble refer to the specified Article or the Preamble of this Agreement
(c) The terms 'this Agreement," "hereof," 'herein" and similar expressions
refer to this Agreement and not to any particular Artlcle, Sectron or other portion
hereof
(d) Unless otherwise specifically indicated or the context otherwise requires,
words importing the singular include the plural and vice versa
(e) Words rmporting any gender shall include all genders
(0 The expressions "include," "rncludes" and "including" shall be deemed to
be followed by the words "without limitation."
(S) Each reterence to an agreement, including to the Exlstrng Agreements, or
document shall be construed, at any particular time, as a reference lo the relevant
agreement or document as it may have been amended or supplemented in
accordance with its terms
(h) Where reference is made in this Agreement to a period or periods of time,
the periods rn question shall be deemed to start al midnight on the first day of
such period and to end at midnighl on the last day of such period unless otherwise
stated.
(i)
Whenever a consent or approval is required by one Party from the other
Party, such consent or approval shall not be unreasonably wlthheld or delayed.
Article 2
Scope and Subiect of Agreement
1 Thrs Agreement establishes the principles based upon which the Parties
undertake to facilitate commercial Electricity Trad^ through the AkhaltsikheBorcka lnterconnection Line and upon which they, or such State Entities as lhey
may desrgnate, shall negoliate the lnterconnection Operation Agreement

2 Such princrples include the use of rnternationally accepted rules as envisaged
in the inlernational trade and inveslment agreements to which each Party is a
signalory
3 This Agreement reflects the Parties' intent:
(a) to jointly facilitate the development of market and power transmission
infrastructure in promoting Electricrty Trade conditions between the Republic of
Turkey and Georgia; and
(b) to coordinate their efforts concerning the realizatron of existing plans for
development of electricity transmission facilities between Georgia and the
Republic of Turkey.
Articls 3
Obiectives
The objectives of this Agreement are
(a) to increase and strengthen the social, economical and technical cooperation
between the Parties, by ensuring the successful rmplementation of Electricity
Trade in a competitive market framework betvveen buyers and sellers in Georgia
and the Republic of Turkey;
(b) to identify the agreements and lerms needed to govern the operation of
inlerconnection facilities for electricity imports and exports on the AkhaltsikheBorcka lnterconnection Line
Article 4
Relationship of thas Agreement to the Domestic Laws
Each Party confirms and warrants
(a) that lhe execulion of this Agreement is within its powersl
(b) that in the event of a conflict between the terms and conditions of this
Agreement and any domestic Law or Regulatron the lerms and conditions of this
Agreement shall prevail
Article 5
Performance and Observance of this Agreement
1 Each Party undertakes to fulfill and perform each of its obligations under this
Agreement and to cooperale in maintaining favorable cond[ions for Electricity
Trade between the two countnes The parties agree to ensure that this Agreement
and Electricity lnterconnectron Agreement shall b€ binding on each entity
(including any State Entity) that is licensed or authoflzed to perform any of
the
functions required to be performed under this Agreement rn, respectively, Georgia
and the Republic of Turkey
2 Each Party undertakes to use its best endeavors to ensure that Laws and
Regulations issued by any State Authority or State Entity a ow fu utilization of the
Akhaltsikhe-Borcka lnterconnection Line in accordance with relevant technical
speciricatrons
3 Each Party undertakes not to interfere with the operation of the Akhattstkhe_
Borcka lnterconnection Line, Electricity Trade between the two countrles, and
cross-border Transport of electricity, except in circumstances where such
operation would negatively impact the security and reliability of supply or pose an
unreasonable danger or hazard to public health and safety, property or the
environment
4 The Pa(ies agree to maintain maximum ATC level on the Akhaltsikhe-Borcka
lnterconnection Line with the objective to maximize effrciency of the eleckicity
trading operations via this lnterconnection Line
5 The Parties agree to meet as often as required in order to negotiate and enter
rnto the agreements described in this Agreement and any other agreements
required in relation to the Eleclricity Trade

the interconnectron line in 20'12, the Available Transfer Capacity and Net Transfer
Capacity on the Akhaltsikhe-Borcka lnterconnection Line shall be 350 MW,
expandable to 650 l\itw rn 2013 and further up to 1000 lVlW depending on the
market requirement and system operation conditions The allocation of this
capacrty shall be done as follows:
(a) Not later than 1st August of each calendar year, GSE/ET and TEIAS
shall
mutually determine and announce Net Transfer Capacity of the
Akhallsikhe-
Borcka lnterconnection Lrne for the following calendar year or years As for the
first year 20'12 of operation of Akhaltsikhe-Borcka lnterconnection Line the NTC
announcement by the relevant System Operators shall be done no later than lsiof
June 2012
(b) The allocation and operation principles concerning of transmission capacity
as
well as the relationship between buyers (importers) and sellers (exporters)
and the
technical operators in respect of planning transmission and delrvery schedules wil
be stipulated in the lnterconnection Operatton Agreemenis in line wrlh the
provrsions of the current legtslations tn both countries and thls Agreement ln
any
case, the entity to whom ATC wrll be allocated is decided by the exporting counlry
The System Operator of exportrng counky shall provide the other party,s System
Operator with the information on the capacity of the contracts of Exporters for the
relevant Uttlization Period and clear demonstration of market requirements for
such export-import operations
(c) ln allocating of the Available Transfer Capacity, the parties agree to grve
priority to electricity produced from Renewable Energy Sources
2 The Parttes shall undertake all necessary procedures for initiating the process
of issuance of relevant ltcenses and permrssions in order to ensure export_import
activrties wrlhtn the defined Utilization periods for the following calendar year or
years

Georgia and the Republic of Turkey on darty weekty, monthty and/or yearly basis

Force Maieure
1 Responsibility for non_performance or delay in performance

event or cause, of the type set forth in
(a), (b) andior (c) above and any resurting effects preventing
the ierformance of
an oblgation by the relevant party are beyond the relevani party,s
control; and
provided, concerning those events or causes
of the type set fortn in (a), (b) andior
(c) above which are reasonably foreseeable, that these are
not caused or
contributed to by the negligence of the relevant party
or of any State Authority or
State Entity of the relevant party or by any breach by
any of the foregorng of this
Agreement
3 Nothing rn this Agreement prevents a party from taking any measures which,
actrng reasonably, il considers essential to maintain or preserve
the security or
soverergnty of its Territory and properly or the safety and
security of its citizens or
iheir property in the event of Force Majeure
4 lf a Party is prevented from carryrng oul any obligation under this Agreement
a result of Force Majeure, it shall promptly notify in writrng the otheiparty
notrce must:

(b) fully describe the eveit of Force Ma]eure,
(c) estimate lhe time during which the Force Maleure will continue; and

Following the givrng of such notice, and for so long as the Force
N4ajeure
continues, any obligation which cannot be performed because
of the Force
IMajeure, other than the obligation lo pay money accrued as a result of activities
under this Agreement, shall be suspended
5 A Party that is prevented from carrying out any of its obligations as a result of
Force Majeure shall take such actrons as are reasonably available to tt and
expend such funds as are necessary and reasonable lo remove or remedy the
Force Maleure and resume performance of its obligations and a I parts thereof as
soon as reasonebly practtcable
6 A Parly that is prevented from carrying out any of its obtioations (other than an
obligation to pay money) as a result of Force Majeure shall take, and shall also
procure that a relevant State Authority or State Entity takes all such action as may
be reasonably required to mrtrgate any loss suffered by the other party during the
continuance of the Force Maleure and as a result thereof
Article 10
Joint Committee
The Parties shall, within 60 days of the execution of this Agreement, establish a
Jornt Committee to cooperate in the proper implementation of thrs Agreement,
exchange intormation, resolve disputes, conduct meetings and consultattons, and
otherwrse having the role described rn, and operating in accordance with this
Agreement
Article 1i
Dispute Settlement
1 The Parties shall endeavor to settle drsputes concerning the application or
rnterpretation of thls Agreement through diplomatic channels
2 lf the Parties are unable to settle the dispute through diplomatic channels or
through the Joint Committee within ninety (90) days, either Party may elect, by
written notice to the other Party, to submit the matter for final and binding
resolution to an ad hoc tribunal The notice shall include a statement oI the
general nature of the claim and the reltef or remedy (includrng declaratory relief)
sought, including an indication of any financial amoInt rnvolved
3 Such an ad hoc arbitral tribunal shall be constituted as follows.
(a) The Party instituting the proceedings shall appoint one member of the tribunal
and inform the other Party to the dispute of its appointment withrn 30 days of
receipl of the notrce referred to in Article 11 2 by the other party;
(b) withrn 60 days of the receipt of the written
norice referred to in Articre 1 .r.2, the
other Party sharr appoint one member rf the appointment is
not made wrthrn the
time limit prescribed. the party having instituted the proceedings
may, within
ninety (go)days of the receipt of the written notice referred
to in Articte 11 2,
reguest that the appointment be made in accordance
with Article t 1 3(d);
(c) A thrrd member, who shall not be a national
or ctizen of a party, shall be
appointed by the parties That member shalt be the presrdent
of the tnbunal lf,
within one hundred and rrfty (150) days of the receipt of

Amendments
'1 This Agreement may be amended by mutual written consent
through the

effectiveness oF any amendment shall not be delayed beyond three
months
following the execution by the parties of the document recording

2 The Parties agree that the amendment of the commercial name, reorganization
(by the form of merger, division or conversion) or any other
form of conversion of
legal form or status of the System Operators or System Operators
of a party,
including GSE, ET or TEIAS, does not restrict the scope of this Agreement

the obligations, responsibililies and dulies imposed on the above mentroned
System Operators shall be invariably and fully carried by their successor tegal
entiles. ln case of necessity, the parties shall anform each other through
diplomatic channels about such changes

Validity and Termination
This Agreement sha remain in force for a period of 1O (ten) years and sha
be
extended automatically for successive .lO (ten) year periods urrless one of the
Parties noltfres the other in writing through diplomatic channels of
rc intention to
terminate the Agreement stx (6) months prior to its termination
Article 14
Entry Into Force

This Agreement shall enter into force on the date of the recetpt of the last
wlitten notification through diplomatic channels, by which the padies inform
each
other that all necessary requiremenls foreseen by their national legislation
for the
entry into force of this Agreement have been fulfilled

rekabetgi bir piyasa gergevesinde bagarrL bir gekilde gergeklegtirilmesini saflayara.k
Tuallar arasmdaki sosyal, ekonomik ve tekrik igbirlifini arttrrmak ve gtiglendirmek;
(b) Borgka-Ahrska Enterkoneksiyon hattt iizerinden elektrik ithalat ve ihracatrna yiinelik
€nterkoneksiyon tesislerinin itletimini ydneunek igin gerekli olan anlagma ve sureleri
belirlcmek.

i$birligi yapmayr taahhiit eder. Taraflar, i$bu Anla5manrn ve Elektrik Enterkoneksiyon
Anla$masrmn, itbu Anlasma qergevesinde, Tilrkiye Cumhuriyeti'nde ve Giircistan'da gerekli
i$levleri yerine getirmeye ayn ayn ye*ilendirilmi$ veya lisanslaffnl$ her bir kuulu$ iqin
(Devlet Kuulutu dahil) baglayrcrhgrnr tcmin ctmc konusunda anlaSmaya varmrglardrr.
2. Taraflar, herhangi bir Devlet Mcrcii vcya Devlcl Kurulugu tarafindan grkanlan Kanunlar ve
Y6Detmeliklerin Borgka-Ahrska Enterkoneksiyon Hattrnln ilgili teknik iizellikleri uyannca ta.rn
ar amryla kullanrlmasrna olanal tamnmasmr saglamada ellerinden gelen Qabayr gostermeyi
laahhilt ederler.
3 Her bir Taraf, Borgka-Ahrska Enterkoneksiyon Hattmln i$letilmesine, iki tilke arasrndaki
Elektrik Ticaretine ve srnrr-dtesi elektrik nakline, bu tiir iglemlerin arz giivenliEi ve
guvenilirliginin olumsuz ydnde elkilenmesi veya kamu saghEr ve guvenligine, miLlkiyet veya
gevrcye makul olmayan bir tehlike vsya risk olulturmas! hallcri harig, miidalalo cknemoyi
taahhut ederler.
4 Tatuflar BorQka-Ahrska Enterkoneksiyon Hattr iizerinden yaprlacak elekbik ticaretini
iglemlcrinin ctkinlifinin azamilegtirilmcsi amacryla, Borgka-Ahrska Enterkoncksiyon Hatfinda
azami KAK seviyesini muhafaza etme konusunda anlagmrglardrr
5. Taraflar, igbu Anlagma gergevesinde tanrmlanan anlagmalan ve Elektrik Ticaretine iligkin
olarak gerekli olan herhangi bir digcr anla$mayr miizakere elrnek ve bunlara kattlmak amaclyla
gereken srkhkta bir araya gelmek Uzere anla;maya varmtslardlr
MADDE 6
Kullanrha Agft Kapasite (KAK) ve K.pasiteDin Tahsisi
Enterkoneksiyon haflrnrn 2012'de illetmeye almmasmdan sonra Borgka-Aluska
Enterkoneksiyor Hattr iizerinden ilk defa tahsis edilecek Kullanrma Agrk Kapasite (KAK) ve
Net Transfer Kapasitesi (l\TK) 350 MW olacak, 2013 yrlnda bu kapasite 650 MW'a kadar
grkartrlabilecek, daha sorua, piyasa talepleri ve sistem igletrne iartlarha bagl olaral 1000
MW'a kadar arttrnlabilecektir l$bu kapasile a$agrdaki $ekilde tahsis edilecektir:
(a)Her bir takvim yrhnrn I Agustos'undan geg olmamak kaydryla, TEiAS ve CSE/ET, bir
sonraki yrl igin Borpka-Ahrska Enterkoneksiyon Hattlnln Nl'K'smr karirllkh olarak
belirleyecek ve duyuracaklardrr. Borgka-Ahlska Enterkoneksiyon Hattrnm ilk i$letim yrlr
olan 2012 yrlr igin, NTK, ilgili Sistem l$letmecisi tarafindan I Haziran 2012 tarihinden
geg olmamak iizere duyrrulacaktrr.
(b)iletim kapasitesine iligkin tahsis ve iqtetme ilkelerinin yanr srra alrcrlar (ithalatgrlar) ve
satrcllar (ihracatgrlar) ve iletim planlamast ve tedarik programr agrsrndan ilgili teknik
operattirler arasmdaki ili$kiler, i$bu Anla5ma ve her iki illkenin mcri mevzuatr hiiktirnlcri
uyannca Enterkoneksiyon iqletme Anlaimaslnda belirlenecektir Her haliikarda, KAK'rn
taisis edilecegi $rrket, ihracatgl rilke taraflndan belirlenecektir. ihracatgl illkenin Sistem
Igletrnecisi, ilgili Kulla m Ddnemi igin ihacatgrlafln kontrat kapasitelerine ili$kin bilgiyi
ve bu ttir ithalat-ihracat iglemleri ile ilgili piyasa gerekliliklerini net olarak gdsteren
belgeyi diEer Taralrn Sistem llletrnecisine saglayacakttr.
(c)Kullanrma Agrk Kapasitenin tahsisinde, Taraflar, Yenilenebilir Enerji Kaynaklanndan
iiretilen elektrige dncelik verme konusunda aJIlaSmrElardrrTaraflar, takip eden takvim yrlt veya yrllan igin. belirlenen Kullamm D0nemi igerisinde
ithalaGihracat faaliyetlerinin gergekle$tirilmesrni saglamak amacryla, ilgili lisans ve izinlerin
verilmesi silrecinin ba$latrlmasr igin gerekli tum i$lemleri yerine getirmeyi taahhilt
edeceklerdir

ihracalithalat faaliyetleri, Enterkoneksiyon iglerme Anlagmasr ian ve hukitnleri ve i$bu

l. Taraflar, Tiirkiye Cumhuriyeti ve Giircistan'da iiretrlen elektrigin, TEIA$, GSE ve ET'nin
iletim Sistemleri kullanrlmak iizere, ihacalithalat amagtr naklini ve srnrr dtesi ticaretini
kolaylattmayr vc bu ttlr srnrr iitcsi Elektrik Ticareti vc naklinin kcsintiyo utsamasmln veya
azaltrlmasrnrn iinlenmesi ve engellenmesl igin gerekebilecek veya gerekli nim eylemlcri
gergckle$tirmcyi ve dnlemleri almayl taahhut eder.

EntErkoneksiyon Hattr igin igbu Anlagmamn gerekterini sallayan bir Enterkoneksiyon l$letme
Anla$masrnr, Niyet Mektubunu dikkate alarak birtikte haarlaytp imzalayacak ilctim Sistcmi
lgletrnesinden sorumlu uygun Devlet Kurulusunu (veya lisans sahibi veya Sistem iqletrnecisi)

elektrilin ithalatr ve iluacatr igin Borgka-Ahrska Enterkoneksiyon Haff kapasitesine erigimde
iincelik tanrmay! taahhiit eder
TaraJlar, her bk zaman dilimi igin belirlenen son giine kadar, piyasa katrhmcllan tarafindan
Borgka-Ahrska Enterkoneksiyon Hatu iizerinden kullanrlacak kapasiteyi belirlemedc tutarh Ye
e$gudiimlu usulleri kullanmayr laaihilt eder Bu maddede bahsedilen son giin, Sistom
Igletmecilerinin kullanlmayan kapasiteyi bir sonraki uygun zaman diliminde yeniden tahsis
edebilece[i gekilde ayarlaamalrdr.
6 Taraflar, bir Ticari iletim Hakh Sahibinin, llerim Hakkr olan miktafl krsa siireli bir Miicbir
Sebepten veya bagka nedenden dolayr daha az kullanacalrnr veya hig kullanmayaca[rnr, yitk
levziinden sorumlu tevzi merkezi veya Devlet Kuruluguna vakitlice bildirmesi durumund4
Borgka-Ahrska Enterkoneksiyon Hattr ilzerindeki kullanrlmayan kapasitenin Krsa Vadeli
Yeniden Sahgr veya Yeniden Tahsisi konusunda tutarl bir yakla5rm uygulayacaklannl taahhilt
eder.

Miicbir Sebep
I
Herhangi bil 1'arafrn igbu Anlapma kapsamrndahi yukiimlillflklcrinden herhangi birini
yerine getirememesi veya yerine getirmede gecikmesinin, igbu Anla5ma'nrn 9.2 nci
Madde'sinde tarrmlanan Miicbir Sebep nedeniyle meydana gelmesi durumunda, ilgili
Tarafrn sorumlululu bu tiir yerine getirememe ya da gecikme siiresince rskrya alnacaktrr.

Bir Tarafagrsrndan, , alagrdaki (a), (b) ve (c) benllerinde belirlenen tiirdeki bclirli olay ya
da nedenin ve bunlann olu$umuyla ortaya grkan ve ilgili Tarafin yiik mlillil[UnU yerine
getirmesini engelleyen sebepler, ilgili Tarafin kontroliiniin drgrnda olmasr ve dnceden
tahmin edilebilen (a), (b) ve (c) bentlerinde belirlenen tiirdeki bclirli olay ya da nedenlerc
iligkin olarak ilgili Tarafrn ya da ilgili Tarafrn herhangi bir Devlet Mercisinin ya da Devlet

yiikilmltililklerini tam anlamryla tekrar yedne getirmek igin, makul olabildifi olgiide
gerekli faaliyetleri yapacak ve gerekli fonlan harcayacaktrr

Anla5mada tanrmlanan baSka rolleri dahil i5bu Anla5ma uyaflnca faalyet gdsterecek bir
Ortak Komile olultwacaklardrr.

Taraflar, igbu Anla'manrn yorumu vc uygulanmasrnda meydana gelen lilm anla$mazllktarl
diplomatik yollarla gdzilmlemeye gayrct edeceklerdir.
AnlaSmazlrklann diplomatik yollarla veya Ortak Komite vasrtasryla 90 (doksan) giln
igerisinde giizilmlenememesi durumunda, Tarallardan herhangi biri, difer Tarafa yazh bir
bildirimde bulunarak, nihai ve baglayrcr 96ziim igin konu).u bu amagla olu5turulacak bir
Tahkim Kuruluna gdttirebilir. Sdz konusu Bildirim, iddiamn genel durumunu ve istenen
herhangi bir pa:asal miktan da igeren aranan tclafi veya gtiztimii (tespit davasr dahil)
igereccktir.
3. Tahkim Kurulu a5a[rdaki gekilde olugur:
(a) Muhakemeyi baSlatan Tarai i$bu Anla5manrn I I 2 Maddesinde atrfyaprlan Bildirimin
difer Taralga teslim ahnmasrm miiteat<ip 30 giin igerisinde Ta]r_kim Kuruluna bir ilye
atar ve kendi iiyesini atamasr konusunda ihtilafrn dif,er Tarafrru bilgilendirir.
(b) ll 2 Madde'de atfedilen yazrlr bildirimin teslim aLndrlr tarihten itibaren 60 (altrnrg)
giin igerisinde diter Taraf, kendi Uyesini atar. Siiz konusu atamanrn belirtenen sure
iqerisinde yaprlmamast durumunda, muhakemeyi baglatan Taraf, I I 2 Madde'de
atfedilen bildirimin teslim aLnmasr tarihinden itibaren 90 (doksan) giin igerisinde
atarnantn ll.3 Madde'ye giire yaprlmast konusunda talepte bulunur.
(c) Her iki Tarafrn uyrugunu veya vatandaghgrnr ta$rmayan tigiincii ijye, Taraflarca atantr.
Bu iiye Tahkim Kurulu'nun Bapkanr olur. 11.2. Madde'de atfedilen bildirimin teslim
ahuna tarihindcn itibaren 150 (yiiz ellD giin igerisinde Taraflar, iigiincu iiyenin
alanmasr hususunda anla5maya varamazlar ise, bu atam4 s<jz konusu bildirimin teslim
ahnma tarihinden itibaren 180 (yiiz seksen) giin igerisinde Taraflardan herhangi birince
ibraz edilen talep tizerine I L3 Madde'ye gdre yaprhr
(d) Igbu paragraf uyarrnca yaprlmasr istenen atamalar, bu tiir talebin aLnmasrndan itibaren
30 (otuz) giin igerisinde Uluslararasr Daimi Tahkim Mahl<emesi Genel Seketerince
yaprlrr. Genel Seketerin bu gtirevi yerine getirmesinden alrkonulmasr durumunda, bu
gtirevi Bijronun Birinci Sekreteri yerine getirir. Biiro Birinci Sekreterinin de bu gdrevi
yerine getirmede bir engelle kargrlagmasr durumunda, bu g6revi en krdemli yardrmcr
yapar.
(e) I1.3. Madde'sinin (a) dan (d) ye kadar olan bentlerine gdre yaptlan atamalar, atanacak
iiyelerin, iizellikle igbu Anlagma kapsamrndaki konulara iligkin nitelik ve tecriibeleri
dikkate alrnarak yaprlrr.

(r) Aksi tlzerinde Taraflarca anlatma mevcut olmadrlr takdirde, Tarallarca veya Talkim
Kurulunca deti$tiildigi atlgiide UNCITML tahkim kurallan gegerli olacaktrr. Tahkim
Kurul-r kararlan iiyelerin oy Qogunlutu ile almacakllr.
(g) Tahkim Kurulu ihtilaflan, iqbu Anla5ma hiikijmlerine ve uygulanabilir uluslararasr
mevzuat ilkeleri ve kurallarrna gdre gdzecektir.
(h) Tahkim Kurulu karan, Taraflar igin nihai ve ballayrcr olacaktrr.
(i) Kurul ilyelerinin ilcretleri dahil olmak iizere taikimin tiim masraflafl, Taraflarca c$it
paylarla ka$rlanacakhr. Ancak, Tahkim Kurulu, kendi takdirince, masraflann daha
yiilsek ommnln bir Taralga ka$llanmasrna dair karar alabilir.
(j) Taraflarca aksi Uzerinde anla5maya vanlmadrgr siirece, mahkeme lahey,de toplanacak
ve Daimi Tahkim Mahkemcsinin bina ve tcsislerinden yararlanacaktrr.
(k) Kararrn
bir kopyasr, genel eri$imtn saglarunast amaclyl4 Seketarya'ya
gonderi Iecektir.

L Igbu Ar a5mada, Tarallann ka$rllkll yazrlr mutabakatr ile diplomatik yollarla her zaman
deti;illk yaprlabilir. Yaprlarl degi$iklikler, i$bu Anlalmarrn I4 itncii Maddcsinde
tarumlanan hukuki prosedUr uyannca yiiriirliige girer. Taraflar, herhangi bir deliEiklifin
yilltllluge girmesinin, bu till degi$ikliklerin yaprlmasr iizerinde vanlan anla5mayr kayrt
alttna alan belgenin Taraflarca yiirilrltige konulmasrnl takip eden iig aydan dala fazla
gecikmeyecegini taalhilt ederler
Z Taraflar, Srsrem lgletrnecilerinin veya TEIA$, GSE veya ET dahil olmak ilzere Taraflann
