The purposes ofthe present Agreemcnl between the Governmcnl ofCeorgia and lhe Covemment ofthe Llnited States of America on Science and'fechnology Cooperation ("Agreement") are to strengthen scicntific and lechnological capabililies oI the Parties. to broaden and expand rela(ions berween the extensive scientific and technological communitres ol both countries, and to promote scientillc and technological cooperalion in areas of nturuat hcDelit for peaccful purposes 2. The principal objectives of this cooperation are to provide oppo(unitrcs to exchange ideas. informa(ion, skills, and technologies for peaceful purposes, md to collaborate on scientific and technological endeavors of mt(ual inrerest. ARTICLE II I The Panies shall encourage cooperation in scientillc and technological areasofmutual interesl through exchanges of ideas, information, skills, and tcchnologies; cxchanges ol' scientists, engineers. and technical experts; the convening ofjoint senrinars, scicntific confcrences, and mee(ings; training and enhancing lhe skills ol scientists. cngineers. and technical experts; the conduct ofjotnr research projects and studies; and rhe establishmenr of sciencc-based public-private paflnerships and other forms ofscientilic, engineering. and technologrcal cooperation in the basic and applied sciences as may be murually agreed upon 2 Cooperation undcr lhrs Agreement shall be based on shared responsibililies and equrrable contributions and benefits, commensurate with the rwo counrries' respective scientific and technological strengths and resources 3. These implemenling agreements or arrangemcnts shall cover, as appropriate, toprcs ofcooperation, procedurcs for personnel cxchangcs or program partrcipanls, procedures for transfer and use of materials, equipment and funds, and other relevant issucs. 2. The Parties shall encourage and facilitate, where appropriate, lhe development ofdirect contacts and cooperation between government agencies, universities, research centcrs. inslilutcs, privale sector companies. and olher entities ofboth countries The Panies may designatc other entities, including universities, research centers, rnstitulions, und privare sector companies ro carry oul activi(ies under this Agreement. 3. In cas€ ofany inconsistent or ambiguous provisions in an rmplementrng agreement or anangement, the provisions of this Agrecment shall prevail. unless lhe Parties olherwrse agree in writing. ARTICLE IV Cooperative aclivities under this ABreemenl shall be conducted in accordance with lhc applicable laws, regulations, and procedures in both countres and shall be subject to the availabiliry of appropriated funds and resources. This Agrcemenr does not consrilute any obligarron of funds by either Party. .\RTICLE V Scientists, engineers, technical experts. Bovemmental agencies, and institutions ofthird countries or intemalional organrzations may, in appropriate cases, be invited by agreement oI both Paflics to participate al their own expense, unless the Parlies agree otherwise in writing, in projects and programs being carried out under this Agreement- ARTICLE VI L Each Parly shall designate an Executive Agent lo conduct administrative at'fairs and. as appropriatc, to provide oversighl arld coordrnation ofactivities under this Agreemenr. ANNEX I INTELLECTUAL PROPERTY Pursuant to Article VII of this Agreement: l. General Obligation Thc Parties shall ensure adequate and effeclive protection of lntellectual property created or fumished under this Agreemcnt and relevant implementing agreements and arrangemenrs Righ6 to such intellectual property shall be allocated as provided in lhis Annex. Il. Scope This Annex is applicable to all cooperative acrivities undenaken pursuant to this Agreement, excepl as otherwise sprecifically agrecd by lhe Panies or their designees.
