At the moment of signing the Agreement between Georgia and the Kingdom of Spain
forthe avoidance ofdouble taxation and the prevention offiscalevasion with respect to
taxes on income and on capital, the undersigned have agreed on the following
provisions which shall form an integral part of the Agreement:
Entltlement to treaty benefits:
(D The Contracting States declare that their domestic rules and procedures with
respect to the abuses of law (including tax treaties) may be applied to lhe
treatment of such abuses.
(iD lt is understood thatthe benefits under this Agreement shallnot be granted to a
person which is not the beneficial or,vner ofthe items of income derived from the
other Contracting State or of the items of capital situated therein.
(iiD The provisions of Articles 10, 'l'l and 12 shall not apply if it was the main
purpose or one of the main purposes ofany person concerned with $e creation
or assignment of shares or other rights in respect ofwhich the dividend is paid,
the creation or assignment of the debt-claim in respect of which the interest is
paid, the creation or assignment ofrights in respect ofwhich the royalty is paid
to take advantage of these Articles by means ofthat creation or assignment.
ln witness lvhereof the undersigned, duly authorised thereto, have signed this Protocol.
Done in Madrid on the 7h day of June 2010, in duplicate in the Georgian, Spanish and
English languages, allthe texts being equally authentic. In case ofdivergence between
the texts, at shall be resolved on the basis of the English text.

Los Estados contratantes declaran que sus normas y procedimientos de

convenios fiscales) son aplicables para combatir tales abusos.
Se entendera que los beneficios del presente Convenio no se otorgaran

patrimonio situados en el ouo Estado contratante.

ENTRE GEORGIA Y EL REINO DE ESPAfrA PARA EVITAR LA DOBLE
IMPOSICI6N Y PREVENIR LA EVASI6N FISCAL EN MATERIA DE IMPUESTOS
SOBRE LA RENTA Y SOBRE EL PATRIMONIO
Georgia y El Reino de Espana, deseando fomentar y reforzar las relaciones
econ6micas, culturales y cientificas mediante Ia conclusi6n de un Convenio para evitar
la doble imposici6n en materia de impuestos sobre la renta y sobre el patrimonio, han
acordado lo siguiente:
CAP|TULO I
Augtto oe lPLtcacl6N DEL coNVENlo
Articulo 1
PERSONAS COMPRENDIDAS
El presente Convenio se aplica a las personas residenles de uno o de ambos
Estados contratantes.
Articulo 2
IMPUESTOS COMPRENDIDOS
'1. El presente Convenio se aplica a los lmpuestos sobre la Renta y sobre el
Patrimonio exigibles por cada uno de los Estados Gontratantes, sus subdivisiones
politicas o susintidades locales, cualquiera que sea el sistema de su exacci6n.
2.
Se mnsideran lmpuestos sobre la Renta y sobre el Patrimonio los que gravan la
totalidad de la renta o del patrimonio o cualquier parte de los mismos, incluidos los
impuestos sobre las ganancias derivadas de Ia enajenaci6n de bienes muebles o
inmuebles, los impuestos sobre el importe de sueldos o salarios pagados por las
empresas, asi como los impuestos sobre las plusvalias.
3.
Los impuestos actuales a los que se aplica este Convenio son' en particular:
a)
en Georgia:
(i) el lmpuesto sobre los Beneficios;
(ii) el lmpuesto sobre la Renta;
(iii) el lmpuesto sobre las Propiedades;
(denominados en lo sucesivo "impuesto georgiano");
(i) el lmpuesto sobre la Renta de las Personas Fisicas;
(ii) el lmpuesto sobre Sociedades;
(iii)el Impuesto sobre la Renta de no Residenles;
(iv)el lmpuesto sobre el Patrimonio; y
(v) los impuestos locales sobre la renia y sobre el Patrimonio;
(denominados en lo sucesivo "impuesto espafiol").
4.
El Convenio se aplicara igualmente a los impuestos de naturaleza id6ntica o
que
se establezcan con posterioridad a la firma delmismo yque_se affadan a
anSloga
los actuales o les sustituyan. Las autoridades competentes de los Estados
contratantes se comunicar6n mutuamente las modificaciones sustanciales que se
hayan introducido en sus legislaciones fiscales.
CAPiTULO II
DEFINICIONES
Articulo 3
DEFINICIONES GENERALES
1.
A los efectos delpresente Convenio, a menos que de su contexto se infiera una
interpretaci6n diferente:
a)
el t6rmino "Georgia" signiflca el territorio reconocido por la comunidad
internacional comprendido en las fronteras de Georgia, incluida su tiena
firme, las aguas internas, su mar territorial y el espacio aereo, respecto
de los que Georgia ejerce su soberania, asi como la zona contigua, la
zona econ6mica exclusiva y la plataforma conlinental adyacentes a su
mar territorial, respeclo de las que Georgia pueda ejercer derechos de
soberania conforme al Derecho internacional;
b)
el t6rmino'Espaia" significa el Reino de Espaffa y, utilizado en sentido
geografico; significa el territorio del Reino de Espana, incluyendo las
aguas internas, el espacio aereo, el mar tenitoria! y las Sreas exteriores
a su mar tenitorial en las que, con arreglo al Derecho intemacional y en
virtud de su legislaci6n intema, el Reino de Espafia ejeGa o pueda
ejercer en el futuro jurisdicci6n o derechos de soberania respecto del
fondo marino, su subsuelo y aguas suprayac€ntes, y sus recursos
naturales;
C)
las expresiones 'un Estado contraiante' y "el otro Estado contratante'
significan Georgia o Espana, seg0n el contexto;

el l6rmino "persona' comprende las personas fisicas, las sociedades y
cualquier otra agrupacion de personas;
el termino "sociedad' signmca cualquier persona juridica o cualquier
entidad que se considere persona juridica a efectos impositivos;
las expresiones 'empresa de un Estado contratante" y "empresa delotro
Esiado contratante' significan, respectivamente, una empresa explotada
por un residente de un Estado contratante y una empresa expiotada por
un residente del otro Esiado contratante;

la expresi6n "tr5fico intemacional" significatodo transporte efecluado por
un buque o aeronave explotado poruna empresa cuya sede de direcci6n
efectiva est6 siluada en un estado contratante, salvo cuando el buque o
aeronave se exploten lnicamente entre puntos situados en el otro
estado contratante;

la expresi6n'autoridad competente" significa:
en Georgia: el Ministerio de Hacienda o su representanle
autorizado;
en Espafia: el Ministro de Economia y Hacienda o su
representante autorizado;
el termino 'nacional' signilica:

Estado contratante;
una persona iuridica, sociedad de personas (painership) o
asociaci6n constituida conforme a la legislacion vigente en un
Estado contratante.
2.
Parc la aplicacion del Convenio en cualquier momento por un Estado
contratante, cualquier t6rmino o expresi6n no definida en el mismo tendra, a menos
que de su contexto se infiera una interpretaci6n diferente, el significado.que en ese
momento le atribuya la legislaci6n de ese Estado relativa a los impuestos que son
objeto del Convenio, prevaleciendo el significado atribuido-por la legislaci6n fiscal
sotre el que resultaria de otras ramas del Derecho de ese Estado.
Articulo 4
RESIDENTE
1.
A los efectos de este Convenio, la expresion 'residente de un Estado
contratante' significa toda persona que, en virtud de la legislaci6n de ese Estado, est6
suieta a impoaicion en el mismo por razon de su domicilio, residencia, sede de
direcci6n o cualquier otro criterio de naturaleza analoga, incluyendo tambi6n a ese
Estado ya sus subdivisiones politicas o entidades locales. Esta expresi6n no incluye,
sin embargo, a las personas que esten sujetas a imposici6n en ese Estado
exclusivamLnte por la renta que obtengan de fuentes situadas en el citado Estado, o
por el patrimonio situado en el mismo.

Cuando en virtud de las disposiciones del apartado 1 de este articulo una
persona fisica sea residenle de ambos Estados contratantes, su situacjon se resolvera
de la siguiente manera:

las autoridades competentes de los Estados contratantes resolveren el

Estado contratante por el mero hecho de que realice sus actividades en ese Eslado

independienle, siempre que dichas personas actien dentro del marco ordinario de su
actividad.

CAPiTULO III
IMPOSICI6N DE LAS RENTAS
Articulo 6
RENTAS INMOBILIARIAS

Las rentas que un residente de un Estado contratante obtenga de bienes

INTERESES
1.
Los intereses procedentes de un Estado conlratante cuyo beneficiario efectivo
sea un residente del otro Estado contratante s6lo pueden someterse a imposici6n en
ese otro Eslado.
2.
Eltermino'intereses'en elsentido de este articulo significa los rendimienlosde
cr6ditos de cualquier naturaleza, con o sin garantia hipotecaria o clausula de
participaci6n en los beneficios del deudor, y en particular, Ios rendimientos de valores
p0blicos y los rendimientos de bonos u obligaciones, incluidas las pr,mas y lotes
unidos a esos titulos. Las penalizaciones por mora en el pago no se consideran
intereses a efectos del presente articulo.

Las disposiciones del apartado '1 de esle a rticuto no se aplican si el beneficiario

Cuando por raz6n de las relaciones especiales exislentes entre el deudor y el
beneficiario efectivo de los intereses, o de las que uno y otro mantengan con lerceros,
el importe de los intereses habida cuenta del credito por el que se paguen, exceda del
que hubieran convenido el deudor y el acreedor en ausencia de tales relaciones, las
disposiciones de esle articulo no se aplicaran m6s que a este [ltimo importe. En tal
caso, el exceso podra someterse a imposici6n de acuerdo con la legislaci6n de cada
Estado contratante, teniendo en cuenta las dem5s disposiciones del presente
Convenio.

Articulo 17
ARTISTAS Y DEPORTISTAS
1.
No obstante lo dispuesio en los arliculos 14 y 15 de este Convenio, las
renlas que un residente de un Estado conkatante obtenga del ejercicio de su actividad
personal en el otro Estado contratante en calidad de artista del espectaculo, actor de
ieatro, cine, radio o televisi6n, o m0sico, o como deportista, pueden somelerse a
imposici6n en ese olro Estado.

No obslante las disposiciones de los articulos 7, 14 y 15 de este Convenio,
cuando las rentas derivadas de las actividades realizadas por un artista o deportista
personalmente y en esa calidad se atribuyan, no al propio artista o deportista sino a
otra persona, tales rentas pueden someterse a imposici6n en el Estado contratante en
que se realicen las actiyidades del artista o deportista.

No obstante las disposiciones de los apartados 1 y 2 de este articulo' las
rentas obtenidas por un artiita o deportrsla estaran exentas de impQsici6n en el
Eslado contratante en que se realicen dichas aclividades cuando estas se financien
totalo parcialmenle conlondos piblicos de uno o de ambos Estados y se realicen al
amparo de un acuerdo o convenio de colaboraci6n entre los Estados contratantes'
Articulo 18
PENSIONES
Sin perjuicio de lo dispuesto en el apartado 2 delarticulo 19 de este Convenio,
las pensiones y remuneraciones analogas pagadas a un residenle de un Estado
coniratante poiraz6n deun empleo anlerior s6lo pueden someterse a imposici6n en
ese Esiado.

Los sueldos, salarios y otras remuneraciones similares pagadas por un
Estado contratante o por una de sus subdivisiones politicas o entidades
locales a una persona fisica pot raz6n de servicios prestados a ese
Estado o a esa subdivisi6n o entidad, s6lo pueden somelerse a
imposicidn en ese Eslado.
b)
Sin embargo, dichos sueldos, salarios y remuneraciones similares s6lo
Dueden someterse a imposicion en el otro Estado contratanle si los
iervicios se preslan en ese Eslado y la persona fisica es un residente de
ese Estado que:
(i) es nacional de ese Eslado; o
de residente de ese Estado

Lo dispuesto en el apartado '1 de esie articulo no es aplicable a las rentas,
distintas de las derivadas de bienes inmuebles en el sentido del apartado 2 del articulo
6 de este Convenio, cuando el beneficiario de dichas rentas, residente de un Estado
contralante, realice en el otro Estado contratante una aclividad empresarial por medio
de un establecimiento permanente situado en ese olro Estado o preste en ese otro
Estado unos servicios personales independienles por medio de una base fra situada
en ese Estado, y el derecho o bien por el que se pagan las rentas est6 vinculado
eteclivamente con dicho eslablecimiento permanente o base fija. En tal caso, son
aplicables las disposiciones del adictrlo 7 o del articulo 14 de este Convenio

No obstante las disposiciones de los apartados 1 y 2 de este articulo, las rentas
de una persona fisica residente de un Estado contralante, obtenidas por raz6n del
juego y loterias, y procedentes del otro Estado contratante, pueden someterse a
imposici6n en ese otro Estado.
Articulo 23
PATRIMONIO

El patrimonio constituido por bienes inmuebles lal como se definen en el

sociedad o en cualquier otra agrupaci6n de personas, cuyo valor proceda en m5s de
un 50 por ciento, directa o indirectamente, de bienes inmuebles siluados en un Estado
contratante o por acciones o participaciones u otros derechos que otorguen al
propietario de los mismos el derecho al disfrute de bienes inmuebles situados en un
Estado mntratante, pueden someterse a imposicion en el Estado contratanle en que
est6 situado el bien inmueble.

Cuando un residenle de Georgia obtenga rentas o posea elemenlos
oitrimoniates que, con arreglo a las disposiciones del presente Convenio'
puedan someterse a imposici6n en Espaha. Georgia permilrrS:

Los establecimientos permanentes que una empresa de un Estado contratante
tenga en el otro Estado contratante no eslar,rn sometidos a imposici6n en ese Estado
de manera menos favorable que las empresas de ese olro Estado que realicen las
mismas actividades. Esta drsposici6n no podri interpretarse en el senlido de obligar a
un Estado contratante a conceder a los residenles del olro Estado contratante las
deducciones personales, desgravaciones y reducciones impositivas que otorgue a sus
propios residenles en consideraci6n a su estado civil o cargas familiares.

A menos que se apliquen las disposiciones del apartado 1 del articulo 9, del
apartado 4 del arliculo 11. o del aparlado 4 del articulo '12 de este Convenio, los

En ningin caso las disposiciones del apartado 3 de este articulo se
interpretar5n e-n el sentido de permitir a un Estado contratante denegar el intercambio

Las disposiciones del presente Convenio no afectaran a los privilegios fiscales

CAPITULO VII
DISPOSICIONES FINALES

Articulo 30
DENUNCIA
El presente Convenio permanecer6 en vigor hasta su denuncia por uno de los
Estados contratantes. Cualquiera de los Estados contEtantes podra denunciar el
Convenio por via diplom6tica, notificandolo por escrito al menos con seis meses de
antelaci6n alfinalde cualquieraffo civi,que comience una vez transcurrido un plazode
cinco afios desde la fecha en que el Convenio entre en vigor. En tal caso, el Convenio
dejare de surtir efecto respecto de los impuestos correspondientes a todo ano fiscal
quL comience a partii del 'l de enero, inclusive, del aho siguiente a aqu6l en que se
comunique la denuncia.
En fe de lo cual, los signatarios, debidamente autorizados atefecto, hanfirmado
presente
el
Convenio.
Hecho en Madrid el 7 de Junio de 2010, duplicado, en las lenguas espanola,
georgiana e inglesa, siendo todos los textos igualmente aul6nticos. En caso de
divergencia entre los textos, se resolvera sobre la base deltexto en lengua inglesa.

TAXATION OF INCOME
Article 6
INCOME FROM IMMOVABLE PROPERry

lncome derived by a resident of a Contracting State from immovable property
(including income from agriculture or forestry) situated in the other Contracting
State may be taxed in that other Slate.

The term "immovable property" shall have the meaning which it has under the
law of the Contracting State in which the property in question is situated. The
term shall in any case include property accessory to immovable property,
livestock and equipment used in agriculture and forestry' rights to which the
provisions of general law respecting landed property apply, usufruct of
immovable property and rights to variable orfixed payments as consideration for
the working of, or the right to work, mineral deposits, sources and other natural
resources; ships and aircraft shall not be regarded as immovable property.

NON-DISCRIMINATION

Nationals of a Contracting State shall not be subjected in the other Contracting
State to any taxation or any requirement connected therewith, which is otheror
more burdensome than the taxation and connected requirements to which
nationals of that other State in the same circumstances, ln particular with
respect to residence, are or may be subjected. This provision shall,
nohMithstanding the provisions of Article 1 of this Agreement, also apply to
persons who are not residents of one or both of the Contracting States

MUTUAL AGREEMENT PROCEOURE

Where a person considers thal the actions of one or both of the Contracting
Slates result or will result for him in taxation not in accordance with the
provisions oI this Agreement, he may, inespective of the remedies Provide.d by
ihe domestic law of those States, present his case to the competent authority of
the Contracting State of which he is a resident or, if his case comes under
paragraph 1 oiArticle 25 of this Agreement, to that of the Contracting State of
which he is a national. The case must be presented within three years from the
first notification of the action resulting in taxation not in accordance with the
provisions of lhe Agreement.
The competent authority shall endeavour, if the objection appears to it to be
justified and it it is not itselfable to arrive ata satisfactory solution, to resolve the
case by mutualagreement with the competent authority of the other Contracting
State, with a view to the avoidance of taxation which is not in accordance with
the Aqreement. Any agreement reached shall be implemented notwithstanding

EXCHANGE OF INFORMATION
1.
The competent authorities of the Contracting States shall exchange such
information as is foreseeably relevant for carrying out the provisions of this
Agreement or to the administration or enforcement of the domestic laws
cJnceming taxes of every kind and description imposed on behalf of the

Any information received under paragraph 1 of this Article by a conkacting State
sh;tl be treated as secret in the same manner as information obtained under the
domestic laws of that State and shall be disclosed only to persons or authorjties
(including courts and administrative bodies) concerned with the assessment or
iollectioi of, the enforcemenl or prosecution in respect of, the delermination of
appeals in relation to the taxes referred to in paragraph 1 of this Ariicle, or the
oversight of the above. Such persons orauthorities shall use the information only
for such purposes. They maydisclose the information in public court proceedings
or in judicial decisions.
Notwithstanding the foregoing, information received bya Contracting State
may be used for other purposes when such information may be used for such
other purposes under the law of the requesting State.
3.
ln no case shall the provisions of paragraphs 1 and 2 of this Article be construed
so as to impose on a Contracting State the obligation:

to carry out administrative measures at variance with the laws and
adminislrative practice of that or of the other Contracting State;
