WHEREAS, on 8 November 2002 the First Novation Bonowq amalgamated with Elechogadalsema, a state owned company having the same shareholders as the First Novatio[ Borrower to form Georgia State Electosystem ("GSE') and on 29 December ― ‐ ― 1 Bank ageed 2006 GSE, as the legal succ€ssor to the Filst Novation Borrower, and the Loan Novation the Filst to termiie a.ll of th-eir rcspective rights and obligations under and the Agreement as provided in ihe Agreement of29 December 2006 between GSE BaDk (the "Termiiation Agreement"). WHEREAS, the Bank and the Borrowe! eltered into a second novation loan agreement dated 29 De;ember 2006 (the "second Novation Loar Ageement") whereby (i) the Borrower assurned all ngits and obligatiors of GSE in its capacity as the legal as successor to the FiISt Novation Borower tmder the First Novation Loan Agrcement amended by the Second Novation Loan Ageement, (ii) the Parties increased the amount of the Original Loar by USD 10,000,000 and (iii) th€ First Novation Loan Agreement and the Novation Guarantee were terminated. WIIEREAS, on 29 December 2006 the Project Entity and the Bank entered into an agreement amending and restating the Novation Project A$eement to reflect the changes to the srructure of the Bank's financing (the "First Amended and Restated Project Ageement"). IYHEREAS, the Original loan and the aforementioned increase in the amount ofUSD 10,000,000 have been fully drawn and repaid in part and the cunent amount outstanding is USD 18,059,126.91 which amount is payable under this Amended and Restated Loan Agreeme[t, WHER"EAS, the parties have agreed to inuease the amotmt of the Loan by EUR 20,000,000 (the "New Cornrnitment") to finance work still required to b€ done to accomplish the goals of the Project and works on the hydro power plants cascade located downstream ofthe Enguri HPP (as defined below). WIIEREAS, each ofthe European Commission and the Euopean Investment Bank are currently considering a grant and a loan, respectively, to co-finance the Project. WHEREAS, the Proiect Entity and the Bank will enter into an agreement amending and restating the First Amended and Restated Project Agreement to, inter ali4 reflect the changes to the structue of the Bank's hnancing (the "Second Amelded and Restated Project A$eement") WHEREAS, the Bonower intetrds to implement the Prcject as described in Schedule 1 Etrich is designed to assist in the rehabilitation ofthe Enguri Hydro Power Platrt; WHEREAS, the Bank has agreed on the basis of, inter alia, the foregoing to permit the amendme[t and restatement of the Second Novation Loan Agleement, subject to the terms and conditions set forth or referred to in this Agreement and the Second Amended and Restated Project Ageement. ARTICLE IV - SUSPENSION; ACCELERATION; CANCELLATION Sectioo4.0l.
