ARTICLE II . PRINCIPAL TERMS OF THE LOAN Scction 2.01. Amount And Currency (a) The Bank agrees to lend to the Borrower, on the terms and conditions set t-oflh or refened to in lhis A$e€ment, the amount ofEUR 7,000,000 (b) -the Loan shall consist of two Tmnches, as follows: (l) Tranche I in the amount ofEUR 4,300,000; and (2) Tranche 2 in the amount ofEUR 2,700,000. (c) Notwithstanding anything to the conkary, expressed or implied, ilr this Agreement, Tranche 2 is uncommitted and accordingly the Bank shall have no obligation to make ary disbursemenLs under Tranche 2 unless, al the requesi of the Bonower, it shall have first determined in its sole and absolute discretion lhat it is prepared to make Tranche 2 availabte for disburseDent and shall have notified the Bofower ofsuch positive d€termination, ifany (d) Without prejudice to lhe generality of Secrion 2.0t(c), lhe avaitability oa Tranche 2 shall, wirhoul limitarion, b€ subjecr lo: (l) thc Subsidiary Loan Agreement for Tranche 2, in form and subslance satisfactory to the Bauk, having been executed and delivcred and all coudirions preccd€nt to its effectiveness or to the right o[ the Project Municipaliti€s to make drawings thcreunder, cxcept only thc availability of franche 2, have bcen Iultjllcd; (2) the Borrower having fumishcd to tbe Bank a letter in form and substance satisfactory to the BaflI of the Minisrry of Fina-nce showing that the Subsidiary Loan Agreement for Tradche 2 has been duty authorised or ratified by, and executed and delivered on behalf oi lhe Bonower and constitutes a valid and legally binding obligation of the Borrower, enforceable in accordance with its terms;and (3) each Project Muicipality having fumished to the Bank an opinion or opinions in form and substznce satisfaclory to the Bank of the Chief t,egal Counsel of such Project Municipality showing that the Subsidiary Loan Agreement for Tranch€ 2 has been duly authorised or rarificd by, and executed and dclivcred on behalf oi such Project Municipality and constirutes a valid and legally binding obligation ofsuch Projcct Municipaliry, enforceable in accordance with its terms Section 2.02. Other Finsnciel T€rms of ihc Loau (a) The Minimum Drawdown Amount shall be EUR 50,000. ft) The Minimum Prepayment Amount shall b€ EUR 100,000. (c) The Minimum Cancellation Amount shalt b€ EUR I00,000 (d) Thc Inrcrest Paymcnt Dates shall bc 12 FebrMry and 12 August ofeach year (e) (l) 'Ihe Bonower shall rcpay the Loan in 24 equal (or al nearly equal as possible) semi.annual instalments on 12 February and 12 August ofeach year, with the lirst Loan Rcpaymert Date bcing 12 August 2018 and the last Loan Repayment Date being l2 February 2030. (2) Notwirhstanding the foregoing, in the evcnt that (i) the Borrowcr does not draw down the entire Loa[ amount prior to the lirst Loan Repaynlcnt Dare specified in this Seclion 2.02(e), and (ii) the Bank extends the Lasr Availability Datc specified in Section 2.02(0 below to a date which falls alter such first Loan Repaym€nt Date, then the amount of each drawdown madc on or atier the firsr Loan Repayment Date shall be allocated for repalment in cqual amounts to rhe s€veral Loan Repayment Dales which fall after the date of such drawdown (with the Bank adjusting the amounts so allocated is neces*rry so as to achieve \lhole numbers in each case). Drawdowns , il (a) The Availabl€ Amount may bc drawn down from time to time il1 accordance lvith the provisions ofSchedule 2 to finance (l) expenditures made (or, ifthe Bank so agrces, to b€ made) in respect of the reasonablo cost ofgoods, works and services requirei for the Projcc(, and (2) rhe Front-€nd Commission a D .- (b) The Bonower hercby authorises thc BanI to draw down from the Availablc Amount an amount equal to the Front-end Commission and to pay itsclf the Front-end Commission on beha.lf of the Borrower. Other Allirmativ€ Project Cov€rants In addilion to the general undertakings set forth in Aniclcs IV and V of the Slaodard Terms and Conditions, the Borrow€r shall, unless the Ba* otherwise agrecs in writing: D (a) make available to each Projcct Entity, pursuant to subsidiary loan agreements in form aod substance satisfactory to the BaDI, the procccds o[ the Loao oD terms and conditions acccptabl€ to the Bank; (b) exercise irs rights under the Subsidiary Loan Agreements in such ntanner uls to .-l protect th€ intercsts ofthe Bonower and the Bank, to comply wirh the provisions ofthis Agreement and lo accomplish the purposes for which the loan is made; (c) not assign, amen4 abrogate or waive any provision of the Subsidiary Loan Agreements; -: (d) take all necessary steps to ensurc that each Projecr Entity perfbrms all of its obligations under the Project Agreement to which it is a pany, including without limilation its obligations relating lo: (l) designation and opcration ofa project ream as provid€d for in Secrion 2.Oj . = - ofthe Project Implementation Agreemenl and Seclion 2 04 ofthe Projccr Support and Implcmentation Agreement; (2) procurement ofgoods, works and services for the Project as pmvidcd for in Scction 2.04 of the Project Implementation Agrecmert and Secrion 2.05 of the Project Support and Implementation Agreem€nt; (3) environrnenlal and social matters as provided for in Scction 205 of the Project Implementalion Agreement and Section 2.06 of the Project Supporr and lmplementatiolr Agreement; (4) employment and usc of consultants to assist in the implcmentarion of the Project as provided for in Section 2.06 oftbe Project lrnplementation Agrcemenl and Sertion 2.07 of the Project Support and lmplementation Agrcement; (5) carrying out of a corporate developmenl, stakeholder particip.ltion and municipality support programme as provided for in Section 2 07 of rhe Project lmplementation Agreement; (6) preparation and submission of reports on marters relating to thc Project and to lie Project Entily's opcrations as provided for in Secrion 2.08 of thc Project lmplementation Agreemcnt; (7) maintenance ofprocedures, records and accounts, preparatiorL auditing and submission to the Baok of financial statements and fumishing lo the Bank ofany other relevant information relating lo the Project or the Projcct Entity's opemiions as provided for in Section 3.01 of th€ Project Implementation Agreement and Section 3 0l ofthe Project Support and Implemenlation Agreemcni; (8) compliance with all covenants regarding financial and operational aspecls of the Project and the Project Entity as provided for iD Sections 3.02, 3.03 and 3 01 ofthe Proj€ct lmplementation Agreement; aod (9) implementation ofthe Project in accordance with the rcquirements set out in the ProcuremeDt Plan; (e) caus€ any person (other lhan a natural peEon) or entity controlled by the Bonower to pay solid wesle charges to the Project Company or Project Mun;cipalities, as tbe case uray be, rvhen due or, if any such person (other thaD a narural psrson) or entity fails to do so, pay sucb ch6rges without delay; and (0 naintain the cost recovery principle within affordability constraints for ftture solid waste projects implemenled by the Project Company. ARTICLE Iv . SUSPENSION; ACCELERATIoN Section4.0l.
