სსიპ საპენსიო სააგენტო 2020 წლის ანგარიში წინამდებარე ანგარიში აღწერს 2020 წლის განმავლობაში საპენსიო სააგენტოს მიერ გაწეულ საქმიანობას და განხორციელებულ ღონისძიებებს. დოკუმენტი ასევე მოიცავს დაგროვებითი საპენსიო სქემისათვის მნიშვნელოვან ძირითად სტატისტიკურ მონაცემებს. 1. საოპერაციო საქმიანობა 1.1. საპენსიო სააგენტოს დირექტორის ცვლილება საპენსიო სააგენტოს დირექტორის 2019 წლის 2 დეკემბრის განცხადებისა და საპენსიო სააგენტოს სამეთვალყურეო საბჭოს 2019 წლის 16 დეკემბრის N8 სხდომის ოქმის საფუძველზე ბატონი ლევან სურგულაძე, 2020 წლის 16 იანვრიდან გათავისუფლებულ იქნა დაკავებული თანამდებობიდან. ამასთან, სამეთვალყურეო საბჭოს იმავე სხდომის ოქმის საფუძველზე მიღებულ იქნა გადაწყვეტილება საპენსიო სააგენტოს დირექტორის ვაკანტურ პოზიციაზე კონკურსის გამოცხადების თაობაზე. კონკურსის მიმდინარეობის პერიოდში, საპენსიო სააგენტოს დებულების შესაბამისად, სამეთვალყურეო საბჭოს 2020 წლის 14 იანვრის N10 სხდომის ოქმის საფუძველზე დირექტორის მოვალეობის შემსრულებლად დანიშნულ იქნა საპენსიო სააგენტოს დირექტორის მოადგილე - ბატონი გიორგი ჭიჭინაძე. დირექტორის შერჩევის მიზნით გამოცხადებული კონკურსი არშემდგარად იქნა გამოცხადებული სამეთვალყურეო საბჭოს 2020 წლის 28 ივლისის N14 სხდომის ოქმით და 2020 წლის 10 აგვისტოს გამოცხადებულ იქნა ახალი კონკურსი. აღნიშნული კონკურსის შედეგად გამარჯვებულად გამოვლინდა და საპენსიო სააგენტოს დირექტორად, 2020 წლის 15 დეკემბერს 5 წლის ვადით, დაინიშნა გიორგი დანელია. 1.2. დაგროვებით საპენსიო სქემაში გაწევრიანების სტატისტიკა „დაგროვებითი პენსიის შესახებ“ საქართველოს კანონის (შემდგომში - კანონი) მე-3 მუხლის მე-2 პუნქტის თანახმად, დაგროვებით საპენსიო სქემაში გაწევრიანება სავალდებულოა ყველა დასაქმებულისთვის, გარდა იმ დასაქმებულისა, რომელსაც კანონის ამოქმედებამდე შეუსრულდა 60 წელი (ქალის შემთხვევაში − 55 წელი). კანონისა და საპენსიო სააგენტოს დირექტორის 2019 წლის 30 ივლისის N002 ბრძანებით დამტკიცებული „საპენსიო შენატანების გადახდის წესების, ინფორმაციის წარდგენის ფორმების, ზედმეტად გადახდილი თანხების ადმინისტრირების, ინდივიდუალურ საპენსიო ანგარიშზე საპენსიო შენატანების, ხარჯის, ნამეტი შემოსავლის, დანაკარგის, სხვა შემოსავლის, ამონაგებისა და ზარალის დარიცხვის შესახებ ინსტრუქციის“ თანახმად, 2020 წლის 1 იანვრიდან 31 დეკემბრის ჩათვლით პერიოდში საპენსიო შენატანების ადმინისტრირების ელექტრონულ სისტემაში დარეგისტრირდა 10,427 დამსაქმებელი და გაწევრიანებულ იქნა 146,303 დასაქმებული. შედეგად 2020 წლის 31 დეკემბრის მდგომარეობით დაგროვებით საპენსიო სქემაში გაწევრიანებულ დასაქმებულთა რაოდენობა შეადგენდა 1,106,683-ს. 1.3. სააგენტოს საოპერაციო საქმიანობა, შიდა მარეგულირებელი დოკუმენტაციის შემუშავება და დამტკიცება საანგარიშო პერიოდის განმავლობაში მიმდინარეობდა მუშაობა, საპენსიო სააგენტოში დანერგილი პროცესების აღწერის და დოკუმენტირების მიზნით. საანგარიშო პერიოდის განმავლობაში, 1 შემუშავებულ იქნა საპენსიო სააგენტოს ცალკეული სტრუქტურული ერთეულების ინსტრუქციები და პროცედურები, რომელიც დეტალურად განსაზღვრავს და არეგულირებს სტრუქტურული ერთეულების როლს საპენსიო სააგენტოს საოპერაციო პროცესებში. ასევე შემუშავებულ და დამტკიცებულ იქნა პერსონალური მონაცემების დაცვის პოლიტიკა. ამასთან, გაუმჯობესდა და დაიხვეწა საპენსიო შენატანების ადმინისტრირების ელექტრონული სისტემა (შემდგომში - ელექტრონული სისტემა) და მასთან დაკავშირებული და საპენსიო სქემის სათანადოდ ადმინისტრირებისა და ეფექტური მართვისთვის აუცილებელი პროცესები, კერძოდ: - საპენსიო სააგენტოს ინიციატივით და საქართველოს ფინანსთა სამინისტროს სახაზინო სამსახურის მხარდაჭერით გაუმჯობესდა და გაიმართა სერვისები ელექტრონულ სისტემასა და სახაზინო სამსახურის სისტემას შორის; ელექტრონულ სისტემაში, დამსაქმებლების სამუშაო გვერდზე დაემატა დამსაქმებლების მიერ განხორციელებული ტრანზაქციების აღრიცხვის და კონტროლის ფუნქციონალი; დასრულდა დამსაქმებლებისა და დასაქმებულებისათვის ელექტრონული სისტემის მეშვეობით შეტყობინებების და წერილების გაგზავნის სერვისის იმპლემენტაცია; - დაიხვეწა კომერციული ბანკების მიერ საპენსიო სააგენტოსთვის ნომინალური მფლობელობის ანგარიშებზე განხორციელებული საპენსიო შენატანების შესახებ ინფორმაციის მოწოდების სერვისი და გაფორმდა შესაბამისი შეთანხმებები; - განხორციელდა რიგი ტექნიკური ცვლილებებისა ელექტრონულ სისტემაში, რომლითაც სქემის მონაწილეებისთვის სერვისის მიღება უფრო ეფექტური და უსაფრთხო გახდა. მაგალითად, რეგისტრაციის, მონაცემების განახლების და პროფილის რედაქტირებისას მონაწილეთა პირადი ინფორმაციის მეტი დაცულობის მიზნით, შეიცვალა პაროლის მითითების მოთხოვნის ფუნქციონალი. დასაქმებულების და დამსაქმებლების რეგისტრაციის დროს სავალდებულო გახდა საკონტაქტო ტელეფონის ნომრის და ელ.ფოსტის მითითება და ა.შ. 1.4. ნომინალური მფლობელობის ანგარიშების მართვა და საპენსიო შენატანებზე სარგებლის დარიცხვა საანგარიშო პერიოდში საპენსიო სააგენტოს გახსნილი ჰქონდა ნომინალური მფლობელობის მიმდინარე ანგარიშები საქართველოს 10 (ათი) კომერციულ ბანკში და საქართველოს ეროვნულ ბანკში. ნომინალური მფლობელობის მიმდინარე ანგარიშებზე არსებულ თანხებზე საანგარიშო პერიოდში დარიცხული ნომინალური საპროცენტო განაკვეთი შეადგენდა 8.25 პროცენტიდან - 10.50 პროცენტამდე და აღნიშნულ პერიოდში დარიცხული საპროცენტო სარგებლის ჯამურმა ოდენობამ შეადგინა 87,025,612.43 ლარი. 1.5. დაგროვებითი საპენსიო სქემიდან გასვლის პროცესის მართვა კანონისა და საპენსიო სააგენტოს დირექტორის 2019 წლის 27 მაისის N001 ბრძანებით დამტკიცებული „დაგროვებითი საპენსიო სქემიდან გასვლის, საპენსიო შენატანების და ამ შენატანებთან დაკავშირებული საინვესტიციო ან/და სხვა შემოსავლის დაბრუნებისა და ხელახლა გაწევრიანების წესის“ თანახმად, დასაქმებული, რომელსაც კანონის ამოქმედებამდე (2018 წლის 6 აგვისტომდე) შეუსრულდა 40 წელი და რომელსაც არ სურს იყოს სქემის მონაწილე, უფლებამოსილია, კანონის 22-ე მუხლის შესაბამისად, გავიდეს დაგროვებითი საპენსიო სქემიდან, საპენსიო სააგენტოს მიერ განსაზღვრული წესის შესაბამისად, სააგენტოსთვის წერილობითი მიმართვის საფუძველზე, დაგროვებით საპენსიო სქემაში, სავალდებულო წესით, ავტომატურად გაწევრიანებიდან 5 თვის ვადაში, მაგრამ არაუადრეს გაწევრიანებიდან 3 თვისა. მოქმედი კანონმდებლობის მიხედვით, საპენსიო სააგენტოს არ გააჩნია ტერიტორიული ერთეულები და ის საქმიანობას ახორციელებს მხოლოდ ერთ მისამართზე (თბილისი, ნ.ყიფშიძის ქ. N7ბ) მდებარე ადმინისტრაციულ ოფისში. საპენსიო სქემიდან გასვლის მსურველი უფლებამოსილი დასაქმებულებისათვის წერილობითი 2 განცხადებებით მიმართვის შესაძლებლობის გეოგრაფიული გაფართოების აუცილებლობიდან გამომდინარე, საპენსიო სააგენტო კვლავ სარგებლობდა სსიპ სოციალური მომსახურების სააგენტოს 69 ტერიტორიული ერთეულის დახმარებით, საპენსიო სააგენტოსა და სსიპ სოციალური მომსახურების სააგენტოს შორის გაფორმებული მემორანდუმის ფარგლებში. 2020 წლის 1 იანვრიდან 2020 წლის 31 დეკემბრის ჩათვლით პერიოდში 3,377 დასაქმებულმა ისარგებლა დაგროვებითი საპენსიო სქემიდან გასვლის უფლებით, ხოლო ამ უფლებით სარგებლობის შესაძლებლობა 2020 წელს ქონდა დაახლოებით 39 ათასამდე მონაწილეს. დაგროვებითი საპენსიო სქემიდან გასული დასაქმებულებიდან აღნიშნულ პერიოდში სქემაში ხელახლა გაწევრიანდა 314 დასაქმებული. საანგარიშო პერიოდში საპენსიო სააგენტოს მიერ სსიპ სოციალური მომსახურების სააგენტოსთან აქტიური თანამშრომლობით აღრიცხულ და მიღებულ იქნა დაგროვებითი საპენსიო სქემის ყველა იმ მონაწილეთა განცხადებები, ვინც სსიპ სოციალური მომსახურების სააგენტოსთვის მიმართვის გზით მიიღო შესაბამისი მომსახურება. 1.6. პენსიებისა და საპენსიო აქტივების გაცემა საანგარიშო პერიოდის განმავლობაში საპენსიო სააგენტოს მიერ მიღებულ იქნა პენსიის დანიშვნისა და საპენსიო აქტივების გადაცემის შესახებ 478 განცხადება, მათ შორის: • 158 განცხადება საპენსიო ასაკის მიღწევის გამო პენსიის დანიშვნის თაობაზე; • 196 განცხადება შესაძლებლობის შეზღუდვის გამო პენსიის დანიშვნის თაობაზე; • 11 განცხადება საქართველოს სამუდამოდ დატოვების გამო პენსიის დანიშვნის თაობაზე და • 113 განცხადება მემკვიდრის მიერ გარდაცვლილი მონაწილის საპენსიო აქტივების მიღების თაობაზე. მიღებული განცხადებებიდან დაკმაყოფილებულ იქნა 430 განცხადება და საანგარიშო პერიოდში გაცემული პენსიისა და საპენსიო აქტივების ჯამურმა ოდენობამ შეადგინა 546,118.35 ლარი. 1.7. დასაქმებულებისათვის დამატებით სერვისების შემუშავება და დანერგვა საანგარიშო პერიოდის განმავლობაში საპენსიო სააგენტოსა და ცალკეულ კომერციულ ბანკებს შორის გაფორმებულ იქნა მემორანდუმები, რომელთა ფარგლებშიც, ბანკების მიერ, მოხდა ინტერნეტ ბანკში და მობაილ ბანკში დამატებითი ფუნქციონალის დამატება, რომლის მეშვეობით დაგროვებითი საპენსიო სქემის მონაწილეების თანხმობით ხდება მათთვის მათი საპენსიო აქტივების ჯამური ღირებულების შესახებ ინფორმაციის მიწოდება. 2. საინვესტიციო საქმიანობა 2.1. საინვესტიციო საბჭოს შემადგენლობა საანგარიშო პერიოდში საპენსიო სააგენტოს საინვესტიციო საბჭოს ერთ-ერთი წევრის - დავით წიკლაურის მიერ მიღებულ იქნა გადაწყვეტილება საინვესტიციო საბჭოს შემადგენლობის დატოვების შესახებ სამომავლო ინტერესთა კონფლიქტის თავის არიდების მიზნით, რამეთუ დავით წიკლაური კერძო სექტორს დაუბრუნდა და ერთ-ერთ ადგილობრივ ფინანსურ ინსტიტუტში დაიწყო საქმიანობა. საქართველოს პარლამენტის 2020 წლის 23 აპრილის საგანგებო სხდომის ოქმიდან №200-IIსაგ.ს ამონაწერით ცნობად იქნა მიღებული საინვესტიციო საბჭოს წევრის დავით წიკლაურის საბჭოს წევრის თანამდებობიდან გათავისუფლება და შესაბამისად დავით წიკლაური გათავისუფლებულ იქნა დაკავებული პოზიციიდან. შედეგად საინვესტიციო საბჭო საანგარიშო პერიოდის განმავლობაში ფუნქციონირებდა 4 წევრის შემადგენლობით: ოლივიერ რუსო (თავმჯდომარე); ჟან-ფრედერიკ პოლსენი 3 (თავმჯდომარის მოადგილე); ტიმო ვიჰერკენტა და მაიკლ რიდლი. ამასთან აღსანიშნავია, რომ კანონის მიხედვით, საინვესტიციო საბჭო გადაწყვეტილებაუნარიანია, თუ საინვესტიციო საბჭოს სხდომას ესწრება საინვესტიციო საბჭოს არანაკლებ 3 წევრი. 2020 წელს საინვესტიციო საბჭომ 14 სხდომა გამართა, აქედან 1 თბილისში, ხოლო დანარჩენი დისტანციურად, პანდემიით გამოწვეული გადაადგილების შეზღუდვების გამო. 2.2. უფროსი საინვესტიციო ოფიცრის შერჩევა და საინვესტიციო სამსახურის დაკომპლექტება შესაფერისი კანდიდატურების არარსებობის გამო უფროსი საინვესტიციო ოფიცრის შესარჩევად ინიცირებული კონკურსი დაგეგმილზე დიდხანს მიმდინარეობდა. გარკვეული პერიოდის განმავლობაში, მონაწილეთა ინტერესების გათვალისწინებით, უფროსი საინვესტიციო ოფიცრის მოვალეობას დროებით ასრულებდა საინვესტიციო საბჭოს ერთ-ერთი წევრი, დავით წიკლაური. მოგვიანებით, 2020 წლის პირველ კვარტალში, საინვესტიციო საბჭომ კანონით დადგენილი წესით უფროს საინვესტიციო ოფიცრად შეარჩია გიორგი მელიქიძე, რომელიც აღნიშნულ პოზიციაზე დაინიშნა სამეთვალყურეო საბჭოს 2020 წლის 24 მარტის N 13 სხდომის ოქმის საფუძველზე. გიორგი მელიქიძე მოვალეობის შესრულებას 2020 წლის 1 აპრილიდან შეუდგა. მას აქვს ფინანსურ სექტორში მუშაობის 16 წლიანი გამოცდილება, ამასთან ხელმძღვანელ პოზიციაზე 10 წლიანი, ხოლო 9 წლიანი გამოცდილება აქტივების მართვის მიმართულებით. გიორგი მელიქიძის დანიშვნის შემდეგ დაიწყო საინვესტიციო სამსახურის თანამშრომლებით დაკომპლექტების პროცესი. არსებული საშტატო ერთეულების შესაბამისად გამოცხადებული კონკურსის შედეგად უფროსი საინვესტიციო ოფიცრის მოადგილედ შეირჩა ლევან ვერძეული, რომელსაც აქვს ფინანსურ სექტორში მუშაობის 12 წლიანი გამოცდილება, ამასთან 11 წლიანი გამოცდილება აქტივების მართვის მიმართულებით. მალევე შემუშავდა საინვესტიციო სამსახურის ორგანიზაციული სტრუქტურა, თითოეული პოზიციისთვის განისაზღვრა ძირითადი უფლებამოვალეობები და პასუხისმგებლობები. საინვესტიციო სამსახურში არსებული ვაკანსიების მიხედვით შეირჩა კიდევ 2 თანამშრომელი - უმცროსი პორტფელის მმართველი და ტრანზაქციების დადასტურებისა და ანგარიშსწორების სპეციალისტი, რომლებიც გუნდს 2020 წლის ზაფხულში შემოურთდნენ. 2020 წლის 31 დეკემბრის მდგომარეობით, საინვესტიციო სამსახურში მუშაობდა 4 თანამშრომელი (უფროსი საინვესტიციო ოფიცრის ჩათვლით). 2.3. საინვესტიციო პოლიტიკის დოკუმენტი 2019 წლის ბოლოს საპენსიო აქტივების მოცულობა 508 მლნ ლარს შეადგენდა, რაც განთავსებული იყო საქართველოს ეროვნულ ბანკში და ქართული კომერციულ ბანკებში სარგებლიან ანგარიშებზე და ერიცხებოდა ეროვნული ბანკის მიერ განსაზღვრული რეფინანსირების განაკვეთის ტოლი წლიური სარგებელი. საინვესტიციო საბჭომ საქართველოს ეროვნულ ბანკთან კომუნიკაციის შედეგად მიზანშეწონილად მიიჩნია, რომ არსებული საინვესტიციო გარემოს გათვალისწინებით და დაგროვებითი საპენსიო სქემის მონაწილეთა ინტერესებისთვის, შეექმნა დროებითი საინვესტიციო პოლიტიკის დოკუმენტი ფულის და ფულის მსგავსი ინსტრუმენტებისთვის, რაც საშუალებას მისცემდა საინვესტიციო საბჭოს, რომ საპენსიო აქტივები განეთავსებინა მაღალი რეიტინგის მქონე ქართულ კომერციულ ბანკებში ვადიან დეპოზიტებსა და სადეპოზიტო სერთიფიკატებში. აღნიშნული პოლიტიკა შემუშავდა და საქართველოს ეროვნული ბანკის მიერ მისი შესაბამისობის დადასტურების შემდეგ დამტკიცდა 2020 წლის 22 იანვარს. პარალელურად საინვესტიციო საბჭომ განაგრძო მუშაობა საინვესტიციო პოლიტიკის დოკუმენტზე, რის შედეგადაც საინვესტიციო საბჭოს მიერ შემუშავებული და საქართველოს ეროვნულ ბანკთან შეთანხმებული საინვესტიციო პოლიტიკის დოკუმენტი, საინვესტიციო საბჭოს 2020 წლის 15 სექტემბერის N11 ოქმის საფუძველზე წარედგინა სააგენტოს დირექტორს და დამტკიცებულ იქნა საპენსიო სააგენტოს დირექტორის 2020 წლის 25 სექტემბრის N004 ბრძანებით (შემდგომში - საინვესტიციო პოლიტიკის დოკუმენტი). საინვესტიციო პოლიტიკის დოკუმენტი განსაზღვრავს საპენსიო აქტივების მართვისა და ინვესტირების ჩარჩოს, სტრატეგიულ 4 მიზნებს, რისკის მართვისა და კონტროლის პრინციპებს, აწესებს ბენჩმარკ პორტფელს. საინვესტიციო პოლიტიკის დოკუმენტით განისაზღვრა პასუხისმგებლობები რისკის მართვასა და კონტროლზე. საინვესტიციო სამსახური, როგორც დაცვის პირველი ხაზი, პასუხისმგებელია საინვესტიციო საქმიანობის შედეგად წარმოშობილი რისკების მართვაზე. სააგენტოს რისკის კონტროლის დეპარტამენტი წარმოადგენს დაცვის მეორე ხაზს, რომელიც პასუხისმგებელია გაზომოს, შეაფასოს, მონიტორინგი გაუწიოს და მოახდინოს შესაბამისობის ანგარიშგება მიმდინარე საინვესტიციო პორტფელის რისკის პროფილის სააგენტოს რისკის აპეტიტთან და რისკის ლიმიტებთან მიმართებაში. 2.4. საინვესტიციო საქმიანობა ფულის და ფულის მსგავსი ინსტრუმენტებისთვის დროებითი საინვესტიციო პოლიტიკის შემუშავების შემდეგ, უფროსი საინვესტიციო ოფიცრის მოვალეობის შემსრულებელმა - დავით წიკლაურმა მოლაპარაკებები აწარმოა ქართულ კომერციულ ბანკებთან, რის შედეგადაც საინვესტიციო საბჭოს გადაწყვეტილებით, საპენსიო აქტივებზე რეალური ამონაგების გაზრდის მიზნით და მონაწილეთა ინტერესების დაცვით საპენსიო სააგენტომ 2020 წლის დასაწყისში განახორციელა 575 მილიონი ლარის ოდენობის ინვესტიცია მაღალრეიტინგული ადგილობრივი ლიცენზირებული კომერციული ბანკების მიერ გამოშვებულ სადეპოზიტო სერტიფიკატებში, ხოლო 15 მილიონი ლარის ოდენობის საპენსიო აქტივები ეროვნულ ვალუტაში განათავსა ბანკების ვადიან დეპოზიტებზე. ჯამური ინვესტიციების ოდენობა გადანაწილდა 7 კომერციულ ბანკში და გამოყენებული იქნა შემდეგი ფინანსური ინსტრუმენტები - დისკონტური და საპროცენტო სადეპოზიტო სერტიფიკატი და ვადიანი დეპოზიტები, ინვესტიციების ვადიანობა განისაზღვრა 2-5 წლით. ინვესტიციების საშუალო წლიური ეფექტური სარგებელი შეადგენდა 12.9%-ს (ნომინალური 14.8%). ამასთანავე, საინვესტიციო სამსახური აქტიურად განიხილავდა სხვადასხვა საინვესტიციო შესაძლებლობებსაც. 2020 წლის მეორე ნახევარში საინვესტიციო აქტივები განთავსდა 8 ქართულ კომერციულ ბანკში სარგებლიან ანგარიშებზე, სადეპოზიტო სერტიფიკატებსა და ვადიან დეპოზიტებში. აქტივების განაწილება აკმაყოფილებდა საქართველოს მოქმედი კანონმდებლობით დადგენილ მოთხოვნებს, მათ შორის: საკრედიტო რეიტინგის, ბანკის საერთო კაპიტალისა და კონცენტრაციის შეზღუდვებს. 2020 წლის 31 დეკემბრის მდგომარეობით საპენსიო აქტივების წმინდა ღირებულება შეადგენდა 1,164,656,968 ლარს და განთავსებული იყო საქართველოში არსებულ 8 კომერციულ ბანკში: 79% სადეპოზიტო სერტიფიკატებსა და ვადიან დეპოზიტებში, ხოლო დარჩენილი 21% სარგებლიან ანგარიშებზე. საშუალო შეწონილი შემოსავლიანობა შეადგენდა 10.91%-ს, ხოლო ვადიანობა 3.0 წელს. უნდა აღინიშნოს, რომ საინვესტიციო საბჭომ საინვესტიციო პოლიტიკის დოკუმენტის გათვალისწინებით, ფინანსური ანგარიშგების საერთაშორისო სტანდარტების შესაბამისად დააზუსტა საპენსიო აქტივების შეფასების მეთოდოლოგია და საპენსიო სააგენტო აღნიშნულ მეთოდოლოგიაზე 2020 წლის 31 დეკემბრიდან გადავიდა. საინვესტიციო სამსახურში კომერციული ბანკების ანალიზი სისტემატიზირებულად მიმდინარეობს, საერთაშორისოდ აღიარებული და ფართოდ გავრცელებული მეთოდოლოგიის მიხედვით (საერთაშორისო სარეიტინგო სააგენტო "მუდისის" მეთოდოლოგია). აღნიშნული მეთოდოლოგია გამოიყენება ბანკებში დეპოზიტების განთავსების რისკების შესაფასებლად. 2.5. სპეციალიზებული დეპოზიტარის შერჩევის პროცესი საინვესტიციო საბჭომ 2019 წლის ბოლოს დაიწყო სპეციალიზებული დეპოზიტარის (შემდგომში - სპეც. დეპოზიტარი) შერჩევის პროცესისთვის მოსამზადებელი სამუშაოები. აღნიშნული მომსახურება სიახლეს წარმოადგენს საქართველოს კაპიტალის ბაზრისთვის, შესაბამისად, მიმდინარეობდა კომუნიკაცია საქართველოს ეროვნულ ბანკთან, საქართველოს ეროვნული ბანკის პრეზიდენტის 2018 წლის 30 ნოემბრის N259/04 ბრძანებით დამტკიცებული „დაგროვებითი საპენსიო სქემის სპეციალიზებული დეპოზიტარის მარეგულირებელი წესით“ განსაზღვრული მოთხოვნების 5 დასაზუსტებლად. კონკურსის გამოცხადებისთვის, საინვესტიციო საბჭოსა და საერთაშორისო პარტნიორების დახმარებით შემუშავდა წინადადების მოთხოვნის დოკუმენტი (RfP), რომელშიც აღწერილი იყო სპეც. დეპოზიტარის მიერ გასაწევი სერვისები, მოთხოვნები სპეც. დეპოზიტარის მიმართ და კონკურსის ჩატარების ეტაპები. აღნიშნული დოკუმენტის საფუძველზე საპენსიო სააგენტომ 2020 წლის 6 იანვარს დაგროვებითი საპენსიო სქემის სპეც. დეპოზიტარის შესარჩევად კონკურსი გამოაცხადა. შერჩევის პროცესი მნიშვნელოვნად შეაფერხა COVID-19 პანდემიით გამოწვეულმა შეზღუდვებმა. აღნიშნულის პარალელურად, შეიცვალა სპეც. დეპოზიტართან დაკავშირებული საკანონმდებლო გარემო. კანონში განხორციელებული ცვლილებით, სპეციალიზებული დეპოზიტარისთვის მოიხსნა შეზღუდვა, რომლის მიხედვითაც იკრძალებოდა საპენსიო აქტივების ინვესტირება სპეციალიზებული დეპოზიტარის ქონებასა და მის მიერ გამოშვებულ ფასიან ქაღალდებში ან აქტივების გასხვისება სპეციალიზებულ დეპოზიტარზე ან მასთან აფილირებულ პირზე. ასევე, ცვლილებების შედეგად მნიშვნელოვნად შემცირდა სპეც. დეპოზიტარის მომსახურების ფარგლები, კერძოდ სპეც. დეპოზიტარის ფუნქციებიდან ამოღებულ იქნა ინდივიდუალური საპენსიო ანგარიშების მართვა. აღნიშნულ ცვლილებებს შესაძლოა გამოეწვია ერთი მხრივ კონკურსში მონაწილეობის მსურველთა რაოდენობისა და კონკურენციის გაზრდა და მეორე მხრივ დაგროვებითი საპენსიო სქემის მონაწილეების ინტერესების გათვალისწინებით, უკეთესი ფინანსური წინადადებების მიღება. ზემოაღნიშნულისა და მონაწილეების საუკეთესო ინტერესების გათვალისწინებით, საინვესტიციო საბჭოს მიერ მიღებულ იქნა გადაწყვეტილება, იმ დროისთვის მიმდინარე კონკურსის შეწყვეტისა და ახალი კონკურსის გამოცხადების შესახებ. აღსანიშნავია, რომ კონკურსის შეწყვეტის უფლება საინვესტიციო საბჭოს ჰქონდა კონკურსის პირობების შესაბამისად. გადაწყვეტილება საინვესტიციო საბჭოს სხდომის ოქმის სახით საჯაროდ გამოქვეყნდა საპენსიო სააგენტოს ვებ-გვერდზე და დამატებით ოფიციალურად ეცნობათ კონკურსში მონაწილე კანდიდატებს. ახალი კონკურსის გამოცხადების მიზნით, საინვესტიციო საბჭომ საკანონმდებლო ცვლილებების მიხედვით შეიმუშავა უფრო დეტალური წინადადებების მოთხოვნის (RFP) დოკუმენტი, რომელშიც აისახა საკანონმდებლო ცვლილებები, დაზუსტდა სპეც. დეპოზიტარის მიერ მოსაწოდებელი სერვისები, ტექნიკური მოთხოვნები და დეტალურად გაიწერა სპეც. დეპოზიტარის შერჩევის პროცესი და საფეხურები. ახალი წინადადებების მოთხოვნა საინვესტიციო საბჭოს 2020 წლის 5 ოქტომბრის N12 ოქმის შესაბამისად გამოქვეყნდა საპენსიო სააგენტოს ოფიციალურ ვებ-გვერდზე და ახალი კონკურსის გამოცხადების შესახებ ასევე ოფიციალურად ეცნობათ წინა კონკურსში მონაწილე კანდიდატებს. ახალ კონკურსში მონაწილეობის სურვილი, 3-მა კანდიდატმა დააფიქსირა. აღსანიშნავია, რომ ერთერთი კანდიდატი გამოეთიშა კონკურსს, რადგან ვერ დააკმაყოფილა კონკურსის მინიმალური საკვალიფიკაციო მოთხოვნა და მოთხოვნილი დროისთვის ვერ წარმოადგინა აღნიშნული სერვისების გასაწევად აუცილებელი საქართველოს ეროვნული ბანკის მიერ გაცემული ავტორიზაცია. წინადადებების განხილვის შემდეგ, საინვესტიციო საბჭომ ყველა კვალიფიციურ კანდიდატთან ჩაატარა ინდივიდუალური ინტერვიუ, რომლის შემდეგაც ყველა კანდიდატს კონკურსის პირობების თანახმად, საჭიროების შემთხვევაში ჰქონდა შესაძლებლობა, წარმოედგინათ გაუმჯობესებული წინადადება. ამ შესაძლებლობით კონკურში დარჩენილმა ორივე კანდიდატმა ისარგებლა და 2020 წლის 27 ნოემბერს მოხდა საბოლოო და საუკეთესო წინადადებების მიღება კანდიდატებისგან. საბოლოო და საუკეთესო წინადადებების მიღების შემდეგ საინვესტიციო საბჭომ დეტალურად განიხილა კანდიდატების წინადადებები და გამჭვირვალობის უზრუნველყოფის მიზნით, შეიმუშავა დეტალური შეფასების მეთოდოლოგია, რომელიც თან დაერთო საინვესტიციო საბჭოს 2020 წლის 14 დეკემბრის N17 სხდომის ოქმს და საჯაროდ განთავსდა საპენსიო სააგენტოს ოფიციალურ ვებ-გვერდზე, აღნიშნული დოკუმენტის საფუძველზე მოხდა კონკურსში მონაწილე კანდიდატების წინადადების შეფასება. შეფასების შედეგად მიღებული ქულებით, 2020 წლის 14 დეკემბერს გამოვლინდა უპირატესი კანდიდატი და ამის შესახებ ეცნობა კონკურსში მონაწილე ყველა კანდიდატს. უპირატესი კანდიდატის შერჩევის შემდეგ, საინვესტიციო საბჭომ აქტიურად დაიწყო კანდიდატთან სპეც. დეპოზიტარის ხელშეკრულების დეტალურ პირობებზე მოლაპარაკება, რომელიც კონკურსის 6 პირობების თანახმად 2021 წელს უნდა დასრულდეს. 3. რისკის კონტროლის სამსახურის საქმიანობა 3.1. საპენსიო სააგენტოს რისკის მართვის ჩარჩო საანგარიშო პერიოდში საპენსიო სააგენტოს მიერ შემუშავებულ იქნა საპენსიო სააგენტოს „რისკის მართვის“ ჩარჩო დოკუმენტი. აღნიშნული დოკუმენტის მიზანია საპენსიო სააგენტოს რისკის მართვის სტრუქტურის აღწერა, რაც მოიცავს იმ ორგანიზაციულ მოწყობას, რომლის მეშვეობითაც საინვესტიციო საბჭო და სამეთვალყურეო საბჭო ამტკიცებს და იღებს გადაწყვეტილებებს სააგენტოს რისკის სტრატეგიისა და რისკის მართვის მიდგომებთან დაკავშირებით. რისკის მართვის ჩარჩო დოკუმენტი მოიწონა საინვესტიციო საბჭომ 2020 წლის 15 სექტემბრის N 11 სხდომის ოქმით, ხოლო სამეთვალყურეო საბჭომ 2020 წლის 27 ნოემბრის N 16 სხდომის ოქმის საფუძველზე გადაწყვიტა, რომ დაევალოს საპენსიო სააგენტოს დირექტორს უზრუნველყოს „რისკის მართვის ჩარჩო“ დოკუმენტში მოცემული პირობებისა და პრინციპების შესაბამისად საპენსიო სააგენტოს დებულებაში ცვლილებების პროექტის მომზადება. ეფექტური და ჯანსაღი რისკის მართვის ჩარჩო სტრუქტურა უზრუნველყოფს მონაწილეთა ინტერესების დაცვას ადეკვატური რისკის მართვის პრაქტიკის დამკვიდრებისა და საოპერაციო და საინვესტიციო გადაწყვეტილების მიღების პროცესებში წარმატებული შედეგების ალბათობის გაზრდის გზით. 3.2. საოპერაციო რისკების ყოველწლიური ანგარიში რისკის კონტროლის სამსახურის მიერ, 2021 წლის პირველ კვარტალში, მომზადდა საოპერაციო რისკების 2020 წლის ანგარიში, „საოპერაციო, შესაბამისობის და რეპუტაციული რისკების მართვის პოლიტიკის“ დოკუმენტის საფუძველზე, რომელიც აღწერს სააგენტოში რისკების იდენტიფიცირების, გაზომვის, შეფასების, მოპყრობის, მონიტორინგისა და ანგარიშგების წესებს. ანგარიში რისკის მთავარმა ოფიცერმა, დადგენილი წესით, წარუდგინა სააგენტოს სამეთვალყურეო საბჭოს, საინვესტიციო საბჭოს, უფროს საინვესტიციო ოფიცერსა და დირექტორს. ანგარიში დეტალურად აღწერს სააგენტოში იდენტიფიცირებული საოპერაციო რისკების წყაროებს, მოვლენებსა და მათ ზეგავლენას სააგენტოს სტრატეგიულ მიზნებზე, ასევე ანგარიშში მოცემულია აღნიშნული რისკების რაოდენობრივი და ხარისხობრივი გაზომვის შედეგები, რომელთა მიხედვითაც შემდგომ მოხდა რისკების პრიორიტეტულობის განსაზღვრა და შესაბამისი რეკომენდაციების მომზადება. წინამდებარე ანგარიშში იდენტიფიცირებულ იქნა 28 რისკის შემცველი მოვლენა, რომლებზეც რისკის კონტროლის სამსახურმა გასცა 60 რეკომენდაცია სააგენტოს მმართველობით ორგანოებისა და სტრუქტურული ერთეულების მიმართ. ამასთან, რისკის კონტროლის სამსახურის მიერ შეიქმნა რისკების რეესტრი, რომელშიც აღირიცხება როგორც მიმდინარე, ასევე ნარჩენი რისკები. რისკების იდენტიფიცირების პროცესში რისკის კონტროლის დეპარტამენტმა იხელმძღვანელა შემდეგი მეთოდოლოგიებით: • 2020 წლის განმავლობაში, რისკის კონტროლის დეპარტამენტი ახორციელებდა საპენსიო შენატანების ადმინისტრირების ელექტრონული სისტემის სტატისტიკურ ანალიზსა და მონიტორინგს; • ჩატარდა როგორც ინდივიდუალური, ასევე გუნდური გასაუბრებები სააგენტოს შემდეგი სტრუქტურულ ერთეულების თანამშრომლებთან ან/და ხელმძღვანელებთან: იურიდიული დეპარტამენტი, საოპერაციო და საინფორმაციო ტექნოლოგიების დეპარტამენტები, ასევე ადმინისტრაციული დეპარტამენტი, საზოგადოებასთან ურთიერთობის დეპარტამენტი, მენეჯერული აღრიცხვის ჯგუფი და მონაწილეთა მომსახურების განყოფილება. • რისკის კონტროლის სამსახური თანამშრომლების 7 ჩართულობით საინფორმაციო ტექნოლოგიების და საოპერაციო დეპარტამენტების მიერ შემუშავდა სააგენტოში მოქმედი ბიზნეს პროცესების ფორმალიზირებული დოკუმენტები, რის შემდგომაც მოხდა ამ ბიზნეს პროცესების სტრუქტურული ანალიზი; • 2020 წლების განმავლობაში, საფრანგეთის განვითარების სააგენტოს ტექნიკური მხარდაჭერის ფარგლებში, დარგის ექსპერტების მხრიდან შემუშავდა სააგენტოში მოქმედი ინფორმაციული სისტემების შეფასება; აღსანიშნავია, რომ 2020 წლის ანგარიში, ძირითადად მოიცავს საოპერაციო და საინფორმაციო ტექნოლოგიების დეპარტამენტების საქმიანობებსა და ბიზნეს პროცესებს, ვინაიდან აღნიშნული სტრუქტურული ერთეულების საქმიანობები, მათი სტრატეგიული ამოცანებიდან გამომდინარე, ხასიათდება ყველაზე მაღალი პრიორიტეტულობით. თუმცა, ანგარიშში, ასევე ასახულია ის სხვა სტრუქტურული ერთეულების წინაშე არსებული რისკები, რომლებიც სააგენტოს მმართველი ორგანოების მხრიდან საჭიროებს დროულ რეაგირებას. 3.3. საინვესტიციო რისკების კონტროლი რისკის კონტროლის სამსახური აქტიურ მონიტორინგს უწევს საინვესტიციო სამსახურის პროცესებს და მათ მიერ განხორციელებულ საინვესტიციო საქმიანობებს, რომელიც ასევე მოიცავს განხორციელებული ინვესტიციების კანონთან და საინვესტიციო პოლიტიკის დოკუმენტთან შესაბამისობის მონიტორინგს. ასევე, რისკის კონტროლის სამსახურის მიერ მზადდება ყოველთვიური საინვესტიციო რისკების ანგარიში, რომელიც დადგენილი წესით, შემდგომი რეაგირებისათვის, მიეწოდება საინვესტიციო საბჭოს, საინვესტიციო სამსახურსა და სხვა მმართველობით და მარეგულირებელ ორგანოებს. საინვესტიციო რისკების ყოველთვიური ანგარიში მოიცავს შემთხვევითი და დეტერმინირებული სტატისტიკურ მოდელების გამოყენებით საინვესტიციო პორტფელის საბაზრო, საკრედიტო და აგრეგირებული რისკის დონეების გაზომვას, ასევე, საჭირო რეკომენდაციების შემუშავებას. 2020 წლის განმავლობაში რისკის კონტროლის სამსახურმა გასცა 8 რეკომენდაცია საინვესტიციო რისკების მიმართულებით, რომელთა ნაწილი საინვესტიციო საბჭოს მიერ უკვე გათვალისწინებულია. 2020 წლის განმავლობაში რისკის კონტროლის სამსახური აქტიურად იყო ჩართული საინვესტიციო პოლიტიკის დოკუმენტის მომზადებაში, რომელიც როგორც ზემოთ აღინიშნა დამტკიცდა 2020 წლის 25 სექტემბერს. 3.4. ინფორმაციული უსაფრთხოების მართვის სისტემის დანერგვა რისკის კონტროლის სამსახურის ერთ-ერთ ძირითად მიმართულებას წარმოადგენს საპენსიო სააგენტოში ინფორმაციული უსაფრთხოების მართვის სისტემის დანერგვა „სტანდარტიზაციის საერთაშორისო ორგანიზაციის (ISO 27001)“ პრინციპების შესაბამისად. აღნიშნული მიმართულებით 2020 წელს განხორციელდა შემდეგი სამუშაოები: • • • • • • • • • • შემუშავდა ინფორმაციული უსაფრთხოების პოლიტიკა; შემუშავდა/დამტკიცდა ინფორმაციული უსაფრთხოების რისკის მართვის დოკუმენტი; შემუშავდა/დამტკიცდა სააგენტოში დოკუმენტირებული ინფორმაციის მიმოცვლის წესები; შემუშავდა/დამტკიცდა ინფორმაციული უსაფრთხოების სფეროში არსებული როლები და პასუხისმგებლობების დოკუმენტი; შემუშავდა/დამტკიცდა ინფორმაციული აქტივების რეესტრი; შემუშავდა/დამტკიცდა ინფორმაციულ აქტივებზე რისკების შეფასების რეესტრი; შემუშავდა/დამტკიცდა რისკის მოპყრობის გეგმის რეესტრი; ჩატარდა ცნობიერების ამაღლების ტრენინგი ინფორმაციული უსაფრთხოების მიმართულებით; დაინერგა ინფორმაციული უსაფრთხოების მიმართულებით პირველადი კონტროლის მექანიზმები; შემუშავდა/დამტკიცდა კორპორატიული ელექტრონული ფოსტის გამოყენების წესები და პირობების დოკუმენტი; 8 • • • • • • შემუშავდა/დამტკიცდა პაროლების გამოყენებისა და მართვის წესი; შემუშავდა/დამტკიცდა საინფორმაციო სისტემებზე პრივილეგირებული მომხმარებლების პაროლების შენახვისა და გამოყენების წესი; შემუშავდა/დამტკიცდა ფაილსერვერის და დირექტორიების შექმნისა და ოპერირების წესი; შეიქმნა ინფორმაციული უსაფრთხოების კომიტეტი; შეიქმნა ინფორმაციული უსაფრთხოების სამუშაო ჯგუფი; დამტკიცდა ინფორმაციული უსაფრთხოების მართვის სისტემის გავრცელების სფეროს დოკუმენტი; 4. საპენსიო სააგენტოს და დაგროვებითი საპენსიო ფონდის ფინანსური ანგარიშგებების დამოუკიდებელი აუდიტორული შემოწმება საქართველოს პარლამენტის მიერ შერჩეული აუდიტორული კომპანიის KPMG საქართველოს მიერ 2020 წლის 29 მაისს დასრულებულ იქნა საპენსიო სააგენტოსა და საპენსიო ფონდის 2019 წლის ფინანსური ანგარიშგების აუდიტის პროცესი და გამოშვებულ იქნა აუდიტის დასკვნები. საპენსიო სააგენტოს ფინანსური ანგარიშგების აუდიტი განხორციელდა IPSAS შესაბამისად, ხოლო საპენსიო ფონდის ფინანსური ანგარიშგების აუდიტი განხორციელდა IFRS-ის შესაბამისად. აღნიშნული აუდიტის დასკვნები განთავსებულია საპენსიო სააგენტოს ოფიციალურ ვებ-გვერდზე. 2021 წლის 21 მაისს გახორციელდა 2020 წლის საპენსიო სააგენტოს ფინანსური ანგარიშგების აუდიტი IPSAS შესაბამისად, ხოლო საპენსიო ფონდის ფინანსური ანგარიშგების აუდიტი განხორციელდა IFRS-ის შესაბამისად. 5. შიდა აუდიტი შიდა აუდიტის სამსახურმა 2020 წელს გეგმის მიხედვით ჩაატარა სტრუქტურული ერთეულების აუდიტი, ასევე საპენსიო შენატანების ადმინისტრირების ელექტრონულ სისტემაში დამსაქმებლების მიერ წარმოდგენილი მაკორექტირებელი დეკლარაციების და საპენსიო სააგენტოს შესყიდვების პროცესის აუდიტი. შიდა აუდიტის წესდება დამტკიცებულ იქნა ახალი რედაქციით. წესდების ახალი რედაქცია ძველისგან განსხვავებით უფრო დეტალურად განსაზღვრავს შიდა აუდიტის სამსახურის ფუნქციებსა და მოვალეობებს, აუდიტის დაგეგმვისა და ანგარიშგების წესებს, ასევე, აუმჯობესებს ინფორმირებულობას რისკებისა და კონტროლის მექანიზმების შესახებ და ხელს უწყობს რისკის მართვის სისტემების ეფექტურობას. 6. საზოგადოებასთან ურთიერთობა 2020 წლის მანძილზე საზოგადოებასთან ურთიერთობის დეპარტამენტი პანდემიის გამო ნაწილობრივ დისტანციურ სამუშაო რეჟიმზე გადავიდა და შესაბამისად სამუშაო პროცედურები სრულად მოერგო დაგროვებითი საპენსიო სქემის მონაწილეების მოთხოვნებს. კორესპონდენციის მიღება ხორციელდებოდა დისტანციურად და ხდებოდა მომართვიანობის დაცულად, შეუფერხებლად და ეფექტურად მართვა. საანგარიშო წლის მანძილზე საპენსიო სააგენტოს ოფიციალურ სოციალური ქსელის საშუალებით „ფეისბუქზე“ მიმართა 2,889 მოქალაქემ, ოფიციალურ მეილზე კი 4,469 მოქალაქემ. ასევე, მოხდა ვებ გვერდის მოდერნიზაცია, შეიქმნა ახალი ვიზუალური მასალა და სლოგანი "დაზოგე შენთვის, დაზოგე მომავლისთვის". მედიასთან მუდმივი კომუნიკაციის ფარგლებში გამოქვეყნდა 500მდე ონლაინ და ბეჭდური მასალა. საპენსიო სააგენტოს წარმომადგენლები სქემის მონაწილეთა მეტი ინფორმირებულობის მიზნით მონაწილეობდნენ სხვადასხვა რადიო და სატელევიზიო გადაცემებში. საინვესტიციო პოლიტიკის დოკუმენტის დამტკიცებასთან დაკავშირებით ჩატარდა ღია შეხვედრა მედიის წარმომადგენლებისთვის. 9 7. უცხოური გამოცდილების შესწავლა და დონორი ორგანიზაციების დახმარება მიმდინარეობს ინტენსიური თანამშრომლობა და კონსულტაციები საერთაშორისო დონორი ორგანიზაციების ექსპერტებთან, მათ შორის, საფრანგეთის განვითარების სააგენტოს, აზიის განვითარების ბანკის, მსოფლიო ბანკის, ამერიკის საერთაშორისო განვითარების სააგენტოს და საერთაშორისო სავალუტო ფონდის ექსპერტებთან. მათი მხარდაჭერით სააგენტოში სხვადასხვა პროცესის ინიცირება მოხდა, რომელთა მიზანიც საუკეთესო უცხოური გამოცდილების გაზიარება და სააგენტოს უფრო ეფექტური ოპერირება იყო. 8. COVID 19 საქართველოში ახალი კორონავირუსის (COVID-19) გავრცელების პრევენციის მიზნით საპენსიო სააგენტოს მიერ გატარებულ იქნა მთელი რიგი ღონისძიებები, კერძოდ, 2020 წლის 13 მარტიდან, საპენსიო სააგენტო გადავიდა დისტანციური მუშაობის რეჟიმზე, რაც მოიცავდა შემდეგ ღონისძიებებს: - მონაწილეების და საპენსიო სქემაში რეგისტრირებული დამსაქმებლებისა და თვითდასაქმებულების ასევე ნებისმიერი სხვა დაინტერესებული პირის განცხადებების მიღება წარმოებდა ფოსტის, ასევე შემდეგი ელექტრონული ფოსტის მეშვეობით - info@pensions.ge, გარდა „დაგროვებითი პენსიის შესახებ“ საქართველოს კანონის 22-ე მუხლით გათვალისწინებული დაგროვებითი საპენსიო სქემიდან გასვლის უფლებით სარგებლობასთან დაკავშირებული განცხადებებისა, რომლებიც საჭიროებდა პიროვნების იდენტიფიკაციას. - ამასთან, დაინტერესებულ პირებს შესაძლებლობა ეძლეოდათ, საპენსიო სააგენტოსთან კომუნიკაცია განეხორციელებინათ საპენსიო სააგენტოს ცხელი ხაზის მეშვეობით. მონაწილეთა მომსახურების განყოფილების თანამშრომლები, ცხელი ხაზის მეშვეობით მონაწილეებს ემსახურებოდნენ საკუთარი საცხოვრებელი ადგილებიდან. ზემოთ განსაზღვრული ღონისძიებების დამატებით, „იზოლაციისა და კარანტინის წესების დამტკიცების შესახებ“ საქართველოს მთავრობის 2020 წლის 23 მაისის №322 დადგენილებაში ცვლილების შეტანის თაობაზე“ საქართველოს მთავრობის 2020 წლის 26 ნოემბერის №699 დადგენილებით საჯარო დაწესებულებების მიმართ განსაზღვრული დამატებითი შეზღუდვების (წესის მე-7 მუხლის მე-4 და მე-5 პუნქტები) გათვალისწინებით, საპენსიო სააგენტოს მიერ 2021 წლის 2 თებერვალს, სამეთვალყურეო საბჭოსთან შეთანხმებით შეტანილ იქნა ცვლილებები საპენსიო სააგენტოს შემდეგ ნორმატიულ აქტებში: - „დაგროვებითი საპენსიო სქემიდან გასვლის, საპენსიო შენატანების და ამ შენატანებთან დაკავშირებული საინვესტიციო ან/და სხვა შემოსავლის დაბრუნებისა და ხელახლა გაწევრიანების წესის დამტკიცების შესახებ“ სსიპ საპენსიო სააგენტოს დირექტორის 2019 წლის 27 მაისის №001 ბრძანება; - „საპენსიო შენატანების გადახდის წესების, ინფორმაციის წარდგენის ფორმების, ზედმეტად გადახდილი თანხების ადმინისტრირების, ინდივიდუალურ საპენსიო ანგარიშზე საპენსიო შენატანების, ხარჯის, ნამეტი შემოსავლის, დანაკარგის, სხვა შემოსავლის, ამონაგებისა და ზარალის დარიცხვის შესახებ ინსტრუქციის დამტკიცების თაობაზე“ სსიპ საპენსიო სააგენტოს დირექტორის 2019 წლის 30 ივლისის N002 ბრძანება; - „პენსიის და საპენსიო აქტივების გაცემის შესახებ ინსტრუქციის დამტკიცების შესახებ“ სსიპ საპენსიო სააგენტოს დირექტორის 2019 წლის 30 ივლისის N003 ბრძანება; აღნიშნული ნორმატიული აქტების მოქმედი რედაქცია არ ითვალისწინებდა სხვადასხვა ტიპის 10 განცხადებების დაინტერესებული პირის მიერ დისტანციურად, ელექტრონული კომუნიკაციის საშუალებით წარმოდგენის და საპენსიო სააგენტოს მიერ ელექტრონული კომუნიკაციის საშუალებით დაინტერესებული პირისათვის საპასუხო კორესპონდენციისა, თუ გადაწყვეტილების მიწოდების შესაძლებლობას. „იზოლაციისა და კარანტინის წესების დამტკიცების შესახებ“ საქართველოს მთავრობის 2020 წლის 23 მაისის №322 დადგენილებით დამტკიცებული შესაბამისი წესების შესრულების მიზნით, ნორმატიულ აქტებში შეტანილი ცვლილებები განსაზღვრავს „იზოლაციისა და კარანტინის წესების“ მე-7 მუხლის მე4 და მე-5 პუნქტების მოქმედების განმავლობაში საპენსიო სააგენტოს მიერ ნორმატიული გათვალისწინებული გარკვეული მომსახურებების, დისტანციურად, ელექტრონული კომუნიკაციის გზით განხორციელების დროებით წესებსა და პირობებს. 9. საპენსიო სააგენტოს ნორმატიული აქტები საანგარიშო პერიოდის განმავლობაში საპენსიო სააგენტოში, მიმდინარეობდა მუშაობა საპენსიო სააგენტოს მიერ გამოცემული წესებისა და ინსტრუქციების დახვეწისა და შესაბამის ნორმატიულ აქტებში ცვლილებების შეტანის მიზნით. ასეთი საქმიანობის შედეგად მომზადებულ იქნა სსიპ საპენსიო სააგენტოს დირექტორის 2019 წლის 30 ივლისის N002 ბრძანებით დამტკიცებულ „საპენსიო შენატანების გადახდის წესების, ინფორმაციის წარდგენის ფორმების, ზედმეტად გადახდილი თანხების ადმინისტრირების, ინდივიდუალურ საპენსიო ანგარიშზე საპენსიო შენატანების, ხარჯის, ნამეტი შემოსავლის, დანაკარგის, სხვა შემოსავლის, ამონაგებისა და ზარალის დარიცხვის შესახებ ინსტრუქციაში“ ცვლილების პროექტი, რომელიც შესათანხმებლად წარედგინა სააგენტოს სამეთვალყურეო საბჭოს. სამეთვალყურეო საბჭოს მიერ ცვლილების პროექტი შეთანხმებულ იქნა 2020 წლის 22 დეკემბრის N16 სხდომის ოქმით. აღნიშნული ცვლილების შედეგად, მაკორექტირებელ დეკლარაციებთან და დაგროვებით საპენსიო სქემაში დასაქმებულთა შეცდომით გაწევრიანებასთან დაკავშირებით იდენტიფიცირებული რისკების გათვალისწინებით: - მოხდა კონტროლის მექანიზმების დანერგვა, რომელთა მეშვეობით, სააგენტო, ცალკეული ფაქტორების გათვალისწინებით, როგორიცაა დამსაქმებლის ან თვითდასაქმებულის მიერ მაკორექტირებელი დეკლარაციის წარმოდგენის სიხშირე, დასაქმებულის დაგროვებით საპენსიო სქემაში გაწევრიანების თარიღის ცვლილება, დასაქმებულის/პირის დაგროვებით საპენსიო სქემაში შეცდომით გაწევრიანება, დასაკორექტირებელი საპენსიო დეკლარაციების რაოდენობა, კორექტირებული საპენსიო შენატანის ოდენობა, პერიოდი მაკორექტირებელ დეკლარაციის წარმოდგენის თარიღსა და პირვანდელი საპენსიო დეკლარაციის თარიღს შორის, უფლებამოსილია ყოველ კონკრეტულ შემთხვევაში შეზღუდოს მაკორექტირებელი დეკლარაციის ელექტრონულ სისტემაში ავტომატურად ასახვა/დახურვა, მანამ სანამ არ მოხდება მისი შემოსავლების სამსახურის მონაცემთა ბაზასთან ან/და ელექტრონულ სისტემაში არსებულ მონაცემებთან ან/და საჭიროების შემთხვევაში სსიპ სახელმწიფო სერვისების განვითარების სააგენტოს მონაცემთა ბაზასთან (შემდგომში ერთობლივად ან ცალ-ცალკე - ბაზები) შედარება. - დაინერგა დამატებითი კონტროლის მექანიზმები, რომლის მიხედვით დაგროვებით საპენსიო სქემაში დასაქმებულთა შეცდომით გაწევრიანებასთან დაკავშირებით დამსაქმებლისა და დასაქმებულის ან შეცდომით გაწევრიანებული პირის განცხადებები დაკმაყოფილდება მხოლოდ ბაზებთან შედარების საფუძველზე მიღებული ინფორმაციის გათვალისწინებით. - განისაზღვრა ვადები, რომლის განმავლობაშიც უნდა მოხდეს ბაზებთან შედარება და შესაბამისი გადაწყვეტილებების მიღება. ამასთან, იმ შემთხვევაში თუ შეუძლებელია ბაზებთან შედარება (მაგალითად, როცა მაკორექტირებელი დეკლარაცია წარმოდგენილია საშემოსავლო დეკლარაციის წარდგენისთვის განსაზღვრულ ვადამდე), საპენსიო სააგენტოს მიენიჭა უფლებამოსილება 11 განმცხადებლისგან მოითხოვოს დამატებით სრულყოფილად შესწავლის მიზნით. - LEPL Pension Agency Notes to the Financial Statements for 2020 1. Reporting entity LEPL – Pension Agency (hereafter the “Agency”) was established as a legal entity of public law in accordance with the Law of Georgia on Funded Pensions (the “Law”) adopted on 6 August 2018 and the Decree of the Government of Georgia #421 dated 15 August 2018 “On the approval of the charter of the Legal Entity of Public Law – Pension Agency”. The Agency is an independent legal entity of public law. These financial statements are prepared solely for the Agency, established for the purposes of management and administration of the funded pensions scheme (the “Pension Scheme”). Financial statements for the Pension Scheme, which comprise Pension Assets (as defined by the Law) of the participants of the Pension Scheme and which is managed by the Agency, are prepared separately from these financial statements. The governing bodies of the Agency are, the Supervisory Board, the Investment Board, the Director and the Chief Investment officer. Director is responsible for uninterrupted operations of the Agency, which include, but are not limited to management of the process of collection of pensions’ contributions from the participants of the Pension Scheme. The Investment Board, which is composed of the members appointed by the Parliament of Georgia, is principally responsible for elaboration of the Investment Policy Document and monitoring of compliance of the investment activities, carried out by the Chief Investment Officer and the Investment Service of the Agency, with the Investment Policy Document. The Agency’s operations are supervised by the Supervisory Board, except for its investment activities, which is regulated by the National Bank of Georgia (the “NBG”). As per the Law, the Supervisory Board members of the Agency are the Minister of Finance, the Minister of Economy and Sustainable Development of Georgia, the Minister of Internally Displaced Persons from the Occupied Territories, Labour, Health and Social Affairs of Georgia and the Chairman of the Investment Board of the Agency. The principal activities of the Agency are implementation, management and administration of the Pension Scheme, which, in accordance with the Law, came into force starting from 1 January 2019. The Agency’s registered legal address is 7b, Kipshidze str., Tbilisi, Georgia. Related party transactions are disclosed in note 10. 2. Basis of preparation (a) Statement of compliance The accompanying financial statements are prepared in accordance with International Public Sector Accounting Standards (IPSAS). (b) Basis of measurement The accounts have been prepared on an accruals basis, under the historical cost convention. (c) COVID 19 outbreak The outbreak of the COVID-19 pandemic and the measures adopted by the Government of Georgia to mitigate the spread have not had any significant impact on the Pension Agency’s operations. Due to the nature of its business, the Agency has continued operating in its normal course. 10 LEPL Pension Agency Notes to the Financial Statements for 2020 (d) Functional and presentation currency These financial statements are presented in Georgian Lari (GEL), which is also the Agency’s functional currency, as being the national currency of Georgia, it reflects the economic substance of the majority of underlying events and circumstances relevant to them. All amounts has been presented in GEL, except when otherwise indicated. 3. Significant accounting policies (a) Revenue from non-exchange transactions Revenue from non-exchange transactions comprise monetary funds received from the State Budget of Georgia (hereafter the “Budget”) and non-cash transfers from other international financial institutions. The non-cash transfers are purchases of assets (including property and equipment and intangible assets) on behalf of the Agency for which the Agency has not received cash, but rather asset directly from international financial institutions. The Agency recognises the revenue from non-exchange transactions for non-current assets (Property and equipment and intangible assets) when the transaction event occurs and the respective asset recognition criteria is met. Revenue from non-exchange transactions for non-current assets are recognized when it is probable that the future economic benefits or service potential associated with the asset will flow to the Agency and the fair value of the asset can be measured reliably. Revenue from non-exchange transactions for services and current activities is recognised for financing of (i) day-to-day operations (salary, expenses under temporary employment agreements, rent expenses, etc) which are recognised as expenses in the same period when they occur; (ii) services in-kind, which meets definition of an asset, but are immediately consumed, and transaction of equal value is recognised as an expense to reflect consumption of these services in-kind. Revenue from non-exchange transactions shall be measured at the amount of the increase in net assets recognized by the entity. (b) Property and equipment Property and equipment are carried at cost, excluding costs of day-to-day servicing, less accumulated depreciation and any accumulated impairment. The carrying values of property and equipment are reviewed for impairment when events or changes in circumstances indicate that the carrying value may not be recoverable. Depreciation of an asset begins on the acquisition date, which is also the date from which the asset is available for use. Depreciation on items of property and equipment is calculated using the straight-line method to allocate their cost to their residual values over their estimated useful lives: Computers and communication equipment Furniture, fixtures and office equipment Leasehold improvements 10%-20%; 4.8%-13%; 33%. 11 LEPL Pension Agency Notes to the Financial Statements for 2020 Costs related to repairs and renewals are charged when incurred and recognised in the statement of financial performance, unless they qualify for capitalization. (c) Intangible assets Intangible assets acquired are measured on initial recognition at cost. Following initial recognition, intangible assets are carried at cost less any accumulated amortisation and any accumulated impairment losses. Intangible assets are amortised over the useful economic life of 10 years and assessed for impairment whenever there is an indication that the intangible asset may be impaired. (d) Leases Leases in which a significant portion of the risks and rewards of ownership are retained by the lessor are classified as operating leases. Payments made under operating leases (net of any incentives received from the lessor) are charged to the statement of financial performance on a straight-line basis over the period of the lease. (e) Cash and cash equivalents Cash and cash equivalents represent highly liquid assets which are subject to insignificant risk of changes in value. (f) Inventory Inventories are measured at the lower of cost and net realisable value. The cost of inventories is based on the weighted average cost principle, and includes expenditure incurred in acquiring the inventories, production or conversion costs and other costs incurred in bringing them to their existing location and condition. Net realisable value is the estimated selling price in the ordinary course of business, less the estimated costs of completion and selling expenses. (g) Taxation The legal type of Agency is LEPL, which does not perform any economic activities, hence according to the Tax Code of Georgia the Agency’s activities are exempt from income and property taxes and value added taxes. (h) Budget information The annual budget of the Agency is prepared on the cash basis and approved by the Director of Agency with prior approval of the Supervisory Board of the Agency, which is then reflected in the State Budget Law (subject to limited amendments in the final approved budget, which is agreed with Ministry of Finance of Georgia) in accordance with established rules and procedures. As the financial statements and the annual budget of the Agency are prepared on different basis, there are presentation differences that require reconciliation between amounts as presented in the statement of cash flows, statement of comparison of budget and actual amounts and statements of financial performance. Presentation differences concern differences in the format and classification in the statement of cash flows, statement of comparison of budget and actual amounts and statements of financial performance. See note 8. 12 LEPL Pension Agency Notes to the Financial Statements for 2020 (i) Financing of Pension Scheme During 3 years from the date of adoption of the Law the only source of financing of the Agency and its activities is the state budget of Georgia. After expiration of the above referred 3-year term the source of financing of the Agency’s activities shall be the service fee receivable from the Pension Scheme. During 10 years from the date of expiration of the 3-year term the Agency’s service fee may amount up to 0.5% of the Pension Assets, while after expiration of this term such percentage shall be reduced to 0.25%. 4. Related parties The Agency regards a related party as a person or an entity with the ability to exert control individually or jointly, or to exercise significant influence on the Agency. During 2020 the Agency received financing from GoG of GEL 4,191 thousand (2019: GEL 3,793 thousand), which was spent in relation to: GEL 3,961 thousand (2019: GEL 3,432 thousand) for administration works of the Pension Scheme and GEL 230 thousand (2019: GEL 361 thousand) for purchase of assets, including prepayments made. Key management of the Agency is considered to be: members of Supervisory Board, members of Investment Board, Director of the Agency (before appointment of the Director, the Agency had Acting Director), the Chief Investment Officer and Chief Risk Officer. In 2020 total remuneration paid by the Agency to the key management was GEL 797 thousand (2019: GEL 460 thousand), which was included in above expenses incurred in 2020 and 2019. The Supervisory Board members of the Agency do not receive any remuneration in exchange for their membership. 11. New standards and amendments not yet adopted The IPSASB has published the final pronouncement, COVID-19: Deferral of Effective Dates, which delays the effective dates of recently published Standards and Amendments to IPSAS by one year to January 1, 2023. The Standards and Amendments which are impacted include: ̶ IPSAS 41 - Financial Instruments; ̶ IPSAS 42 - Social Benefits; ̶ Long-term Interests in Associates and Joint Ventures (Amendments to IPSAS 36) and Prepayment Features with Negative Compensation (Amendments to IPSAS 41); ̶ Collective and Individual Services (Amendments to IPSAS 19); and ̶ Improvements to IPSAS, 2019. The Agency has not early adopted the new or amended standards in preparing these financial statements. Background (a) Description of the Pension Scheme These financial statements are prepared for the Pension Scheme as defined by the “Law of Georgia on Funded Pensions” (hereinafter the Law), enacted on 6 August 2018. The Law regulates key terms and conditions of management and administration of the funded pension scheme (the “Pension Scheme”) by the LEPL Pension Agency (hereinafter the “Agency”) in the best interests of participants of the Pension Scheme. Financial statements of the Agency, which is established for the purposes of management and administration of the Pension Scheme are prepared separately from these financial statements and are available for public use. The Agency was established as a legal entity of public law in accordance with the Law and the Decree of the Government of Georgia N421 dated 15 August 2018 “On the approval of the charter of the Legal Entity of Public Law – Pension Agency”. Participation in the Pension Scheme is mandatory for all employed citizens of Georgia, as well as, employees who have permanent residence permits and for the tax purposes are residents of Georgia, except for: male employees aged 60 or above by the time the Law was enacted (6 August 2018) or female employees aged 55 or above by the time the Law was enacted. Besides, Employees aged 40 or above years old by the time the Law was enacted are entitled to opt out from the Pension Scheme, with the right of re-enrolment. In addition, Self-employed Individuals (as this is defined by the Law) are entitled to enrol in the Pension Scheme on a voluntary basis. Pension contributions made on behalf of and/or for the benefit of participants of the Pension Scheme, as well as any and all benefits/investment returns and/or losses accrued to the Pension Assets are reflected and maintained on the individual pension accounts opened and operated by the Agency. All participants are provided with usernames and passwords required for registration and obtaining access to the individual pension accounts, through the Employers. The individual pension accounts may be accessed through the electronic system of administration of pension contributions of the Agency (hereinafter the “Electronic System”) from the official web-page of the Agency. The principal activities of the Agency are implementation, management and administration of the Pension Scheme. Key operations of the Agency are described in note 3. 7 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 The Pension Scheme came into force from 1 January 2019 in accordance with the Law. As at 31 December 2020, the Scheme had 938 thousand participants. The Pension Scheme keeps track of all its participant’s savings using the Units system. Units are assets purchased and owned by participants of the Pension Scheme at the time of making contributions. Number of units owned by the participants of the Pension Scheme is reflected on their individual pension accounts. At any point in time, a unit of the Pension Asset has a price denominated in GEL, and any time a contribution is made to the Pension Scheme, units are purchased and allocated to the contributor’s individual pension account. The starting price of a single unit was set to GEL 10. The first contributors purchased the units for GEL10 each. Since that day, at the end of each business day, unit price is recalculated as: Net Asset Value / Total Number of Units (owned by all participants of the Pension Scheme). Purchase of units (new contributions) do not affect unit price, as they proportionally change the nominator and the denominator of the above formula. Only changes in Net Asset Value that are not due to new contributions (or payments) affect the unit price. These are revaluation of the portfolio that results in a gain (or a loss) without changing the underlying unit base. A participant’s Pension Assets always equals their Unit Balance times the Current Unit Price. The Agency’s registered legal address is 7b, Kipshidze str., Tbilisi, Georgia. 2. Basis of preparation (a) Statement of compliance The accompanying financial statements are prepared in accordance with International Financial Reporting Standards (IFRS): International Accounting Standard 26 – Accounting and Reporting by Retirement Benefit Plans. (b) Basis of measurement The financial statements have been prepared on a historical cost basis, except for investments, which are remeasured at fair value through the statement of changes in net assets available for benefits. The accounts have been prepared on an accruals basis except where otherwise stated. The Pension Scheme is a defined contribution scheme. Actuarial valuation is not required as the pension obligation equals the net assets available for benefits. (c) COVID 19 outbreak The outbreak of the COVID-19 pandemic and the measures adopted by the Government of Georgia to mitigate the spread have not had any significant impact on the Pension Agency’s operations. Due to the nature of its business, the Agency has continued operating in its normal course. (d) Functional and presentation currency These financial statements are presented in Georgian Lari (GEL), which is also the Pension Fund’s functional currency, as being the national currency of Georgia, it reflects the economic substance of the majority of underlying events and circumstances relevant to them. All amounts have been rounded to the nearest thousands, except when otherwise indicated. 8 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 3. Key operations and significant accounting policies (a) Making Pension Contributions and Investments of the Pension Assets (i) Investment of the Pension Assets The Pension Assets may only be invested in accordance with requirements, restrictions and limitations envisaged by the Law considering the following principles of prudent investments: (a) maximization of real returns (considering inflation) in the long-term over appropriate investment of Pension Assets; (b) diversification of investment; (c) security of Pension Assets over long-term investment period; (d) maintenance of adequate liquidity. Within the first 5 years of adoption of the Law, the Pension Assets will be invested only in lower risk investment portfolios. After expiration of the above referred 5 year period, investments of Pension Assets shall be carried out through three investment portfolios (low risk, medium risk and higher risk portfolios as defined by the Law) having different risk and expected profitability, and Pension Assets of the participants shall be allocated to such portfolios in accordance with the Law. (ii) Pension contributions As per the Law and respective normative act adopted by the Agency, pension contributions are made by the participants of the Pension Scheme upon payment of the salary in the following manner: • • • • Employer pays pension contribution in the amount of 2% of the taxable salary of its employee and at the same time submits pension declaration through the electronic system of the Agency, which enables the Agency to allocate such pension contribution to the individual pension account of respective employee. The employer pays pension contribution in the amount of 2% of the taxable salary of its employee, on behalf of and at the expense of such employee and reflects such pension contribution in the above referred pension declaration for the purposes of allocation to the individual pension account of respective employee. Self-employed participant pays pension contribution in the amount of 4% of his or her annual income and submits respective pension declaration for the purposes of allocation of such contribution to its pension account; self-employed participants become members of the Scheme on voluntarily basis. The state of Georgia pays the following amount of pension contribution for the benefit of the employees and the self-employed participants, on the basis of submitted pension declarations, immediately upon submission of such declarations: – – – 2% of taxable salary and/or income of the self-employed – as long as such salary and/or income received during the year does not exceed GEL 24,000 for specific year. 1% of the taxable salary and/or income of the self-employed participant – as long as the salary and/or income received during the year is above GEL 24,000, but does not exceed GEL 60,000. 0% of the taxable salary and/or income of the self-employed participant – as long as the salary and/or income received during the year exceeds GEL 60,000. The Agency is responsible for carrying out investment activities in accordance with the Law and the Investment Policy Document adopted by the Investment Board of the Agency. See note 3(a) for details about the investment activities. 9 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 Pension contributions made by the participants of the Pension Scheme are accounted for on accrual basis. Contributions made are accounted for when respective pension declaration is submitted by the employer. (b) Payment of pensions and opt out payments Participants of the Pension Scheme are entitled to request entitlement of pension in the following events: - The participant of the Pension Scheme reaches the pension age, which is 65 for male participants and 60 for female participants; The participant of the Pension Scheme leaves Georgia on a permanent basis and presents a document evidencing his/her lawful right to permanently reside in any other country; The participant of the Pension Scheme obtains the status of disability as this is defined by applicable law of Georgia. Besides, heirs of deceased participant of the Pension Scheme are entitled to request Pension Assets of the deceased participant. Employees aged 40 or above years old by the time of the Law was enacted are entitled to opt out from the Pension Scheme, with the right of re-enrolment. The participant may opt out from the scheme within 2 months period commencing upon expiry of the 3 months term from the date of enrolment in the Pension Scheme, by submission of respective application to the Agency. If the participant is entitled to opt-out from the Pension Scheme, the Agency shall return to the respective Employer, Employee and the state of Georgia the pension contributions made by them and any and all benefits (if any) accrued to such contributions in accordance with rules and procedures envisaged by respective normative act of the Agency. Pensions may be paid to the participants of the Pension Scheme in one of the following forms at the discretion of the participant: - - - Lump-sum payment, when all Pension Assets accumulated on the individual pension account of the participant is transferred to the participant as a one-time, lump-sum payment. This form may be selected by the participant only in specific cases defined by the Law and respective normative act of the Agency; Programmed payment, when Pension Assets are paid on a monthly basis in portions, which is calculated as per the formula envisaged by respective normative act of the Agency. This option does not apply to the heirs of the deceased participants of the Pension Scheme; Procurement of insurance annuity product for the purposes of receipt of pension. This option is not applicable in case of leaving Georgia on permanent basis; Transfer of Pension Assets to the individual pension accounts of heirs of the deceased participants. Payment of pensions to the participants of the Pension Scheme and/or transfer of Pension Assets to the heirs of deceased participants are accounted for in the period in which the redemption of respective units occurs. Pension contributions returned to the participants of the Pension Scheme in the course of the optout procedures are accounted for in the period when the respective amount is withdrawn from the Pension Scheme. 10 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 (c) Investment activities The Agency is responsible for carrying out investment activities in accordance with the Law and the Investment Policy Document adopted by the Investment Board of the Agency. See note 3(a) for details about the investment activities. During 2020, Pension Assets were invested in Certificate of Deposits (“CDs”) and term deposits – see note 6 – Investments in bank deposits. (d) Interest income Interest income comprise interest income on cash and cash equivalents and investments in bank deposits and is recognised using effective interest method. The ‘effective interest rate’ is the rate that exactly discounts estimated future cash payments or receipts through the expected life of the financial instrument to the gross carrying amount of the financial asset. (e) Cash and cash equivalents Cash and cash equivalents comprise bank balances with maturities of three months or less from the acquisition date that are subject to insignificant risk of changes in their fair value. Cash and cash equivalents are carried at fair value. (f) Investments in bank deposits Investments in bank deposits comprise certificates of deposits and term deposits with maturities of 3 months to 5 years. Investments in bank deposits are carried at fair value. (g) Source of financing of the Agency During 3 years from the date of adoption of the Law the only source of financing of the Agency and its activities is the state budget of Georgia. After expiration of the above referred 3-year term the source of financing of the Agency’s activities shall be the service fee receivable from the Pension Fund. During 10 years from the date of expiration of the 3-year term the Agency’s service fee may amount up to 0.5% of the Pension assets, while after expiration of this term such percentage shall be reduced to 0.25%. 4. Use of estimates and judgements The preparation of financial statements requires management to make judgements, estimates and assumptions that affect the application of accounting policies and the reported amounts of assets, liabilities, income and expenses. Actual results may differ from those estimates. Estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimates are revised and in any future periods affected. Information about assumptions and estimation uncertainties that have a significant risk of resulting in a material adjustment to the carrying amounts of assets and liabilities within the next financial year is included in note 12 – financial risk management. Measurement of fair values A number of the entity’s accounting policies and disclosures require the measurement of fair values. 11 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 When measuring the fair value of an asset or a liability, the entity uses market observable data as far as possible. Fair values are categorised into different levels in a fair value hierarchy based on the inputs used in the valuation techniques as follows. – Level 1: quoted prices (unadjusted) in active markets for identical assets or liabilities. – Level 2: inputs other than quoted prices included in Level 1 that are observable for the asset or liability, either directly (i.e. as prices) or indirectly (i.e. derived from prices). – Level 3: inputs for the asset or liability that are not based on observable market data (unobservable inputs). If the inputs used to measure the fair value of an asset or a liability might be categorised in different levels of the fair value hierarchy, then the fair value measurement is categorised in its entirety in the same level of the fair value hierarchy as the lowest level input that is significant to the entire measurement. The entity recognises transfers between levels of the fair value hierarchy at the end of the reporting period during which the change has occurred. Further information about the assumptions made in measuring fair values is included in note 12 – fair values of financial instruments. 5. Cash and cash equivalents In 2020 the Agency has started to make investments in low risk portfolio such as CDs and term deposits (see note 6) and free cash not invested was transferred to commercial bank interest bearing accounts as presented below. Pension Assets increased by GEL 22,553 thousand during the year ended 31 December 2020 (2019: GEL 17,038 thousand), which is the interest accrued and realized to the Pension Assets held on interest bearing current accounts. They are invested only upon submission of pensions declarations for unallocated amounts (note 8). As at 31 December 2020, cash and cash equivalents comprise financial assets held with Georgian commercial banks and National Treasury account (ratings of the banks are disclosed in note 12(a)). Management does not expect any counterparty to fail to meet its obligations. As of the reporting date, the Agency had five interest bearing and one non-interest bearing current accounts in five commercial banks which exceeded 5% of cash and cash equivalents with total amount of GEL 262,772 thousands. One interest-bearing current account with a commercial bank of GEL 154,127 thousand exceeds 5% of net assets available for benefits 12 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 As at 31 December 2019, there were current accounts in two commercial banks in Georgia and National Bank of Georgia of GEL 544,467 thousand in total with balances individually exceeding 5% of net assets available for benefits. 6. Investments in bank deposits As at 31 December 2020, investments were made in the CDs and term deposit of the reputable commercial banks of Georgia. In the first quarter of 2020, Investment Board of the Agency elaborated investment policy document for cash and cash-like instruments, while in the third quarter of 2020, Investment Board of the Agency elaborated investment policy document for all the investment assets classes which has been agreed with NBG in terms of compliance with the Law and duly approved by the Director of the Agency in accordance with the Law. In the beginning of 2020, the Investment Board nominated and the Supervisory Board appointed an interim chief investment officer (CIO). The interim CIO adopted decision on investment of the Pension Assets in the CDs of Georgian commercial banks and term deposits in accordance with the above referred investment policy for cash and cash-like instruments and with respective approval of the Investment Board. As at 31 December 2020 Pension Assets amounting to GEL 844,128 thousand were invested in CDs issued by 7 Georgian commercial banks and GEL 15,000 thousand in term deposit of also one Georgian commercial bank. As a result of such decision, Pension Assets increased by GEL 62,880 thousand and GEL 1,593 thousand, respectively, which is the interest accrued on CDs and term deposit throughout 2020. The interest income was allocated between the Pension Scheme’s participants on pro-rata basis. Weighted average interest rate of such instruments amounts to annual 13.38% nominal rate, while tenure ranges from 3 months to 5 years. As at 31 December 2020 there were five CDs placed in three commercial banks amounted to GEL 640,000 thousand in total individually exceeding 5% of total investments in bank deposits. Maturity of these CDs varies from 6 months to 5 years. Two out of five CDs, with maturity of 5 years, placed in two commercial banks amounted to GEL 470,000 thousand in total exceeded 5% of the Net Assets Available for Benefits. All CDs carry fixed interest rate. 7. Liabilities to scheme members Total liabilities to the participants of the Pension Scheme amount to the aggregate value of the Pension Assets reflected on individual pension accounts of the participants. For details see note 3 (a). Unallocated Amounts As at 31 December 2020, GEL 48,472 thousand (2019: GEL 39,813 thousand) represent unallocated amounts, such amounts are not used for investments. The unallocated amounts are accounted for as such and are reflected on the balances of the accounts of respective Employers. Upon submission of pensions declarations for the unallocated amounts, such amounts shall become liabilities to the participants. 9. Payments and Opt-out payments For the year ended 31 December 2020, 3,581 (2019: 165,570 participants) participants exercised opt-out rights and the total pensions contributions returned to the employers, employees and the state of Georgia amounted to GEL 1,002 thousand (2019: GEL 57,243 thousand). Opt-outs have taken place in May-August 2019, when the option of leaving the Scheme became available. From September 2019, cases of opt outs have decreased significantly. During 2020, the Agency made lump-sum payment of pensions in the amount of GEL 546 thousand (2019: GEL 79 thousand) to 430 participants (2019: 184 participants). 10. Contingencies Litigation In the ordinary course of business, the Agency is subject to legal actions, litigations and complaints. Management believes that the ultimate liability, if any, arising from such actions or complaints will not have a material adverse effect on the financial condition or the results of future operations. 11. Related party transactions Management of the Agency is the one involved in operations of the Pension Scheme. Key management of the Agency is considered to be: members of Supervisory Board, members of Investment Board, the Chief Investment Officer, the Chief Risk Officer and Director (before appointment of the Director of the Agency had Acting Director). In 2020 total remuneration paid by the Agency to the key management was GEL 797 thousand (2019: GEL 460 thousand), which is presented in the financial statements of the Agency prepared separately from these financial statements and available for public use. 12. Financial risk management The liabilities towards participants of the Pension Scheme are always equal to the value of participants’ Pension Assets, i.e. no financing gap for future benefits exists, which is why no actuarial valuations are performed. Presented below are standard risks to which Pension Scheme’s financial instruments were directly exposed to on the reporting date: • credit risk (a); • liquidity risk (b); • market risk (c). 14 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 (a) Credit risk Credit risk is the risk of financial loss to Pension Scheme if a customer or counterparty to financial instruments fails to meet its contractual obligations. As at 31 December 2020, 23.94% of total Pension Assets balance were placed on current accounts in 10 commercial banks in Georgia. As at 31 December 2020 75.6% of total Pension Assets balance were invested in Certificates of Deposit (CDs ) and term deposits in 8 commercial banks in Georgia. All banks were rated by Fitch and and S&P Global Agencies. Detailed information about the bank ratings are disclosed above. (b) Liquidity risk Liquidity risk is the risk that an entity will encounter difficulty in meeting the obligations associated with its financial liabilities that are settled by delivering cash or another financial asset. Prudent liquidity risk management implies maintaining sufficient cash, availability of funds through adequate credit facilities and ability to collect timely - within the terms established - the amounts due from third parties. The average monthly redemptions from Pension Scheme through payment of pensions or return of pension contributions in the course of opt-out procedures for the year ended 31 December 2020 amounted to GEL 84 thousand (2019: GEL 4,770 thousand). The amount has decreased significantly considering that 2019 was the first year of operation of the Pension Scheme when participants were entitled to exercise opt-out rights under the Pension Scheme. Average monthly incoming contributions for the year ended 31 December 2020 amounted to GEL 47,596 thousand (2019: GEL 42,234 thousand), which significantly exceeds monthly payments. As at 31 December 2020, Pension Assets are maintained in current accounts with Georgian commercial banks, National Treasury account and investments in term deposits and Certificates of Deposit issued by Georgian commercial banks. Pension Assets held in the form of cash and cash equivalents are readily realisable and can be quickly liquidated at amounts equal to their carrying value in order to meet liquidity requirements. As for CDs and term deposits, the Agency has no intention to sell these instruments before maturity. 15 Pension Scheme defined by the Law of Georgia on Funded Pensions Notes to the Financial Statements for 2020 (c) Market risks Interest rate risk Interest rate risk is the risk that the fair value or future cash flows of a financial instrument will fluctuate because of changes in market interest rates. As at reporting date Pension Scheme only has current accounts in banks and investments in bank deposits.
