We refer to the programme Loan Agreement dated 16 October 2000 between Georgia (hereinafter referred to as "the Borrower") and the International Fund for Agricultural bevelopment (hereinafter referred to as "the Fund"), as amended, for the execution of the Rural development Programme for Mountainous and Highland Areas (the "Programme"). We also refer to the Georgian Presidential Decree n. 48 dated 1't February 2011 entitled "On the Liquidation of the Legal Entity Under the Public Law - World Bank financed Georgian Agricultural Development Projects Coordination Centre" which states that the Agricultural D6velopment projects Coordination Centre (ADPCC), responsible for overall management of IFAD-financed projects in Georgia, will be liquidated with elfect from the 1st of July 2011. Moreover, said Decree states that the Ministry of Agriculture of Georgia is assigned to exercise iignts anO assume responsibilities of the ADPCC after its liquidation. We further refer to decree n. 2-66 of 6 May 2010 issued by the Minister of Agriculture of Georgia, as amended on the ZO'h luly 2011, establishing the International Organisations Projects Implementation Department of the Ministry of Agriculture (IOPID) and assigning the IOPID executive responsibility for the implementation of donor funded projects. We refer as well to the Borrower's letter dated 10th October 2011 requesting for the amendment of the Programme Loan Agreement in order to reflect the above-mentioned institutional changes. 2. 3. In light of the above mentioned liquidation and Borrower's request, the Programme Loan Agreement is therefore hereby amended as follows: 1. Section 1.02. THE COOPERATING INSTITUTION SEcnoN 3.01. Appointment of the CooPerating lnstitution. A Financing Agreement may provide that a Cooperating lnstitution will be appointed to administer the Financing and supervise the Prolect. sECrroN3.02. Responsibilitiesofthecooperatinglnstitution. lf appointed, the Cooperating lnstitution shall be responsible for. (a) hcilitating Project implementation by assisting the Borrower/Recipient and the Prolect Parties in interpreting and complying with the Financing Agreementi (b) reviewing the Borrower/Recipient's withdrawal applications to determine the amounts which the Borrower/Recipient is entitled to withdraw from the Loan and/or Grant Account, (c) reviewing and approving on a no-objection basis the procurement of goods, civil works ' and services for the Proiect financed by the Financing; (d) monitoring compliance with the Financing Agreement, bringing any substantial noncompliance to the attention of the Fund and recommending remedies therefor; and (e) carrying out such other functions to administer the Financing and supervise the Project as may be set forth in the cooperation Agreement' SEcnoN3-03. CooperationAgreement. lf a Cooperating tnstitution is appointed, the Fund shall enter into a Cooperation Agreement with the Cooperating lnstitution setting forth the terms and Gonditions of its appointment SEcrlofl 3.04. The Project Member state shall ensure that all concerned Parties cooperate fully in such review. ARTICLE XI - TAXATION sEcno l l.01. Taxation.
