SCHEOULE General Terms and Conditions ol Technical Assistance A. Cooperatbn '1. The Govemmont shall coop€rate with ADB and Consultants to ensure that each Technical Assistanca is caried out prompty and efiedively and, ,or this purpose, shall issue app(opriats instruciions to its offcials, agents and representatives. B. ExdranoG of M€u6: Remrts 2. The Govemment and ADB shall, trom time to time, at the request of either party, exchang€ vbws on any Technical Assistanca, and consult on any reports pcpar; 6y Consultanis and th€ impl€m€ntation of any recommendaUons made in those reports. 3. ADB may us€ any repolG prepared by Consultants for any purposo whidl ADB may consider appropriate. Disclosure to ths public ot the final repcfu gen€rated from a Technicel Assistance will be govemed by ADB'S PuOtic Cdnmunications pdicy (2OO5l as amended from time to time. E. lmmun ies. Privileqes and Exemotions of Consultants 7. (a) Section Tedlnrcat Assistanc€ shall be undertaken by consultants who shall, as far as praclicable, indude experts in the fields specified in the TA Letter concemed. (b) The term "Consutt€nts,' as used in this Agreement includes intemational and domestic consunants, as wefl as individuar consurtants or ant consurting firm which provides any of the experls refered to in the TA Letter concemed. Section 2.03. Consuttants shall have the terms ot reference set forth in the attachment to tha TA Letter conoamed. Such terms of reference may be amended by wri(en agreement between the Govemment and ADB, or, by the Govemment, t'he Executing Ag;ncy and ADB, as the case may be. 2.04. Seclion ADB may provide Technical Assistrance under this Agreement consisting of any of the following, all of which shall be conducled, canied out or procured in a manner satisfaclory to ADB and acceptable in intemational praclic€: the services of experis refened to in Sectpn 2 02 of this Agreement; equipment and malerials, which shafl be procured in accordance with Georgian legislation if this is agreed to by AOB. ln the absence of such agreement by ADB such procurement shall be in accordanc€ with ADB'S rules and regulations or with other ariangements satislaclory to ADB; training, semrnars, workshops or conferences, and similar activities: the cofinancing of such Technical Asslstance with any other extemal source: and any other form of assistance which may be agreed upon by the Govemment and ADB for inclusion under such Technical Assistance.
